THE MIAMI FOUNDATION
2019 GRANT AGREEMENT
The City of Miami, Department of Human Services — Economic Initiatives
$466,977 Terms:
October 1, 2019 to April 14, 2020
To support City of Miami's small businesses workforce development and
procurement, assist small business employers with employee/career path
development and workforce placements. Work with FIU related to local workforce
research, best practices and engagement efforts, as well as acting as a liaison for the
Workforce Center and procurement opportunities. Assist in collecting data for
research and for the preparation of monthly and annual reports; assist with the
completion of special projects and reports; and specialized work such as updating
websites, troubleshooting software errors, preparing newsletters or other
communications, and preparing financial documents. To oversee and develop
Salesforce. To offer additional wrap -around services to those looking for livable wage
and being placed in livable wage jobs.
Terms and Conditions: In accepting this grant award, the organization agrees to the following:
1. To use the funds for the purpose described in this Agreement and in accordance with the
proposal approved by the Foundation. Any changes to the program scope (Appendix A), intent
or budget (Appendix B) must be authorized in advance in writing by The Miami Foundation.
The Miami Foundation may, at its sole discretion, terminate the grant, cancel any remaining
portion of grant funds that have not been disbursed, and/or demand return of funds spent on
unauthorized or unapproved items in which case Grantee shall return such funds within thirty
(30) days of demand.
2. To maintain financial records consistent with generally accepted accounting principles; have
them audited annually as appropriate to your organization.
3. To prominently acknowledge that support has been provided by The Miami Foundation and
JPMorgan Chase Foundation in any and all publications and materials produced by the recipient
in connection with or regarding this project must be reviewed and approved in advance.
a. The Miami Foundation's logo is available on our website, miamifoundation.org/logos.
b. Recipients are required to recognize the Foundation's support on their web sites,
promotional materials, media releases, reports and other printed materials.
c. Any use of the Foundation's name and/or logo on digital or printed promotional
materials or items/documents for media release must be reviewed and approved.
Recipients are required to submit draft materials for approval to Ana Mantica, Editorial
Officer, at amantica@miamifoundation.org
4. To report on the grant as per the schedule in this agreement and following the Foundation's
reporting guidelines; and be prepared to provide additional information and documentation if
requested.
5. Grantee will maintain its tax-exempt status as a Section 501(c)(3) organization classified as a
public charity under Sections 509(a)(1) or (2) current throughout the period of this grant.
6. As required by IRS rules, The Miami Foundation funds will not be used: a) to carry on lobbying
activities as defined under Section 501(c)(3) of the Internal Revenue Code; b) for partisan
political activities which are prohibited under Section 501(c)(3); c) to make a grant to any
individual for travel, study or other similar purposes or to make a sub -grant to any other
organization unless the grant complies with Section 4945(d)(3) or (4) of the Internal Revenue
Code and the grant has been detailed in the approved grant plan and budget; or (d) to
undertake any activity for any purpose other than the charitable and educational purposes
specified in Section 170(c)(2)(B) of the Internal Revenue Code.

7. The schedule for payment of the stated Grant Amount, pending receiving complete required
documentation that includes: this signed grant agreement; electronic payment information;
2019 W-9 is outlined below and contingent upon The Miami Foundation's satisfactory review of
the Impact Reports as described below;

8. Grantee shall be required to prepare interim and final narrative and financial reports as outlined
in the schedule below as well as participate in quarterly in -person meetings and telephone
conference calls. Grantee acknowledges that regular and timely communication and information
sharing with The Miami Foundation in issues impacting the Building Prosperity Initiative
objectives via personal communication and updates using project management tools provided
by The Miami Foundation is expected.
9. Grantee shall be required to submit updated scope of work as a part of the interim reporting on
TeamGantt.

your grant files.
I agree to and accept the terms of this grant award by The Miami Foundation. Unless program guidelines
state otherwise, recipients should view the Foundation's grants as one-time awards to help advance
their work during the grant period and should not be counted on as a recurring source of support. I
understand that recipients are strongly encouraged to use this opportunity to secure and leverage other
financial support for on -going activities.
