WHEREAS, the City Commission finds that it is not in the City of Miami's ("City") best interest for the City to begin or continue doing business with any entity that has failed to satisfy its obligations to the City or has otherwise significantly financially harmed the City'; and WHEREAS, this Resolution is not intended to preclude doing business with entities which have brought actions relating to the real property of third parties on which the City has a claim of lien in any amount; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The City Commission hereby establishes a policy prohibiting the City from doing business with any entity against which the City has deemed it necessary to institute an action including but not limited to crossclaims, third party claims, and counterclaims in the State of Florida or United States federal court seeking damages in excess of one hundred thousand dollars ($100,000.00). Section 3. This Resolution shall become effective immediately upon its adoption and signature of the Mayor.2 APPROVED AS TO FORM AND CORRECTNESS: ndez, City Attor ey 11/12/2019 1 The intent of this Resolution is not to impair existing contractual rights. 2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective immediately upon override of the veto by the City Commission.
