A RESOLUTION OF THE MIAMI CITY COMMISSION DIRECTING THE CITY
MANAGER AND SHUTTS & BOWEN LLP, O'MELVENY & MYERS LLP, AND
FOWLER WHITE BURNETT P.A. (COLLECTIVELY, "OUTSIDE COUNSEL") TO
PRESENT A NEGOTIATED GROUND LEASE, MASTER DEVELOPMENT
AGREEMENT, STADIUM LEASE, NON -RELOCATION AGREEMENT, AND ALL
OTHER ANCILLARY AGREEMENTS (COLLECTIVELY, "LEASE") BETWEEN
THE CITY OF MIAMI ("CITY") AND MIAMI FREEDOM PARK, LLC ("MFP") FOR
CONSIDERATION AT THE DECEMBER 12, 2019 CITY COMMISSION
MEETING IN RELATION TO THE PROPOSED DEVELOPMENT ON THE CITY -
OWNED PROPERTY LOCATED GENERALLY AT 1400 NORTHWEST 37TH
AVENUE, MIAMI, FLORIDA ("PROPERTY"), COMMONLY KNOWN AS THE
INTERNATIONAL LINKS MIAMI - MELREESE COUNTRY CLUB, OR
ALTERNATIVELY, THE CITY MANAGER AND OUTSIDE COUNSEL ARE
DIRECTED TO PLACE A DISCUSSION ITEM ON THE DECEMBER 12, 2019
CITY COMMISSION AGENDA TO PROVIDE A STATUS REPORT ON THE
NEGOTIATIONS WITH MFP.

BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA:
Section 1. The recitals and finding contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager and Shutts & Bowen LLP, O'Melveny & Myers LLP, and
Fowler White Burnett P.A. (collectively, "Outside Counsel") are hereby directed to present a
negotiated Ground Lease, Master Development Agreement, Stadium Lease, Non -Relocation
Agreement, and all other ancillary agreements (collectively, "Lease") between the City of Miami
("City") and Miami Freedom Park, LLC ("MFP") for consideration at the December 12, 2019 City
Commission meeting in relation to the proposed development on the City -owned property
located generally at 1400 Northwest 37th Avenue, Miami, Florida ("Property"), commonly known
as the International Links Miami - Melreese Country Club.
Section 3. Alternatively, the City Manager and Outside Counsel are directed to place a
discussion item on the December 12, 2019 City Commission agenda to provide a status report
on the negotiations with MFP.
Section 4. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.'
1 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
