AGREEMENT BETWEEN THE CITY OF MIAMI AND MARTIN LUTHER KING
ECONOMIC DEVELOPMENT CORPORATION ("MLK"), FOR EIGHTEEN (18)
ADDITIONAL MONTHS FROM JUNE 30, 2019 TO DECEMBER 30, 2020;
AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE ANY AND ALL
DOCUMENTS, INCLUDING AMENDMENTS, MODIFICATIONS, AND ADDITIONAL
EXTENSIONS, ALL IN FORMS ACCEPTABLE TO THE CITY ATTORNEY, AS MAY
BE NECESSARY, SUBJECT TO ALL FEDERAL, STATE AND LOCAL LAWS THAT
REGULATE THE USE OF SUCH FUNDS, TO COMPLETE THE ECONOMIC
DEVELOPMENT ACTIVITIES.
Background of Item:
On March 23, 2017, pursuant to Resolution No. 17-0152 the City Commission
authorized agreement extensions to various agencies; which included Martin Luther
King Economic Development Corporation ("MLK"), in order to complete economic
development activities.
Due to delays, MLK is requesting an extension of time to spend the funds allocated to
them.
The City Administration requests extending the term of the agreement between the City
of Miami ("City") and MLK, for eighteen (18) additional months.

A RESOLUTION OF THE MIAMI CITY COMMISSION AUTHORIZING THE
EXTENSION OF TIME FOR THE 2016-2017 COMMUNITY DEVELOPMENT BLOCK
GRANT PUBLIC FACILITY AND IMPROVEMENTS AGREEMENT ("AGREEMENT")
BETWEEN THE CITY OF MIAMI AND MARTIN LUTHER KING ECONOMIC
DEVELOPMENT CORPORATION ("MLK") FOR EIGHTEEN (18) ADDITIONAL
MONTHS FROM JUNE 30, 2019 TO DECEMBER 30, 2020; AUTHORIZING THE CITY
MANAGER TO FURTHER EXTEND THE AGREEMENT, IF NECESSARY, WITHOUT
FURTHER CITY COMMISSION APPROVAL IN ORDER TO ACCOMPLISH THE
PURPOSES STATED HEREIN; FURTHER AUTHORIZING THE CITY MANAGER TO
NEGOTIATE AND EXECUTE ANY AND ALL NECESSARY DOCUMENTS,
INCLUDING AMENDMENTS, MODIFICATIONS, AND EXTENSIONS, ALL IN FORMS
ACCEPTABLE TO THE CITY ATTORNEY, SUBJECT TO ALL FEDERAL, STATE,
AND LOCAL LAWS THAT REGULATE THE USE OF SUCH FUNDS TO COMPLETE
THE ECONOMIC DEVELOPMENT ACTIVITIES.
WHEREAS, pursuant to Resolution No. 17-0152 adopted on March 23, 2017, the City
Commission authorized agreement extensions to various agencies, which included Martin
Luther King Economic Development Corporation ("MLK"), in order to complete economic
development activities; and
WHEREAS, due to delays, MLK is requesting an extension of time to spend the funds
allocated to it; and
WHEREAS, the City of Miami's ("City") Administration requests authorization to extend
the term of the agreement between the City and MLK for eighteen (18) additional months;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The extension of time for the 2016-2017 Community Development Block
Grant Public Facility and Improvements Agreement ("Agreement") between the City and MLK
for eighteen (18) additional months, from June 30, 2019 to December 30, 2020, is authorized.'
Section 3. The City Manager is authorized' to extend the Agreement without further City
Commission action in order to accomplish the intent as stated herein.
1 The herein authorization is further subject to compliance with all requirements that may be imposed by
the City Attorney, including but not limited, to those prescribed by applicable City Charter and Code
provisions.
Section 4. The City Manager is further authorized to negotiate and execute any and all
necessary documents, including amendments, modifications, and extensions, all in forms
acceptable to the City Attorney, subject to all federal, state, and local laws that regulate the use
of such funds to complete the economic development activities.
Section 5. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.2

2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
