("FOMT") for Tennis Center Programming and Operations, for the Department of Parks and Recreation ("Parks"), for an initial period of three (3) years, with an option to renew for two (2) additional one (1) year periods; authorizing the City Manager to execute the negotiated Professional Services Agreement ("PSA"), in substantially the attached form; further authorizing the City Manager to negotiate and execute all other documents, including any amendments, renewals, and extensions, subject to allocations, appropriations and budgetary approval having been previously made, and in compliance with applicable provisions of the Code of the City of Miami, Florida, as amended ("City Code"), including, the City of Miami's Procurement Ordinance, Anti - Deficiency Act, and Financial Integrity Principles, all as set forth in Chapter 18 of the City Code, in a form acceptable to the City Attorney, and in compliance with applicable regulations, as may be necessary for said purpose. Background of Item: On September 19, 2018, the Department of Procurement issued RFP 945385 under full and open competition, to obtain proposals from experienced and qualified firms to provide tennis center programming and operations at Morningside Park, for Parks. Proposers were required to meet all of the minimum qualification requirements established within the RFP in order to be deemed responsive and responsible to provide said services. On October 18, 2018, the Office of the City Clerk received two (2) proposals in response to the RFP. The Evaluation Committee ("Committee"), appointed by the City Manager, evaluated the Proposals following the guidelines set forth within the RFP. The Committee recommended award to the highest ranked proposer, FOMT. WHEREAS, the City of Miami ("City") recently renovated the tennis center at Morningside Park; and WHEREAS, on September 19, 2018, the Department of Procurement ("Procurement") issued Request for Proposal ("RFP") No. 945385 to secure a qualified and experienced firm for the programming and operation of this tennis center; and WHEREAS, on October 18, 2018, two (2) proposals were received by the Office of the City Clerk in response to the RFP; and WHEREAS, on November 19, 2018, the Evaluation Committee ("Committee") appointed by the City Manager convened to discuss and evaluate the two (2) responsive proposals, following the guidelines established within the RFP, and ranked Friends of Miami Tennis, Inc., a Florida not for profit corporation ("FOMT"), as the highest ranked responsive and responsible proposer; and WHEREAS, on January 2, 2019, the City Manager concurred with the recommendation of the Committee and authorized Procurement to enter into negotiations with FOMT for a Professional Service Agreement ("PSA") for tennis center programming and operations; and WHEREAS, Procurement and a designated negotiating team successfully completed negotiations with FOMT, and have recommended to the City Manager the execution of a PSA with FOMT; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The proposal received October 18, 2018, pursuant to RFP No. 945385 from FOMT, for tennis center programming and operations for Parks, for an initial period of three (3) years, with an option to renew for two (2) additional one (1) year periods, for a total term which shall not exceed five (5) years, on an as -needed contractual basis is accepted. Section 3. The City Manager is authorized' to execute the negotiated PSA, in substantially the attached form. Section 4. The City Manager is further authorized' to negotiate and execute all other documents, including any amendments, renewals, and extensions, subject to allocations, appropriations, and budgetary approval having been previously made, and in compliance with applicable provisions of the Code of the City of Miami, Florida, as amended ("City Code"), including the City's Procurement Ordinance, Anti -Deficiency Act, and Financial Integrity Principles, all as set forth in Chapter 18 of the City Code, in a form acceptable to the City Attorney, and in compliance with applicable regulations, as may be necessary for said purpose. Section 5. This Resolution shall become effective immediately upon its adoption and signature of the Mayor.2 APPROVED AS TO FORM AND CORRECTNESS: ndez, City 'ttor ey 7/16/2019 1 The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions. 2 This Resolution shall become effective as specified herein unless vetoed by the Mayor does within (10) days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective immediately upon override of the veto by the City Commission or upon the effective date stated herein, whichever is later.
