I have lived and worked in Downtown Miami for 17 years and have great familiarity with the various opportunities and challenges which exist here. I moved to Brickell Key in 2002 and soon thereafter bought a house in the South Miami Avenue neighborhood near Simpson Park, where I currently reside with my wife and four children. My first job in Miami was in the central business district, where I worked for 14 years until my law firm moved across the River to Brickell CityCentre in 2016. In addition to work and family interests Downtown, my civic role as Miami -Dade County Commissioner to the Florida Inland Navigation District ("FIND") provides me with a direct connection to the area. In this role, I am responsible for facilitating approximately $6 million in annual grant funding for waterfront improvement projects in Miami -Dade County. During my tenure as Commissioner, FIND has assisted the City of Miami in completing numerous waterfront improvement projects Downtown, including the Museum Park seawall/baywalk, the FEC Slip seawall/baywalk/mooring bollards, the Parcel B seawall/baywalk, the Watson Island boat ramp, The Miami Woman's Club baywalk, and the Miami Circle seawall and park. Other projects currently under consideration in Downtown are the baywalk connection under I- 395/MacArthur Causeway and a baywalk at the Brickell Presbyterian Church. The Miami DDA tackles many issues of importance to Downtown Miami including the institutions for arts and culture that are located in Downtown Miami. In my role as Director of the Perez Art Museum of Miami (PAMM), making Downtown and PAMM thriving destinations are part of my job. Transportation and traffic issues, especially the new bridge at 1-395, will become more critical in the next five years. Getting patrons in and out of the cluster of the Adrienne Arsht Center for the Performing Arts, the Frost Science Museum and PAMM, will be a challenge and having someone on the Board of the Miami DDA representing those interests will be crucial to focusing the maintenance of traffic issues. Representing the arts venues at the Miami DDA Board will not only give a voice to a critical economic development sector, but also will provide direct communication as to how the bridge construction is impacting our major arts institutions. Since coming to PAMM, he has overseen the acquisition of more than a thousand works of art by donation or purchase. At PAMM, Sirmans has pursued his vision of PAMM as "the people's museum," representing a Miami lens, by strengthening existing affiliate groups such as the PAMM Fund for African American Art the International Women's Committee and creating the Latin American and Latinx Art Fund. Sirmans has organized Toba Khedoori (2017) and he was cocurator of The World's Game: Futbol and Contemporary Art (2018). Prior to his appointment he was the department head and curator of contemporary art at Los Angeles County Museum of Art (LACMA) from 2010 until 2015. Given that I spent the lion share of my day within the urban core, I am acutely aware of the needs that exist in the neighborhood — from streets that are cleaner and more walkable, to better transit options and additional resources that will improve quality of life for Downtown residents, businesses and stakeholders. Beyond my legal practice, I am a member of the Orange Bowl Committee serving both as a board member and a host committee co- chair. Suzanne has extensive experience in handling all aspects of commercial real estate and finance transactions, including acquisitions, mixed -use development, leasing, public -private partnerships, commercial mortgage backed securities, and loan restructurings. Suzanne has advised developers in the development of hotels in mixed -use projects and is involved with the purchasing, financing, management and sale of large real estate and loan portfolios owned by institutional investors, pension funds and publicly traded companies. Suzanne restructured more than $4 billion of debt secured by hotels. She has drafted and negotiated many build -to -suit, office, mixed -use commercial and specialty leases on behalf of landlords and tenants in Class A buildings and projects, including single transactions in excess of 150,000 square feet. Representative transactions within the Miami Downtown Development boundaries: • $200 Million in Construction Loans for High -Speed Passenger Rail Stations Representation of All Aboard Florida in the nearly $200 million construction financing for mixed -use transportation oriented development centers in Miami -Dade, Broward, and Palm Beach counties. The centers will include transportation, restaurant, retail, and office components. • Sale of Iconic Miami Theme Park Representation of the owners of Jungle Island in the sale of the iconic, 18-acre theme park and banquet hall on Watson Island between Downtown Miami and Miami Beach. Several issues made the deal difficult, including the transaction being contingent on the assumption of three governmental loans. • Negotiation of Hotel Lease Agreement in Panorama Tower Representation of developer/owner of Panorama Tower in a built to suit long term lease for a 200+ key Hyatt Centric branded hotel to be located in the mixed -use high rise tower on Brickell Avenue in Miami, Florida • $280 Million Construction Loan for the 55-Story EPIC Hotel and Residences In Downtown Miami Representation of developer in obtaining a $280 million construction loan from Banco Santander for the EPIC Hotel and Residences, a mixed -use project including a 414-room Kimpton hotel, 342 condominium residences, and mega yacht marina on the Miami River. • Miami Dade College —Special Real Estate Counsel Representation of Miami Dade College in several real estate matters in the City of Miami including the long term ground lease of the Dyer Federal Building for the new Fashion Institute, redevelopment of the Wolfson campus, additions to the Medical Campus, as well as a long term management agreement for the Olympia theatre. • $72 Million Sale of the Conrad Miami Hotel Representation of Conrad Miami in the $72 million sale of the Conrad Miami Hotel. The deal was complex as C� Bilzin Sumberg the building in which the hotel is located includes an office component, an asset the firm previously negotiated sale of for $142 million. • $65 Million Acquisition and $49.5 Million Financing of the Holiday Inn Downtown Miami Representation of ITC Center Miami, LLC in the acquisition and financing of the Holiday Inn Downtown Miami. The transaction involved a complicated debt structure, a short term lease -back to the seller, and an extremely tight time frame to close. Our team secured the financing, which included negotiation of three separate loans with three different lenders, one of which was selected by our client days before dosing. • $104 Million Acquisition of and Financing for Office Buildings in Miami's Financial District Representation of prominent developer in connection with $104 million acquisition of and financing for the office complex located at 444 Brickell Avenue in Miami, Florida's financial district. We assisted with preliminary pre -development plans to ascertain govemment approvals, phasing and land use, and zoning and environmental requirements. The property is slated for a $1 billion redevelopment as a three -tower luxury condominium project with retail and commercial components, to be known as One Brickell. In connection with the redevelopment, negotiated a new lease and relocation agreement with long term restaurant tenant Capital Grille • Hyatt Regency Miami Redevelopment A member of the legal team representing the Hyatt Regency Miami in connection with the demolition of the existing hotel, massive redevelopment of the site to include a much larger hotel, retail, office and residential units, and the ground lease negotiations with the City of Miami. • Iconic Office Building Leasing Represented the Owner in the leasing of such iconic office buildings as 1450 Brickell, Southeast Financial Center and International Place. • Third Party Amenity Agreements for EPIC Hotel in Downtown Miami Negotiated all third party amenity agreements on behalf of the owner of the EPIC hotel and residences including the Zuma restaurant and the Exale Spa. • Complex Long -Term Lease for Cipriani Downtown Miami in Icon Negotiated on behalf of the tenant the Tong -term restaurant tease for the Cipriani Downtown restaurant. The lease was complicated as the space was one of the last commercial spaces to be constructed in the mixed - use Icon Project in downtown Miami.
