ENTERTAINMENT GROUP, INC. ("LICENSEE") FOR THE ULTRA MUSIC FESTIVAL
("ULTRA") AT THE MARINE STADIUM SITE AND THE VIRGINIA KEY BEACH SITE
(COLLECTIVELY, "SITE"), OR IN THE ALTERATIVE, DIRECTING THE CITY
MANAGER TO ALLOW THE RLA FOR ULTRA AT THIS SITE TO REMAIN IN EFFECT
AT THIS TIME.

A RESOLUTION OF THE MIAMI CITY COMMISSION TERMINATING FOR
CONVENIENCE THE REVOCABLE LICENSE AGREEMENT ("RLA") WITH EVENT
ENTERTAINMENT GROUP, INC. ("LICENSEE") FOR THE ULTRA MUSIC FESTIVAL
("ULTRA") AT THE MARINE STADIUM SITE AND THE VIRGINIA KEY BEACH SITE
(COLLECTIVELY, "SITE"), OR IN THE ALTERATIVE, DIRECTING THE CITY
MANAGER TO ALLOW THE RLA FOR ULTRA AT THIS SITE TO REMAIN IN EFFECT
AT THIS TIME.
WHEREAS, pursuant to Resolution No. 18-0523, adopted on November 15, 2018, the
City Commission approved a Revocable License Agreement ("RLA") with event entertainment
Group, Inc. ("Licensee") for the presentation of an annual Ultra Music Festival ("Ultra") at the
Marine Stadium site and Virginia Key Beach site (collectively, "Site") on the terms and
conditions, including use fee, use period, and other terms set forth in the RLA, and authorized
the City Manager to execute the RLA with the Licensee for Ultra; and
WHEREAS, Section 3.3 of the RLA provides that the RLA has no fixed term, is of an
indefinite duration, and may be revoked or terminated for convenience and without cause; and
WHEREAS, Section 3.4.2 of the RLA further provides that either the City or the
Licensee, may at the option of either party and without the other party's consent, terminate the
RLA, for convenience and without cause, upon at least three hundred and five (305) days
written notice prior to the next subsequent event;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble of this Resolution are
adopted by reference and incorporated herein as if fully set forth in this Section.
Section 2. The City Manager is hereby directed to terminate for convenience the RLA
with Licensee for Ultra at the Site, or in the alterative, the City Manager is directed to allow the
RLA for Ultra at this Site to remain in effect at this time.
Section 3. This Resolution shall become effective immediately upon adoption and
signature of the Mayor.'
1 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
