Subject: Lease Agreement - Miami Yacht Show
Purpose of Item:
A Resolution of the Miami City Commission, with attachment(s), authorizing the City
Manager to execute a revocable license ("License"), in substantially the attached form,
between the City of Miami ("City") and Yachting Promotions, Inc., a Florida Corporation
("Licensee"), for the use of a portion of City owned submerged lands located between
Macarthur Causeway and Venetian Causeway and between the shoreline and the
western edge of the Intracoastal Waterway ("License Area"), as more particularly
described in the License, with a Use Fee of Fifty Nine Thousand Seven Hundred Eighty
Three Dollars and 76/100 Cents ($59,783.76) per month; subject to the written approval
of the Board of Trustees of the Internal Improvements Trust Fund ("TIITF"); with
additional terms and conditions more particularly set forth in the License.
Background of Item:
The City is the fee simple owner of certain submerged lands lying between Macarthur
Causeway and Venetian Causeway ("License Area") located in Miami -Dade County,
Florida. The Licensee operates the Miami Yacht Show ("Show(s)") which event is
scheduled for the dates as outlined in Exhibit A of the License. The Licensee desires to
use City's property for the purpose of operating the Miami Yacht Show in the License
Area.
The Miami Yacht Show will generate business, tourism, and jobs to the City and its
residents. In 2018 the Miami Yacht Show generated over $486,000,000 in economic
output to the State of Florida. The Miami Yacht Show attracts over 29,000 visitors, 30%
of whom come from outside of Florida and provides the equivalent of 3,576 full time
jobs.
The City desires to grant to Licensee a license for the aforementioned purpose, with a
Use Fee of Fifty Nine Thousand Seven Hundred Eighty Three Dollars and 76/100 Cents
($59,783.76) per month, subject to the approval of the TIITF.

A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE A REVOCABLE LICENSE
("LICENSE"), IN SUBSTANTIALLY THE ATTACHED FORM, PURSUANT TO
SECTIONS 18-600 AND 18-602 OF THE CODE OF THE CITY OF MIAMI, FLORIDA,
AS AMENDED, BETWEEN THE CITY OF MIAMI ("CITY") AND YACHTING
PROMOTIONS, INC., A FLORIDA FOR PROFIT CORPORATION ("LICENSEE"), FOR
AN INITIAL PERIOD STARTING JANUARY 14, 2019 AND ENDING MARCH 2, 2019
FOR THE USE OF A PORTION OF CITY OWNED SUBMERGED LANDS LOCATED
BETWEEN THE MACARTHUR CAUSEWAY AND THE VENETIAN CAUSEWAY AND
BETWEEN THE SHORELINE AND THE WESTERN EDGE OF THE INTRACOASTAL
WATERWAY ("LICENSE AREA"), AS MORE PARTICULARLY DESCRIBED IN THE
LICENSE, WITH A USE FEE OF FIFTY NINE THOUSAND SEVEN HUNDRED
EIGHTY THREE DOLLARS AND 76/100 CENTS ($59,783.76) PER MONTH;
SUBJECT TO THE WRITTEN APPROVAL OF THE BOARD OF TRUSTEES OF THE
INTERNAL IMPROVEMENTS TRUST FUND; WITH SUCH ADDITIONAL TERMS AND
CONDITIONS AS MORE PARTICULARLY SET FORTH IN THE LICENSE.
WHEREAS, the City of Miami ("City") is the fee simple owner of certain submerged lands
lying between the Macarthur Causeway and the Venetian Causeway ("License Area") located in
Miami -Dade County, Florida; and
WHEREAS, Sections 18-600 and 18-602 of the Code of the City of Miami, Florida, as
amended ("City Code"), provide that the City may directly negotiate and contract for the use of
City -owned submerged lands with entities having an ownership or possessory interest in the
abutting riparian uplands; and
WHEREAS, Yachting Promotions, Inc., a Florida for Profit Corporation ("Licensee"),
operates the Miami Yacht Show ("Show"), which is scheduled for the dates as outlined in Exhibit
"A" of the License; and
WHEREAS, the Licensee desires to use the License Area for the purpose of operating
the Show; and
WHEREAS, the Show will generate business, tourism, and jobs within the City and
benefit the City's residents; and
WHEREAS, in 2018, the Show generated over $486,000,000.00 in economic output
within the State of Florida ("State"); and
WHEREAS, the Show attracts over 29,000 visitors yearly, thirty percent (30%) of whom
come from outside the State; and
WHEREAS, the Show provides the equivalent of 3,576 jobs; and
WHEREAS, the Licensee has voluntarily proffered a donation in the amount of one
hundred fifty thousand dollars ($150,000.00) to the City for facilitating the construction of a
Baywalk link under the MacArthur Causeway; and
WHEREAS, the City desires to grant to the Licensee a revocable license ("License"), in
substantially the attached form, for the aforementioned purpose; and
WHEREAS, except as specifically provided herein, this License is not assignable and is
revocable at -will by the City Manager and without the consent of the Licensee pursuant to the
notice provisions in Section 18 of the License; and
WHEREAS, this License does not transfer any interest or right in real property outside of
the scope of the License and the License does not convey, hypothecate, confer, or transfer a
right to use any real property for any general purpose not specified in the License;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized' to accept the donation in the amount of one
hundred fifty thousand dollars ($150,000.00) from the Licensee.
Section 3. The City Manager is further authorized' to execute a License, in substantially
the attached form, pursuant to Sections 18-600 and 18-602 of the City Code between the City
and the Licensee for an initial period starting January 14, 2019 and ending March 2, 2019 for
the use of the License Area with a use fee of Fifty Nine Thousand Seven Hundred Eighty Three
Dollars and 76/100 Cents ($59,783.76) per month, subject to the written approval of the Board
of Trustees of the Internal Improvements Trust Fund, with additional terms and conditions as
more particularly set forth in the License.
Section 4. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.2

1 The herein authorization is further subject to compliance with all requirements that may be imposed by
the City Attorney, including but not limited to, those prescribed by applicable City Charter and City Code
provisions.
2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
