Subject: Bid Waiver - Terma North America, Inc.
Purpose of Item:
It is respectfully recommended that the Miami City Commission adopt the attached
resolution, by a four -fifths (4/5ths) affirmative vote, ratifying, confirming and approving
the City Manager's written finding of an emergency, waiving competitive sealed bidding
procedures and retroactively approving the selection of Terma North America, Inc.
("Terma") for the replacement of maritime radar antenna for Fire.
Background of Item:
Fire's Urban Area Security Initiative ("UASI") installed an antenna in early 2017 on the
roof top of The Grand Condominium located at 1717 North Bayshore Drive, Miami, FL
33132. During hurricane Irma the antenna was destroyed by high force winds. A
replacement antenna is required, in order to continue to be part of the region -wide
counter terrorism/interdiction project ("Project") that covers the entire coast from Palm
Beach County to Monroe County, and extending fifty (50) miles out to sea. The Project
is a collaborative effort by local law enforcement agencies to prevent terrorism. Since
the destruction of the antenna Miami -Dade County is the only inoperable system leaving
our county open to potential attacks causing a national security issue. The purchase of
the antenna was approved as an emergency under the City's Manager authority and
was funded by UASI.

A RESOLUTION OF THE MIAMI CITY COMMISSION, BY A FOUR -FIFTHS (4/5)
AFFIRMATIVE VOTE, RATIFYING, CONFIRMING, AND APPROVING THE CITY
MANAGER'S EMERGENCY FINDING, ATTACHED AND INCORPORATED AS
EXHIBIT "A," THAT IT IS MOST ADVANTAGEOUS FOR THE CITY TO WAIVE THE
COMPETITIVE SEALED BIDDING PROCEDURES, PURSUANT TO SECTION 18-90
OF THE CODE OF THE CITY OF MIAMI, FLORIDA, AS AMENDED; FURTHER
APPROVING THE RETROACTIVE SELECTION OF TERMA OF NORTH AMERICA
INC., A FOREIGN PROFIT CORPORATION, FOR THE PURCHASE OF A MARITIME
RADAR ANTENNA, IN THE AMOUNT OF $105,433.08.
WHEREAS, the City of Miami's Department of Fire -Rescue ("Fire") required the
replacement of the maritime radar antenna that was damaged by hurricane Irma in order to
continue being part of the region -wide counter terrorism/interdiction project ("Project"); and
WHEREAS, the City Manager, pursuant to Section 18-90 of the Code of the City of
Miami, Florida, as amended ("City Code"), approved an emergency purchase to acquire the
antenna;
WHEREAS, the emergency purchase of this maritime radar antenna was necessary to
service and enhance the health, safety, and welfare of City of Miami ("City") residents;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. By a four -fifths (4/5ths) affirmative vote, pursuant to Section 18-90 of the City
Code, the City Manager's emergency finding, attached and incorporated as Exhibit "A," is
ratified and retroactively approved; the requirements for competitive sealed bidding procedures
are waived; and the emergency purchase of the antenna from Terma North America, Inc. for
Fire, in the amount of $105,433.08, is approved.
Section 3. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.'
1 This resolution shall become effective as specified herein unless vetoed by the Mayor within ten (10)
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission or upon the effective date stated
herein, whichever is later.
