Bid Waiver - Families First Parenting Program
Purpose of Item:
A Resolution authorizing City Manager after finding competitive negotiation methods are
not practicable or advantageous and pursuant to section 18-85 (A) of the Code of the
City of Miami, Florida; to execute an agreement, in substantially the attached form, with
Exceptional Consulting for Educational Leaders, Inc., for a period commencing August
1, 2018 through July 31, 2019, in an amount not to exceed $80,000.00, with the option
to renew for five (5) additional one-year periods; with funds allocated for Fiscal Year
2018-2019, with future Fiscal Years' funding, subject to budgetary approval.
Background of Item:
The Department of Grants Administration, Education Initiatives recommends that the
City of Miami enter into agreements with Exceptional Consulting for Educational
Leaders, Inc., Florida For -Profit Corporation to provide services for the Parenting
"Families First" program as part of a grant from The Children's Trust. Approval of the
resolution authorizes the City Manager to execute the agreement with this organization.
The Children's Trust has recommended the City of Miami for a grant totaling
$173,170.00 for the Families First Parenting Program.

A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), BY A
FOUR -FIFTHS (4/5THS) AFFIRMATIVE VOTE, AFTER AN ADVERTISED PUBLIC
HEARING, RATIFYING, APPROVING, AND CONFIRMING THE CITY MANAGER'S
FINDINGS AND RECOMMENDATIONS IN EXHIBIT "A," ATTACHED AND
INCORPORATED, THAT COMPETITIVE NEGOTIATION METHODS AND
PROCEDURES ARE NOT PRACTICABLE OR ADVANTAGEOUS PURSUANT TO
SECTION 18-85(A) OF THE CODE OF THE CITY OF MIAMI, FLORIDA, AS
AMENDED ("CITY CODE"); WAIVING THE REQUIREMENTS FOR SAID
PROCEDURES; APPROVING THE FINDINGS AND RECOMMENDATIONS OF THE
CITY OF MIAMI'S ("CITY") DEPARTMENT OF GRANTS ADMINISTRATION THAT
EXCEPTIONAL CONSULTING EDUCATIONAL LEADERS, INC., A FLORIDA FOR -
PROFIT CORPORATION ("SERVICE PROVIDER"), IS THE MOST QUALIFIED
ORGANIZATION TO PROVIDE INSTRUCTION, FAMILY ACTIVITIES, MENTORING,
COMMUNITY WORKSHOPS, AND OTHER SUCH ACTIVITIES IN CONJUNCTION
WITH PARENTING SERVICES (COLLECTIVELY, "PROGRAM SERVICES") AT
VARIOUS CHILDCARE CENTERS WITHIN THE CITY FOR THE FAMILIES FIRST
PARENTING PROGRAM ("PROGRAM"); AUTHORIZING THE CITY MANAGER TO
NEGOTIATE AND EXECUTE, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY,
SERVICE AUTHORIZATION LETTERS, PROFESSIONAL SERVICE AGREEMENTS,
AND AMENDMENTS, EXTENSIONS, RENEWALS, AND MODIFICATIONS, AS
NECESSARY AND IN COMPLIANCE WITH THE RELATED CHILDREN'S TRUST
CONTRACT ("TRUST CONTRACT"), WITH THE SERVICE PROVIDER, IN AN
AMOUNT NOT TO EXCEED EIGHTY THOUSAND DOLLARS ($80,000.00) FOR A
PERIOD COMMENCING AUGUST 1, 2018 THROUGH JULY 31, 2019, WITH THE
OPTIONS TO RENEW FOR UP TO FIVE (5) ADDITIONAL PERIODS AT THE SAME
NOT TO EXCEED AMOUNT, UNDER THE SAME TERMS AND CONDITIONS FOR
COMPLIANCE, WITH THE PROGRAM AND THE TRUST CONTRACT, SUBJECT TO
BUDGETARY APPROVAL AT TIME OF NEED.
WHEREAS, the City of Miami's ("City") Office of Grants Administration ("OGA") has
been awarded a reimbursement grant from The Children's Trust ("Trust") for the City's Families
First Parenting Program ("Program") in an amount not to exceed One Hundred Seventy -Three
Thousand One Hundred Seventy Dollars ($173,170.00) ("Grant") for the period from August 1,
2018 through July 31, 2019, for services for the Program to be provided at various childcare
centers within the City and pursuant to the negotiated contract ("Trust Contract") between the
City and the Trust, for said purposes; and
WHEREAS, the Program is comprised of a cooperative effort between the OGA and one
(1) for -profit organization, Exceptional Consulting for Educational Leaders, Inc., a Florida profit
corporation ("Service Provider"), for its successful implementation; and
WHEREAS, the Program's goals are to improve literacy skills, to provide parent -child
activities, to strengthen oral language development, and to give parents a venue to share
concerns, learn new behavior strategies, and connect to a variety of support family stability
programs; and
WHEREAS, the 2018-2019 Children's Trust Notice of Funding Application requires the
City to have an established relationship with the Service Provider identified in the application
and the proposed Professional Service Agreement ("Agreement") is a continuation of said
services; and
WHEREAS, the Service Provider was determined by the OGA in connection with the
Trust Contract to be the most advantageous organization in the City's best interest to provide
instruction, family activities, mentoring, community workshops, and other such activities in
conjunction with parenting services (collectively, "Program Services") at day care centers within
the City; and
WHEREAS, pursuant to Exhibit "A," attached and incorporated, the City Manager has
approved the findings and recommendations of the OGA and has made findings that pursuant
to Section 18-85(a) of the Code of the City of Miami, Florida, as amended ("City Code"),
competitive negotiation methods and procedures are not practicable or advantageous for
obtaining said Program Services and has recommended to the City Commission that the
findings and recommendations be adopted and that competitive bidding methods and
procedures be waived for the Program Services; and
WHEREAS, the City Manager and the OGA are requesting for the City Commission to
authorize the City Manager to negotiate and execute, in a form acceptable to the City Attorney,
Service Authorization Letters, Agreements, and any amendments, extensions, renewals, and
modifications, as necessary and in compliance with the related form of Trust Contract, with the
Service Provider for an amount not to exceed Eighty Thousand Dollars ($80,000.00) for the
period from August 1, 2018 through July 31, 2019 with the option to renew for five (5) additional
similar periods for the same not to exceed amount under the same terms and conditions for
compliance with the Program and the Trust Contract, subject to budgetary approval at time of
need;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble of this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. By a four -fifths (4/5ths) affirmative vote, after an advertised public hearing,
the City Manager's findings and recommendations in Exhibit "A," attached and incorporated,
that competitive negotiation methods and procedures are not practicable or advantageous,
pursuant to Sectionl8-85(a) of the City Code and waiving the requirements for said procedures
is ratified, approved, and confirmed and the City's OGA findings and recommendations that the
Service Provider is the most qualified organization to provide Program Services at various day
care centers within the City for the Program are approved.
Section 3. The City Manager is authorized to negotiate and to execute, in a form
acceptable to the City Attorney, Service Authorization Letters, Agreements, and amendments,

extensions, renewals, and modifications, as necessary and in compliance with the Trust
Contract, with the Service Provider for an amount not to exceed Eighty Thousand Dollars
($80,000.00), for a period commencing August 1, 2018 through July 31, 2019, with the options
to renew for up to five (5) additional periods at the same not to exceed amount, under the same
terms and conditions, for compliance with the Program and the Trust Contract, subject to
budgetary approval at time of need.
Section 4. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor. 2

from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
