Subject: Execute Professional Service Agreement - Greater Miami Services Corporation
Purpose of Item:
The purpose of this Resolution is for the Miami City Commission to authorize the City
Manager to execute the an amendment to the Professional Services Agreement as
Resolution No. 17-0422, which gave, inter alia, the City Manager authorization to
negotiate and execute the amendment, required the amendment to be agreed upon and
executed within ninety (90) days, and the ninety (90) days has expired. As such, this is
a Resolution of the Miami City Commission, with attachment(s), authorizing the
execution of an amendment to the Professional Services Agreement between the City
of Miami ("City") and Greater Miami Services, Corps., a Florida not for profit corporation
("Greater Miami"), authorized by Resolution No. 15-0535 adopted on December 10,
2015 for the beautification of Martin Luther King Boulevard, in substantially the attached
form, to modify the period of performance from January 1, 2016 through December 31,
2016 to April 1, 2016 through March 31, 2017, wherein the Miami City Commission,
pursuant to Resolution No. 17-0422 adopted on or about September 19, 2017 waived
the requirements for competitive sealed bidding methods as not being practicable or
advantageous to the City, ratified, confirmed, and approved the City Manager's
recommendation by a 4/5 affirmative vote pursuant to section 18-85 of the City Code, as
amended, and authorized retroactive payments not to exceed $38,611.12 to Greater
Miami for work performed without a contract during the period of January 1, 2017
through March 1, 2017.
Background of Item:
The Greater Miami Service Corps., established in 1990, is a non-profit organization
whose mission "is to transform the lives of young people through education and service
activities that improve our communities and strengthen our local workforce. Greater
Miami Service Corps' program model uses service as a strategy to connect young
people in Miami -Dade County to education and meaningful work experience
opportunities while at the same time providing cost effective services that improve our
community and create tax -payers instead of tax -dependents. The previous contract with
Greater Miami Service Corp was awarded by Resolution No. 15-0535, for a term of one
year from January 1, 2016 to December 31, 2016. Resolution No. 17-0422 gave, inter
alia, the City Manager authorization to negotiate and execute the amendment.
However, that Resolution required the amendment to be agreed upon and executed
within ninety (90) days, and the ninety (90) days has expired.

A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
REAFFIRMING ITS FINDINGS MADE AND ACTIONS TAKEN IN RESOLUTION NO.
17-0422, ADOPTED SEPTEMBER 19, 2017; AUTHORIZING THE CITY MANAGER,
OR DESIGNEE, TO EXECUTE AN AMENDMENT TO THE PROFESSIONAL
SERVICES AGREEMENT BETWEEN THE CITY OF MIAMI ("CITY") AND GREATER
MIAMI SERVICES, CORPS., A FLORIDA NOT FOR PROFIT CORPORATION
("GREATER MIAMI"), FOR THE MAINTENANCE AND BEAUTIFICATION OF MARTIN
LUTHER KING BOULEVARD, IN SUBSTANTIALLY THE ATTACHED FORM, TO
MODIFY THE PERIOD OF PERFORMANCE FROM JANUARY 1, 2016 THROUGH
DECEMBER 31, 2016, TO APRIL 1, 2016 THROUGH MARCH 31, 2017, FOR WORK
PERFORMED WITHOUT A CONTRACT, DURING THE PERIOD OF JANUARY 1,
2017 THROUGH MARCH 31, 2017 AND, UPON EXECUTION OF THE AMENDMENT,
TO MAKE RETROACTIVE PAYMENTS IN THE AMOUNT NOT TO EXCEED THIRTY-
EIGHT THOUSAND SIX HUNDRED ELEVEN DOLLARS AND TWELVE CENTS
($38,611.12) TO GREATER MIAMI WITH FUNDING IN THE AMOUNT NOT TO
EXCEED THIRTY-EIGHT THOUSAND, SIX HUNDRED ELEVEN DOLLARS AND
TWELVE CENTS ($38,611.12) AS PREVIOUSLY ALLOCATED FROM A SPECIAL
REVENUE FUND PURSUANT TO RESOLUTION NO. 17-0422 ADOPTED
SEPTEMBER 19, 2017.
WHEREAS, on December 10, 2015, pursuant to Resolution No. 15-0535, the Miami City
Commission by a four -fifths (4/5) affirmative vote and after an advertised public hearing, ratified,
confirmed, and approved the City Manager's recommendation and written findings pursuant to
Section 18-85 of the Code of the City of Miami, Florida, as amended ("City Code"), waiving the
requirements for competitive sealed bidding methods as not being practicable or advantageous
to the City of Miami ("City") for the maintenance and beautification of Martin Luther King
Boulevard ("Services") for the period of January 1, 2016 through December 31, 2016; and
WHEREAS, pursuant to Resolution No. 15-0535, the City entered into a Professional
Services Agreement ("PSA") with the Greater Miami Service Corps., a Florida not for profit
corporation ("Greater Miami"), for the Services for the period from January 1, 2016 through
December 31, 2016, with annual compensation in an amount not to exceed one hundred
seventy-four thousand dollars ($174,000.00) with funds allocated from the Special Revenue
Fund; and
WHEREAS, there was a delay in the execution of the PSA that resulted in a delay of the
start of Services to be provided by Greater Miami; and
WHEREAS, Greater Miami satisfactorily performed the Services from April 1, 2016
through March 31, 2017; and
WHEREAS, Greater Miami satisfactorily performed the Services beyond the December
31, 2016 date, specifically from January 1, 2017 through March 31, 2017, without a contract;
and
WHEREAS, the three (3) month period of Services rendered was within the original
budgeted, not to exceed amount of one hundred seventy-four thousand dollars ($174,000.00);
and
WHEREAS, on September 19, 2017, pursuant to Resolution No. 17-0422, the Miami
City Commission by a four -fifths (4/5) affirmative vote, ratified, confirmed, and approved the City
Manager's recommendation and written findings, pursuant to Section 18-85 of the City Code,
waiving the requirements for competitive sealed bidding methods as not being practicable or
advantageous to the City for the Services rendered by Greater Miami from January 1, 2017
through March 31, 2017; and
WHEREAS, a modification to the PSA was deemed necessary to make retroactive
payments to Greater Miami for the Services rendered from January 1, 2017 through March 31,
2017 and said modification and retroactive payments were authorized by Resolution No. 17-
0422 in the amount not to exceed thirty-eight thousand six hundred eleven dollars and twelve
cents ($38,611.12); and
WHEREAS, Resolution No. 17-0422 further indicated that if the required amendment to
the PSA had not been agreed upon and executed within ninety (90) days of the rendition of
Resolution No. 17-0422, the matter would be brought back to the City Commission to approve
further action by the City Administration; and
WHEREAS, the amendment to the PSA has been agreed upon and is ready to be
executed by the City, however, the ninety (90) days has elapsed;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The City Commission reaffirms its findings made and actions taken in
Resolution No. 17-0422.
Section 3. The City Manager, or his designee, is authorized' to execute an amendment
to the PSA, in substantially the attached form, for said purpose of extending the PSA to modify
the period of performance to from April 1, 2016 through March 31, 2017, for work performed
without a contract during the period of January 1, 2017 through March 31, 2017 and, upon
execution of the amendment, to make retroactive payments in the amount not to exceed thirty-
eight thousand six hundred eleven dollars and twelve cents ($38,611.12).
'The herein authorization is further subject to compliance with all requirements that may be imposed by
the City Attorney, including but not limited, to those prescribed by applicable City Charter and City Code
provisions.
2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
Section 4. Funds in the amount not to exceed thirty-eight thousand six hundred eleven
dollars and twelve cents ($38,611.12) have already been allocated from a Special Revenue
Fund pursuant to Resolution No. 17-0422 and remain allocated accordingly.
Section 5. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.2
