Therefore, this e-mail communication may be subject to public disclosure. 3 AMENDMENT TO THE PROFESSIONAL SERVICE AGREEMENT BETWEEN ACCELA AND THE CITY OF MIAMI, FL This Amendment to the Professional Service Agreement is dated May 23rd, 2018, and entered into, by and between Accela Inc., a California Corporation (hereinafter referred to as "Accela") and the City of Miami, FL (hereinafter referred to as "Client"), with reference to the following: WHEREAS, the Client had a contract with Accela for IQM2 products and those IQM2 assets have now been purchased by Granicus, LLC, a Minnesota Limited Liability Company; NOW, THEREFORE, in consideration of the premises, the parties intend that the Agreement be amended as follows: 1. The parties agree that Granicus, LLC, a Minnesota Limited Liability Company, will assume all rights and obligations of the previous contract(s). 2. Except as amended by this Amendment, all other terms and conditions of the Professional Services Agreement shall remain in full force and effect. 3. In the event of any inconsistency between the provisions of this Amendment and the documents comprising the Agreement, the provisions of this Amendment shall prevail.
