JOINDER OF COVENANTEE
The undersigned, Omni Redevelopment District Community Redevelopmeit Agency of the
City of Miami, a public agency and body corporate created pursuant to Section 163.356, Florida
Statutes ("(ovenantee"), being the present legal and equitable owner and holder of the rights
secured by and more fully described in that certain Declaration of Restrictive Covenants dated
December 2, 2009, in favor of Covenantee recorded in Book 27102, Pages 4686-4690, of the
Public Records of Miami -Dade County, Florida (the "Restrictive Covenant"), which Restrictive
Covenant covers, among other things, the land described in the attached EXHIBIT "A" and
which Lease Agreement between grantor and MWC Development, LLC is also subject, does
hereby join in the execution of this Indenture specifically as it relates only to the grant of right-
of-way deed to the City of Miarni ("Grantee") in order to confirm and acknowledge
Covenantee's agreement(a) to the terms and provisions of this Indenture, (b) that grantor's
execution and delivery of this Indenture as it relates only to this grant of right-of-way deed to
Grantee shall not be deemed to be a default by grantor in the performance of its obligations
under that certain Grant Agreement by and between grantor and Covenantee dated November 18,
2008, and that certain Addendum to said Grant Agreement darted June 18, 2009, and (c) that
grantor's execution and delivery of this Indenture as it relates only to this grant of light -of -way
deed to Grantee shall not be deemed to be a default by grantor under the Restrictive Covenant
executed by grantor in favor of Covenantee.
