Subject: Execute Quitclaim Deed - Lummus Park
Purpose of Item:
A Resolution of the Miami City Commission, with attachment(s), authorizing the City
Manager to execute a Quitclaim Deed ("Deed"), in substantially the attached form,
conveying two (2) corner portions of the existing sidewalk located within City -owned
property known as Lummus Park, along the corridor of State Road 925 a/k/a Northwest
3rd Court, and further identified as a portion of Folio number 01-0109-030-2010
("Property"), as more particularly described in Exhibit "A" of the Deed, to the State of
Florida Department of Transportation ("FDOT"), an agency and instrumentality of the
State of Florida, containing a reverter provision with terms more particularly described in
said Deed. Further authorizing the City Manager to execute all documents and
amendments, in a form acceptable to the City Attorney, as deemed necessary to
consummate this conveyance.
Background of Item:
The City of Miami ("City") is the fee simple owner of portions of the sidewalk located
within the Property along the corridor of State Road 925 a/k/a Northwest 3rd Court that
is necessary to be acquired by FDOT for the proposed improvement project ("Project")..
The FDOT proposed scope of work for the Project includes, but is not limited to,
replacing the mast arm and improving the sidewalk and ramps to comply with
Americans with Disabilities Act ("ADA") requirements.
Pursuant to Section 29-B(c) of the Charter of the City of Miami, Florida, as amended,
the provisions of this section and any other City requirements for competitive bidding
shall not apply for the conveyance or disposition of City -owned property in connection
with the implementation of projects of any governmental agency or instrumentality.
It is necessary that the Property owned by the City, be conveyed to the FDOT to enable
the proposed Project. The Property will be conveyed "as is" and "where is" and the City
will not warrant the sufficiency of its title nor interest it may have in the Property.

A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), BY A
FOUR -FIFTHS (4/5THS) AFFIRMATIVE VOTE, PURSUANT TO SECTION 29-B(C) OF
THE CHARTER OF THE CITY OF MIAMI, FLORIDA, AS AMENDED, AUTHORIZING
THE CITY MANAGER TO EXECUTE A QUITCLAIM DEED ("DEED"), IN
SUBSTANTIALLY THE ATTACHED FORM, CONVEYING TWO (2) CORNER
PORTIONS OF THE EXISTING SIDEWALK LOCATED WITHIN CITY -OWNED
PROPERTY KNOWN AS LUMMUS PARK, ALONG THE CORRIDOR OF STATE
ROAD 925 A/K/A NORTHWEST 3RD COURT AND FURTHER IDENTIFIED AS A
PORTION OF FOLIO NUMBER 01-0109-030-2010 ("PROPERTY"), AS MORE
PARTICULARLY DESCRIBED IN EXHIBIT "A" OF THE DEED, TO THE STATE OF
FLORIDA DEPARTMENT OF TRANSPORTATION, AN AGENCY AND
INSTRUMENTALITY OF THE STATE OF FLORIDA, CONTAINING A REVERTER
PROVISION AND WITH TERMS MORE PARTICULARLY DESCRIBED IN SAID
DEED; FURTHER AUTHORIZING THE CITY MANAGER TO EXECUTE ANY AND ALL
OTHER DOCUMENTS AND AMENDMENTS, IN A FORM ACCEPTABLE TO THE
CITY ATTORNEY, AS DEEMED NECESSARY FOR SAID PURPOSE.
WHEREAS, the City of Miami ("City") is the fee simple owner of portions of the existing
sidewalk located within the City -owned property known as Lummus Park along the corridor of
State Road ("SR") 925 a/k/a Northwest 3rd Court, Miami, Florida ("Property"), that the City
wishes to convey to the Florida Department of Transportation, an agency and instrumentality of
the State of Florida ("FDOT"), for the completion of certain proposed improvements; and
WHEREAS, the City desires to convey the Property to FDOT by Quitclaim Deed
("Deed") for said improvements in an "as is" and "where is" condition, without warranty as to the
sufficiency of the City's title nor interest it may have in the Property and with a reverter provision
in the Deed; and
WHEREAS, FDOT's proposed scope of work for the project includes, but is not limited
to, replacing the mast arm and improving the sidewalk and ramps ("Project") to comply with
requirements of the Americans with Disabilities Act ("ADA"); and
WHEREAS, pursuant to Section 29-B(c) of the Charter of the City of Miami, Florida, as
amended ("Charter"), the provisions of Section 29-B of the Charter and any other City
requirements for competitive bidding shall not apply for the conveyance or disposition of City -
owned property in connection with the implementation of projects of any governmental agency
or instrumentality;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. By a four -fifths (4/5ths) affirmative vote, pursuant to Section 29-B(c) of
the Charter, the City Manager is hereby authorized' to execute the Deed, in substantially
the attached form, conveying the Property, as more particularly described in Exhibit "A" of
the Deed, to FDOT, containing a reverter provision and with terms more particularly
described in the Deed.
Section 3. The City Manager is further authorized' to execute any and all other
documents and amendments, in a form acceptable to the City Attorney, as deemed necessary
for said purpose.
Section 4. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.2

1 The herein authorization is further subject to compliance with all requirements that may be imposed by
the City Attorney, including but not limited to, those prescribed by applicable City Charter and City Code
provisions.
2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
