Subject: Interlocal Agreement - Brickell Rapid Transit Zone
Purpose of Item:
To authorize the City Manager to execute an Interlocal Agreement with Miami -Dade
County for future development within the Brickell RTZ. Said agreement provides for
coordination and facilitation of development in the Brickell Subzone of the County's
Rapid Transit Zone (RTZ).
Background of Item:
Miami -Dade County adopted on first reading an ordinance which would extend the
boundary of the Brickell RTZ to include properties located with the City of Miami. This
ordinance establishes development regulations and a development review and approval
process applicable to the Subzone. The Interlocal Agreement establishes County
jurisdiction for building and zoning approvals, water and sewer installations,
environmental compliance, street maintenance, and utility regulation over the Subzone
for any future development that meet certain parameters. The City will participate to
provide input through representation at the Rapid Transit Development Impact
Committee (RTDIC). Additionally, the County and the City agree to allocate the
payment of regulatory reviews and approvals and construction permits to the County
and payments of related impact fees to the City.
On July 13, 2017, the City Commission approved a Resolution to authorize the City
Manager to execute a Public Benefit Agreement with Southside Place, LLC, regarding
the construction of the new Fire Station No. 4. Subsequently, Southside Place, LLC,
and City staff have worked with the County to extend the Brickell Rapid Transit Zone to
include those properties for a transit -development oriented mixed -use project that will
deliver the investment of Eight Million Dollars ($8,000,000.00) towards the construction
of a new Fire Station No. 4, pursuant to City specifications, consisting of approximately
thirty thousand (30,000) square feet of space, two (2) floors with a mezzanine, new
workout equipment, and ample space for different sized fire -rescue trucks the City will
be obtaining upon completion of the new Fire Station No. 4. The project will also include
construction of a parking garage pedestal above the new Fire Station No. 4 and a mixed
-used use tower with first floor retail Upon issuance of a temporary certificate of
occupancy for the new Fire Station No. 4, payment shall be made to the City of Two
Million Two Hundred Thousand Dollars ($2,200,000.00) restricted for the purchase of
one (1) ladder truck, one (1) engine truck, two (2) fire -rescue trucks , and two (2) Ford
trucks. The Public Benefit Agreement also provides for conveyance to the City of fifty
(50) parking spaces valued at approximately One Million Five Hundred Thousand
Dollars ($1,500,000.00) to be owned by the City and available as public parking, with
management by the MPA; annual payment to the City of a Profit Participation Payment
of five percent (5%) of all profits generated by this project, with the initial eight hundred
thousand dollars ($800,000.00) of that amount paid in advance, regardless of the actual
profits generated by Southside; with the City's Profit Participation Payment of any
potential future Southside sale or lease going directly towards Fire -Rescue;

A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE AN INTERLOCAL AGREEMENT,
IN SUBSTANTIALLY THE ATTACHED FORM, BETWEEN MIAMI-DADE
COUNTY("MDC") AND THE CITY OF MIAMI ("CITY") FOR EXPANSION AND
DEVELOPMENT OF THE RAPID TRANSIT ZONE ("RTZ") WITH INCLUSION OF THE
BRICKELL METRORAIL STATION, ITS SURROUNDING PROPERTY, A NEW CITY
FIRE STATION NO. 4, PUBLIC -PRIVATE PARKING GARAGE, AND MIXED -USE
PROJECT.
WHEREAS, Miami -Dade County ("MDC") has adopted Chapter 33C of the Code of
Miami -Dade County, Florida, as amended ("County Code"), which establishes the Rapid Transit
Zone ("RTZ") and grants exclusive jurisdiction to MDC for purposes of building and zoning
approvals, water and sewer installations, environmental compliance, street maintenance, and
utility regulation for all property located within the RTZ; and
WHEREAS, Chapter 33C of the County Code provides for municipal participation in the
design, review, zoning, and development process through the Rapid Transit Developmental
Impact Committee ("RTDIC"), which includes representation from the municipality in which such
a project may be located; and
WHEREAS, on March 20, 2018, MDC adopted an Ordinance on First Reading, depicted
in Attachment "A," which would extend the boundary of the RTZ to include a Brickell Station
Subzone ("Subzone") on that certain property located within MDC and the City of Miami ("City"),
as depicted in Attachment "B," which would establish development regulations and a
development review and approval process applicable to the Subzone; and
WHEREAS, the Subzone is located within the City's Urban Central Business District as
designated on the City's Future Land Use Map and within the Downtown Regional Urban Center
as designated on MDC's Future Land Use Map; and
WHEREAS, the expanded boundary of the RTZ includes within the Subzone that certain
property depicted in Attachment "C", which is owned, in part, by Southside Place LLC, a Florida
limited liability company ("Southside"), and, in part, by the City, and which is subject to the
Public Benefit Agreement Regarding Construction of the New Fire Station No. 4, dated February
16, 2018, between the City and Southside, for the provision of a new City Fire Station No. 4, a
public -private parking garage, and a mixed -use development ("Project") in close proximity to the
MDC Metrorail system; and
WHEREAS, the Project will generate increased use of the existing MDC-controlled
public transportation facilities, including the Brickell Metrorail Station; and
WHEREAS, the Project is of Countywide importance and will bring substantial public
health and safety benefits to the residents of the City and economic and quality -of -life benefits
to the residents of MDC and the City by increasing mass transit ridership, reducing area traffic
congestion and pollution, and improved public safety for this area of the City; and
WHEREAS, as set forth in the Interlocal Agreement in Attachment "D" ("Agreement"),
MDC and the City wish to coordinate and facilitate the construction of the Project in an
expedited fashion under a single regulatory authority, thereby avoiding duplicative or
inconsistent regulations and processes;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized to execute the Agreement, in substantially
the attached form, for expansion and development of the RTZ with inclusion of the Brickell
Metrorail Station, its surrounding property, a new City Fire Station No. 4, public -private parking
garage, and mixed -use project.
Section 3. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.2
APPROVED AS TO FORM AND CORRECTNESS:
1 The herein authorization is further subject to compliance with all requirements that may be imposed by
the City Attorney, including but not limited, to those prescribed by applicable City Charter and City Code
provisions.
2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
