Subject: Authorize Lease Agreement with 33 Downtown, LLC
Purpose of Item:
A Resolution of the Miami City Commission, authorizing the City Manager to execute a
Lease Agreement ("Agreement"), in a form acceptable to the City Attorney, between the
City of Miami ("City") AND 33 Downtown, L.L.C., for the use of approximately twelve
thousand five hundred six square feet (12,506 SF) of office space in the building located
at 33 SW 2nd Avenue, Miami, FL, for the Department of Community and Economic
Development ("CED"), with a monthly rental fee of twenty thousand eight hundred and
forty three dollars ($20,843.00), with additional operating expenses and increases of
three percent (3%) per year, for a period of five (5) years with two additional five (5)
year options to renew; with terms and conditions as more specifically set forth in said
agreement; and to execute a Parking Agreement, in a form acceptable to the City
Attorney, between the City and the Department of Off -Street Parking ("DOSP"), for the
use of up to forty (40) parking spaces for CED, in the lot located at 155 SW 2nd
Avenue, Miami, FL 33130 ("LOT 33"), on a month -to -month basis, with a monthly rental
fee of forty dollars ($40.00) per space.
Background of Item:
The City's Department of Real Estate and Asset Management ("DREAM") was tasked
by the City Administration to find suitable office space to move CED to a nearby location
to enable the necessary growth of other City Departments.
DREAM reviewed the current inventory of office space(s) on the market, and was able
to locate a suitable location that fits the needs of CED at a base rate of $20.00 per
square foot, which is inclusive of electricity and water for the space, with additional
operating expense adjustment per percentage of leased square footage and increases
of three percent (3%) per year with funds for the buildout of the space being allocated
from CIP Project 40-B183101.
The City and 33 DOWNTOWN, LLC ("Lessor"), wish to enter into a Lease Agreement
("Agreement") for a period of five (5) years, with two additional five (5) year options to
renew, in a form acceptable to the City Attorney.
In addition, the Agreement does not provide for parking and as such, the City wishes to
enter into a Parking Agreement with the Department of Off Street Parking, on a month-
to -month basis, for up to 40 parking spaces at a rate of $40.00 per space to provide
parking for CED employees.

A RESOLUTION OF THE MIAMI CITY COMMISSION AUTHORIZING THE CITY
MANAGER TO NEGOTIATE AND EXECUTE A LEASE AGREEMENT ("LEASE") IN A
FORM ACCEPTABLE TO THE CITY ATTORNEY BETWEEN THE CITY OF MIAMI
("CITY") AND 33 DOWNTOWN, L.L.C., A DELAWARE LIMITED LIABILITY COMPANY
("LESSOR"), FOR THE USE OF APPROXIMATELY TWELVE THOUSAND FIVE
HUNDRED SIX (12,506) SQUARE FEET OF OFFICE SPACE IN THE BUILDING
LOCATED AT 33 SOUTHWEST 2ND AVENUE, MIAMI, FLORIDA, FOR THE CITY'S
DEPARTMENT OF COMMUNITY AND ECONOMIC DEVELOPMENT ("CED"), WITH A
MONTHLY RENTAL FEE OF TWENTY THOUSAND EIGHT HUNDRED FORTY
THREE DOLLARS ($20,843.00) WITH ADDITIONAL OPERATING EXPENSES AND
INCREASES OF THREE PERCENT (3%) PER YEAR FOR AN INITIAL FIVE (5) YEAR
TERM WITH TWO (2) ADDITIONAL FIVE (5) YEAR OPTIONS TO RENEW, WITH
TERMS AND CONDITIONS AS MORE SPECIFICALLY SET FORTH IN SAID LEASE;
FURTHER AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE A
PARKING AGREEMENT ("AGREEMENT"), IN A FORM ACCEPTABLE TO THE CITY
ATTORNEY, BETWEEN THE CITY AND THE CITY'S DEPARTMENT OF OFF-
STREET PARKING, ALSO KNOWN AS THE MIAMI PARKING AUTHORITY ("MPA"),
FOR THE USE OF UP TO FORTY (40) PARKING SPACES IN MPA LOT NO. 33
LOCATED AT 155 SOUTHWEST 2ND AVENUE, MIAMI, FLORIDA, FOR THE CED'S
PARKING RELATED NEEDS, ON A MONTH -TO -MONTH BASIS, WITH A MONTHLY
RENTAL FEE OF FORTY DOLLARS ($40.00) PER SPACE WITH TERMS AND
CONDITIONS AS MORE SPECIFICALLY SET FORTH IN SAID AGREEMENT.
WHEREAS, the City of Miami's ("City") Department of Real Estate and Asset
Management ("DREAM") was tasked by the City Administration to find suitable office space to
move the City's Department of Community and Economic Development ("CED") to a nearby
location to enable the necessary growth of other City Departments remaining at the Miami
Riverside Center building; and
WHEREAS, DREAM reviewed the current inventory of office space(s) on the market,
and located a suitable site fitting the needs of CED at a base rate of twenty dollars ($20.00) per
square foot, inclusive of electricity and water for the space, with additional operating expense
and increases of three percent (3%) per year; and
WHEREAS, the City and 33 Downtown, L.L.C., a Delaware limited liability company
("Lessor"), wish to enter into a Lease Agreement ("Lease") in a form acceptable to the City
Attorney for an initial of five (5) year term with two (2) additional five (5) year options to renew;
and
WHEREAS, funds for the buildout of the space will be allocated from the City's Capital
Improvement Projects ("CIP") No. 40-B18310; and
WHEREAS, the Lease does not provide for parking and as such, the City wishes to
enter into a Parking Agreement ("Agreement") with the City's Department of Off -Street Parking,
also known as the Miami Parking Authority ("MPA"), for the use of up to forty (40) parking
spaces in MPA Lot No. 33 located at 155 Southwest 2nd Avenue, Miami, Florida, for CED on a
month -to -month basis with a monthly rental fee of forty dollars ($40.00) per space;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
hereby adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is hereby authorized' to negotiate and execute a Lease, in
a form acceptable to the City Attorney, between the City and the Lessor for the use of
approximately twelve thousand five hundred six (12,506) square feet of office space in the
building located at 33 Southwest 2nd Avenue, Miami, Florida, for CED with a monthly rental fee
of twenty thousand eight hundred forty three dollars ($20,843.00) with additional operating
expenses and increases of three percent (3%) per year for an initial term of five (5) years with
two (2) additional five (5) year options to renew, with terms and conditions as more specifically
set forth in said Lease.
Section 3. The City Manager is hereby further authorized' to negotiate and execute an
Agreement, in a form acceptable to the City Attorney, between the City and the MPA for the use
of up to forty (40) parking spaces in MPA Lot No. 33 located at 155 Southwest 2nd Avenue,
Miami, Florida, for the CED's parking related needs on a month -to -month basis with monthly
rental fee forty dollars ($40.00) per space, with terms and conditions as more specifically set
forth in said Agreement.
Section 4. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.2

1 The herein authorization is further subject to compliance with all requirements that may be imposed by
the City Attorney, including but not limited to those prescribed by applicable City Charter and Code
provisions.
2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
