Introduction

SST is pleased to present the following proposal, which is a result of ongoing conversations and
negotiations we've had with representatives of the Miami Police Department, the City Administration, and
the City Commission. Since the original 4 square mile ShotSpotter coverage area went live in the City of
Miami, the Miami Police Department has used the resulting gunshot intelligence data to achieve a 50%
reduction in gunfire activity within the coverage areaand significant decreases in homicides. To build
upon those successes and expand the number of neighborhoods that will benefit from the gun violence
reduction enabled by ShotSpotter, this proposal includes a 10 square mile expansion of the ShotSpotter
coverage area. Hereinafter, the original 4 square mile coverage area (which covers Liberty City, Little
Haiti, and Overtown), will be referred to as Phase I. The 10 square mile expansion, which will be
implemented in two 5 square mile phases (tranches), will be referred to as Phase II and Phase III, with
the year 1 services for Phase II being paid from the city's FY18 budget and Phase III from the city's FY19
budget, or sooner at the city's discretion, and upon Phase III being ready to go -live. The Terms and
Conditions section below, details the conditions of this proposal, including the special incentives offered
which are contingent upon SST receiving a fully executed contract by December 31, 2017. It is our honor
and pleasure to serve the City of Miami in its efforts to reduce gun violence and build a community that is
a safe place to live, work, and visit for everyone.
Coverage Area(s)
Systems are deployed to provide a dome of coverage for one or more specified areas. Each area is
bounded by a specific coverage area perimeter. The area(s) to be covered are shown in the aerial map
image below, with each coverage area perimeter denoted by a boundary line. The areas outlined in the
images are rough estimates of the requested coverage area(s) and are not exact as they cannot be
verified with actual acoustic propagation information to determine the precise size(s) of each area (e.g., in
square miles or square kilometers). This verification can only be accomplished during the installation
process, therefore the shapes may vary.
The heatmaps below represent a density of "Shots Fired" calls for service, which occurred outside of
current ShotSpotter Coverage, between January 1, 2014 and September 9, 2016, and total 2,171 city-
wide.
The total "Shots Fired" calls for service city-wide during that time period, including those inside current
ShotSpotter coverage is 4,420. In addition, there were 1,316 Aggravated Assaults and 157 Murders "
during the same time frame.

Phase I (Current Coverage Area including Liberty City, Little Haiti, and Overtown): 2,249 "Shots
Fired" calls (50.9% of city-wide total), 592 Aggravated Assaults (45.0% of city-wide total), and 83 Murders
(52.9% of city-wide total) fall inside the current four (4) square miles of ShotSpotter Coverage (RED)
above.
Phase II (North and Central): 774 "Shots Fired" calls (17.5% of city-wide total), 244 Aggravated Assaults
(18.5% of city-wide total), and 26 Murders (16.6% of city-wide total) fall inside the Phase II five (5) square
mile coverage expansion area (Figure-1 BLUE) above.
Phase III (Central and South): 496 "Shots Fired" calls (11.2% of city-wide total), 198 Aggravated
Assaults (15.0% of city-wide total), and 26 Murders (16.6% of city-wide total) fall inside the Phase III four
(4) square mile coverage expansion area (Figure-1 PURPLE) above.
Phase III (Coconut Grove): 148 "Shots Fired" calls (3.3% of city-wide total), 52 Aggravated Assaults
(4.0% of city-wide total), and 2 Murders (1.3% of city-wide total) fall inside the Phase III one (1) square
mile coverage expansion area in Coconut Grove (Figure-2 PURPLE) above.
Phase II and III Expansion Combined: 1,418 "Shots Fired" calls (32.1% of city-wide total), 494
Aggravated Assaults (37.5% of city-wide total), and 54 Murders (34.4% of city-wide total) fall inside the
combined Phase II and Phase III ten (10) square mile coverage expansion areas (BLUE + PURPLE)
above.
Phase I, II, and III: The Phase II expansion, Phase III expansion (including Coconut Grove), and the
current ShotSpotter coverage areas combined address a total of 3,667 "Shots Fired" calls (83.0% of
city-wide total), 1,086 Aggravated Assaults (82.5% of city-wide total), and 137 Murders (87.3% of city-
wide total).

Pricing, Terms and Conditions

The following pricing is provided as a firm fixed price quotation. Prices remain valid through
December 31, 2017. Orders received after this date are subject to price increases. Pricing is contingent
upon the execution of a three-year contract, wherein all subscription fees are paid on an annual basis
whereby SST can automatically invoice the City of Miami annually without further contract renewal and/or
contract amendment action. In consideration of the three-year commitment, service initiation fees and
Cost -of -Living Adjustments (COLA) are waived for the expansion options for the term of the agreement.
However, a COLA adjustment still applies to the renewal terms for the original Phase I four (4) square
miles of coverage (geographic areas within red -hashed boundaries).
In addition to the discount listed below, contingent upon SST receiving a fully executed contract by
December 31, 2017, SST offers the City of Miami the following progressive go -live incentive for the two
geographic areas of the Phase II expansion in the North and Central districts respectively..
• SST will install Phase II in two tranches, beginning with either the area in the North district or the
area in the Central district. Upon completion of the installation of the first tranche, SST will
activate the ShotSpotter Flex service so that the Miami Police Department can receive and
respond to gunfire alerts. This process will continue until the entire Phase II expanded coverage
area is activated.
• Payment for the first annual subscription on the Phase II expanded coverage areas included in
this proposal will not be due until the entire Phase II expansion area is activated. This will give
the City of Miami Police Department the opportunity to begin utilizing ShotSpotter services in the
first tranche of Phase II, under the terms of the ShotSpotter Flex Agreement, at no cost to the
City while the second tranche is being completed. Should there be unexpected delays in
completing either of the tranches, the annual subscription service and related payments on those
portions of the coverage area that have been activated will begin no later than April 30th, 2018.
• This proposal assumes that the City of Miami will provide supportof SST as it relates to securing
sensor site permissions from City owned locations and will support these requests in a timely
manner.
Installation of Phase III will begin in 2018. Both tranches of Phase III in the Central and South districts
will go -live on, or soon after October 1, 2018, at which time payment will be due in full for Phase III.

Expansion Payment Terms
Payment for Phase II service initiation, startup, and subscription fees shall be as follows:
• $162,500 is due upon execution of agreement
• $162,500 due upon all of Phase II "live" status
• $325,000 Second -Year Annual Subscription Renewal fee is due prior to first anniversary of
Phase II "live" status
• $325,000 Third -Year Annual Subscription Renewal fee is due prior to second anniversary of
Phase II "live" status
Payment for Phase III service initiation, startup, and subscription fees shall be as follows:
• $325,000 due upon all of Phase III "live" status on or soon after October 1, 2018.
• $325,000 Second -Year Annual Subscription Renewal fee is due prior to first anniversary of
Phase III "live" status
• $325,000 Third -Year Annual Subscription Renewal fee is due prior to second anniversary of
Phase III "live" status
Note that once all coverage areas have been activated, and if desired by the customer, we can execute a
separate amendment to this contract that will provide a co -terminus date for all coverage areas.
Flex Service Agreement
The proposed services will be delivered according to the terms of the existing
ShotSpotter Flex Service Agreement ("Agreement") dated May 2, 2014 which is
incorporated herein by reference and constitutes an integral part of this proposal.
Unless specifically stated otherwise, should there be any conflict between the
Agreement and this proposal, the Agreement shall take precedence over the
proposal itself.
