A RESOLUTION OF THE MIAMI CITY COMMISSION AUTHORIZING THE CITY
MANAGER TO NEGOTIATE AND EXECUTE SUPPLEMENTAL AGREEMENT
NO. 3 TO THE MASTER AGREEMENT WITH FPL SERVICES, LLC, IN A
FORM ACCEPTABLE TO THE CITY ATTORNEY, FOR ENERGY
PERFORMANCE CONTRACTING SERVICES TO CONDUCT INVESTMENT
GRADE ENERGY AUDITS, TO IDENTIFY ENERGY CONSERVATION
MEASURES, AND TO PERFORM FURTHER ENERGY IMPROVEMENTS IN
ADDITIONAL DESIGNATED CITY OF MIAMI ("CITY") FACILITIES, IN AMOUNT
NOT TO EXCEED $250,000.00; ALLOCATING AND APPROPRIATING FROM
AVAILABLE FUNDS IN AN AMOUNT NOT TO EXCEED $250,000.00 IN NON -
DEPARTMENTAL ACCOUNT NO. 00001.980000.534000.0000.00000 FOR
SAID PURPOSES.
WHEREAS, the City of Miami ("City") has a strong interest in increasing energy
efficiency to reduce costs to taxpayers and increase environmental benefits to the City; and
WHEREAS, adopted on March 27, 2003 pursuant to Resolution No. 03-250, the City
Commission authorized the City Manager to negotiate a Professional Services Agreement
("PSA") with Florida Power and Light ("FPL") resulting from Request for Qualifications No. 01-
02-224 and directed the City Manager to present the PSA to the City Commission for
consideration; and
WHEREAS, on September 23, 2004 pursuant to Resolution No. 04-0620, the City
Commission awarded Florida Power and Light ("FPL") a ten (10) year contract to provide energy
performance contracting services, and consequently, the City Manager executed a Master
Agreement with FPL ("Master Agreement"); and
WHEREAS, on October 14, 2010 pursuant to Resolution No. 10-0455, the City
Commission (1) authorized the assignment and assumption of all of FPL's rights, duties, and
obligations under the Master Agreement to FPL's subsidiary FPL Services, LLC ("FPLS") and
(2) approved Supplemental Agreement No. 1 to the Master Agreement to implement energy
conservation measures in six (6) City facilities with a total cost to the City of $783,539.00 and
guaranteed energy savings of $58,773.00 per year; and
WHEREAS, on January 27, 2011 pursuant to Resolution No. 11-0034, the City
Commission authorized Supplemental Agreement No. 2 to the Master Agreement with FPLS to
perform energy efficiency improvements in designated City facilities for a total amount not to
exceed $2,770,728.00 with funding through a United States Department of Energy American
Recovery and Reinvestment Act Energy Efficiency Conservation Block Grant; and
WHEREAS, in December 5, 2014, the City exercised its first and final renewal to extend
the contract term from December 7, 2014 through December 6, 2019; and

WHEREAS, pursuant to Resolution No. 17-0475, adopted on September 28, 2017, the
City Commission approved an allocation in the amount of $250,000.00 for energy performance
contracting for the Master Agreement in its 2017-2018 Operating Budget Non -Departmental
("NDA") Account No. 00001.980000.534000.0000.00000; and
WHEREAS, the City Administration recommends authorizing the City Manager to
negotiate and execute Supplemental Agreement No. 3 to the Master Agreement with FPLS, in a
form acceptable to the City Attorney, for an amount not to exceed $250,000.00 for FPLS to
conduct investment grade energy audits, to identify energy conservation measures, and to
perform further energy improvements at additional designated City facilities;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is hereby authorized' to negotiate and execute
Supplemental Agreement No. 3 to the Master Agreement with FPLS, in a form acceptable to the
City Attorney, to conduct investment grade energy audits, to identify energy conservation
measures, and to perform further energy improvements at additional designated City facilities, in
an amount not to exceed $250,000.00.
Section 3. Funds in an amount not to exceed $250,000.00 are allocated and
appropriated from available funds in Non -Departmental Account No.
00001.980000.534000.0000.00000 for said purposes.
Section 4. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.2

1 The herein authorization is further subject to compliance with all requirements that may be imposed by
the City Attorney, including but not limited to, those prescribed by applicable City Charter and City Code
provisions.
2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
