Subject: Authorize Quit Claim Deed - Miami Parking Authority (MPA)
Purpose of Item:
A Resolution of the Miami City Commission, with attachment(s), authorizing the City
Manager to execute a Quitclaim Deed ("Deed"), in substantially the attached form,
conveying City -owned property formerly identified as Folio number 01-0109-070-1031
and legally described as Lots 3, 4, 5, 6, 19, 20, 21 and 22, Block 97N of the City of
Miami ("City"), according to the Plat thereof as recorded in Plat Book "B", at Page 41, of
the Public Records of Miami -Dade County, Florida ("Property") to the Department of Off
Street Parking, also known as the Miami Parking Authority, an agency and
instrumentality of the City of Miami ("MPA"), containing a reverter provision with terms
more particularly described in said Deed. Further authorizing the City Manager to
execute all documents and amendments, in a form acceptable to the City Attorney, as
deemed necessary to consummate this conveyance.
Background of Item:
The City of Miami ("City") is the owner of fee simple title to the property legally
described as Lots 3, 4, 5, 6, 19, 20, 21 and 22, Block 97N of the City of Miami,
according to the Plat thereof as recorded in Plat Book "B", at Page 41, of the Public
Records of Miami -Dade County, Florida ("Property"). The Department of Off Street
Parking, also known as the Miami Parking Authority, an agency and instrumentality of
the City ("MPA") has requested the conveyance of the Property to allow the MPA the
multi -use of the Property.
In 2008, the City and the MPA executed a Covenant Running with the Land in Lieu of
Unity of Title ("Covenant") to allow, amongst other things, the MPA's multi -use of the
Property.
Pursuant to Section 29-B(c) of the Charter of the City of Miami, Florida, as amended,
the provisions of this section and any other City requirements for competitive bidding
shall not apply for the conveyance or disposition of City -owned property in connection
with the implementation of projects of any governmental agency or instrumentality.
It is necessary that the Property now owned by the City, be conveyed to the MPA to
enable the proposed multi -use envisioned in the Covenant. The Property will be
conveyed "as is" and "where is" and the City will not warrant the sufficiency of its title
nor interest it may have in the Property.

A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
PURSUANT TO SECTION 29-B(C) OF THE CHARTER OF THE CITY OF MIAMI,
FLORIDA, AS AMENDED ("CHARTER"), AUTHORIZING THE CITY MANAGER TO
EXECUTE A QUITCLAIM DEED ("DEED"), IN SUBSTANTIALLY THE ATTACHED
FORM, CONVEYING CITY -OWNED PROPERTY FORMERLY IDENTIFIED AS FOLIO
NUMBER 01-0109-070-1031 AND LEGALLY DESCRIBED AS LOTS 3, 4, 5, 6, 19, 20,
21, AND 22 LOCATED AT APPROXIMATELY 40 NORTHWEST 3RD STREET, MIAMI,
FLORIDA ("PROPERTY") TO THE DEPARTMENT OF OFF STREET PARKING, ALSO
KNOWN AS THE MIAMI PARKING AUTHORITY, AN AGENCY AND
INSTRUMENTALITY OF THE CITY OF MIAMI ("MPA"), CONTAINING A REVERTER
PROVISION AND TERMS MORE PARTICULARLY DESCRIBED IN SAID DEED,
WITH ALL FUTURE SALES AND TRANSFERS REQUIRING COMMISSION
APPROVAL; FURTHER AUTHORIZING THE CITY MANAGER TO EXECUTE ANY
AND ALL DOCUMENTS AND AMENDMENTS, IN A FORM ACCEPTABLE TO THE
CITY ATTORNEY, AS DEEMED NECESSARY TO CONSUMMATE THIS
CONVEYANCE.
WHEREAS, the City of Miami ("City") is the owner of fee simple title to the property
legally described as Lots 3, 4, 5, 6, 19, 20, 21, and 22, Block 97N of the City according to the
Plat thereof as recorded in Plat Book "B," at Page 41, of the Public Records of Miami -Dade
County, Florida and located at approximately 40 Northwest 3rd Street, Miami, Florida
("Property"); and
WHEREAS, in 2008, the City and the Department of Off Street Parking, also known as
the Miami Parking Authority, an agency and instrumentality of the City ("MPA"), executed a
Covenant Running with the Land in Lieu of Unity of Title ("Covenant") to allow, amongst other
things, the MPA's multi -use of the Property; and
WHEREAS, the MPA has requested the conveyance of the Property pursuant to the
Charter of the City of Miami, Florida, as amended ("Charter"), to allow the MPA the multi -use of
the Property; and
WHEREAS, it is necessary that the Property now owned by the City be conveyed to the
MPA to enable the proposed multi -use envisioned in the Covenant; and
WHEREAS, pursuant to Section 29-B(c) of the Charter, "the provisions of this section
and any other City requirements for competitive bidding shall not apply for the conveyance or
disposition of City -owned property in connection with the implementation of projects of any
governmental agency or instrumentality"; and
WHEREAS, the Property will be conveyed "as is" and "where is" and the City will not
warrant the sufficiency of its title nor interest it may have in the Property;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. Pursuant to Section 29-B(c) of the Charter, the City Manager is hereby
authorized' to execute a Quitclaim Deed, in substantially the attached form, conveying the
Property to the MPA, containing a reverter provision and terms as more particularly described in
said Deed, with all future sales and transfers requiring Commission approval.
Section 3. The City Manager is further authorized' to execute any and all documents
and amendments, in a form acceptable to the City Attorney, as deemed necessary to
consummate this conveyance.
Section 4. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.2

1 The herein authorization is further subject to compliance with all requirements that may be imposed by
the City Attorney, including but not limited to, those prescribed by applicable City Charter and City Code
provisions.
2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
