("Applicant") 3055 NE 4 Avenue, Miami, Florida (the "Property") Letter of Intent for Alley Closure Dear Francisco: Our firm represents CH Acquisitions 2, LLC, with respect to certain land use and zoning matters in connection with the acquisition of the above referenced Property from the Applicant. On behalf of the Applicant, we respectfully submit the enclosed Vacation and Closure Application for alley bisecting the Property. The Applicant is the record owner of all parcels abutting the alley that is the subject of the Vacation and Closure Application. The Property is currently being platted pursuant to the CH METRO Tentative Plat (#1886), which received approval at the Plat and Street Committee meeting on November 3, 2016. Copies of the Tentative Plat and Plat and Street Committee Approval Letter are enclosed. The purpose of the replat is to close and vacate the alley at the Property; the alley is currently sealed by a concrete and metal gate at both ends of the alley. Further, the Plat and Street Committee voted 5-0 in favor of approving the vacation and closure of the alley. I. Is it in the public interest, or would the general public benefit from the vacation of the right of way? Vacation and closure of the alley would remove the alley from the City's maintenance schedule, removing a burden on City services and the taxpayers. Furthermore, the alley is located less than 100 feet from The Village Way, a public right of way, which essentially eliminates any need for cross block access at this location. II. Is the general public no longer using the right of way, including public service vehicles, fire, or other emergency vehicles? The alley is not being utilized by the general public, nor is it used by public service vehicles, fire, or other emergency vehicles. As depicted in the images below, the alley is not established as a vehicular alley, nor is it open to the public. III. Would there be no adverse effect on the ability to provide police, fire, or emergency services? No services are provided through the alley, and the alley is closed to public access. In other words, there is no adverse affect. Furthermore, the alley is surrounded by the Property, which faces three (3) separate rights of way with ample access for police, fire and emergency services. 2 GREENBERG TRAURIG. Would the vacation and closure of the right of way have a beneficial effect on pedestrian and vehicular circulation in the area? There is currently no pedestrian or vehicular circulation through the alley, and the closure will not negatively affect circulation. Alternatively, closure of the alley will allow a thoughtful and comprehensive redevelopment program in the future which will benefit circulation in the area. For the reasons stated above, and in connection with the City Plat and Street Committee's recommendation of approval of the alley vacation, we submit the enclosed Vacation and Closure Application for the alley located at 3055 NE 4 Avenue. The Village Foundation, a Florida corporation Fee Simple Owner N/A State of Florida Department of Children and Families Mortgagee 2 MIA 185607945v2 With respect to the reversionary rights for the right-of-way portion of the property to be closed and vacated, and as more particularly described in Exhibit "B" attached hereto and incorporated herein (the "Alley"), we have examined the Florida Statutes and have determined that Section 177.085(1) of the Florida Statutes ("Statute") reads as follows: "When any owner of land subdivides the land and dedicates streets, other roadways, alleys or similar strips on the map or plat, and the dedication contains a provision that the reversionary interest in the street, roadway, alley or other similar strip is reserved unto the dedicator or his or her heirs, successors, assigns, or legal representative, or similar language, and thereafter conveys abutting lots or tracts, the conveyance shall carry the reversionary interest in the abutting street to the centerline or other appropriate boundary, unless the owner clearly provides otherwise in the conveyance." Further, we have examined the Florida Statutes and have determined that Section 177.085(2) thereof reads as follows: "As to all plats of subdivided lots heretofore recorded in the public records of each county, the holder of any interest in any reversionary rights in streets in such plats, other than the owners of abutting lots, shall have 1 year from July 1, 1972, to institute suit in a court of competent jurisdiction in this state to establish or enforce the right, and failure to institute the action within the time shall bar any right, title or interest, and all right of forfeiture or reversion shall thereupon cease and determine, and become unenforceable." The Alley was created pursuant to the Plat of BROADMOOR as recorded in Plat Book 2, Page 37, of the Public Records of Miami -Dade County, Florida ("Broadmoor Plat"). The Broadmoor Plat contained the following restriction: "The streets, avenues, drives and alleys indicated upon said plat are hereby perpetually dedicated to the free use of all purchasers of lots contained in the above described plat". Based upon (i) the presumption that all proper and appropriate steps have been taken to close the Alley, (ii) the presumption that none of the deeds in the chain of title of the abutting land contained a personal reversionary interest in the abutting streets or alleys, (iii) the presumption that the Broadmoor Plat contained a personal reversionary interest, or required the joinder of any other parties, and (iv) that certain Chicago Title Insurance Company litigation/public records search report dated November 14, 2016 under File No. 6097199 attached as Exhibit "C" hereto ("Alley Litigation Search") with respect to the Alley it is our opinion that by virtue of the conditions set forth in Sections 177.085(1) and 177.085(2) of the Florida Statutes, the Alley to be vacated will become the property of The Village Foundation, Inc., as Florida not -for -profit corporation as the sole abutting land owner of those lots within the Broadmoor Plat which are being re -platted and described in Exhibit "A" attached hereto, upon recordation of the final plat of the Property known as "CH METRO" in the Public Records of Miami -Dade County, Florida.
