(collectively referred to as "VOA"), owners of the property located at 740 NW 25th Avenue and 2501 NW 7th Street, Miami, Florida 33125 (the "Property"). This Letter of Intent is being submitted as part of VOA's Special Appearance Application for release of the Declaration of Restrictions recorded in O.R. Book 12187, Page 2833 of the Public Records of Miami -Dade County, Florida (the "Declaration"). The Declaration was proffered by the owners of WLTV-Channel 23 station as part of their site plan approval for television studios and offices. The Declaration restricted the northern 50 feet of the Property to only those uses that are accessory to television station studios and offices, including but not limited to parking, plaza and satellite and tower antenna. It further prohibited the use of the northern 50 feet in the floor area calculation for the redevelopment of the portion of the Property located at 2501 N.W. 7th Street. In the early 1990's two five (5) story residential buildings for elderly housing were constructed on the Property as more commonly known as "Las Palmas Plaza I" and "Las Palmas Plaza II". Las Palmas Plaza I consists of 96 dwelling units, parking and a landscape open space plaza. Las Palmas Plaza II consists of 100 dwelling units and parking. VOA is in the midst of obtaining a loan for the rehabilitation of the residential towers. While reviewing title for the loan closing, Lender discovered the Declaration, which contained December 27, 2016 City of Miami Hearing Boards Page 2 of 3 restrictions that are no longer applicable to the current situation and is requesting that VOA obtain a release of said Declaration as a condition to close on the loan. The Declaration allows for the modification, amendment or release of the Declaration with the approval of the City Commission or the Zoning Board, whichever has jurisdiction of the matter, at a public hearing. In 1989 the City of Miami Commission denied a request to release or modify the Declaration. Based on a reading of the public hearing transcript, the request was denied due to neighbors concerns that a residential building would create unwanted traffic. However, the restriction did not prevent the construction of the residential buildings as such use was permitted as of right. The Declaration only restricted the uses on the northern 50 feet of the Property to uses accessory to television station studios and offices, such as parking, plaza and satellite and tower antennas. As shown on the attached survey, the northern 50 feet is landscaped open space and plaza consistent with the restrictions contained in the Declaration. Attached for your ease of reference are the following documents: • Declaration • Survey • Tax Cards • Print-out from Property Appraiser's website • Public Hearing Transcript VOA is not increasing the size of the structures or reconfiguring the landscaped open space plaza as part of its rehabilitation. If requested by the City, VOA will proffer a covenant restricting the northern 50 feet of the Property to open space consistent with its current use as landscaped open space plaza. Accordingly, we respectfully request that the Declaration of Restrictions be released as it is no longer applicable to the existing uses on the Property. That the antennas to be located on the Property will be designed and secured against collapse beyond property owned by the undersigned due to hurricanes or other storms, and any damage caused by said antennas to abutting properties shall be repaired at the expense of the undersigned. 5. That the antennas will be 'located on the Property sub- stantially in accordance with the site plans entitled "Spanish International Comm. Corp., WLTV 23", prepared by E. Frances, A.I.A., dated April 25, 1984. 6. That an 8 feet high wall will be installed to the north and east of the antennas as shown on said site plan prior to the commencement of construction of said antennas. 7. That approximately 20 feet high trees will be planted every 10 feet along the landscaped buffer north and east of the wall described in paragraph 6 above. 8. That said landscape buffer shall be no less than 10 feet wide along the northern boundary of the Property. 9. That the undersigned will obtain and maintain in full force an insurance policy against the claims of other property owners for damages which might be caused to such other property owners resulting from the collapse, if any, of the antennae reflected on the plan described in Paragraph 5 above. These covenants shall continue for a period of 30 years fro* the date of recordation, after which time they shall be extended automatically for successive periods of ten years, unless an instrument signed by a majority of the then owner(s) of the Prop- erty has been recorded which changes or releases the covenants in whole, or in part, provided that the covenants have first been released or the changes approved by the City of Miami. This Declaration of Restrictive Covenants may be modified, amended or released as to the land herein described, or any por- tion thereof, by a written instrument executed by the then owner(s) of the fee simple title to the lands to be affected by such modification, amendment or release, provided that the same has first been approved by the City Commission or the Zoning Board of Miami, Florida, (whichever by law has jurisdiction over such matters) after public hearing. Should this Declaration of Restrictive Covenants be so modi- fied, amended or released, the Director of the City of Miami Fire, Rescue and Inspection Services Department, or his suc- cessor, shall forthwith execute a written instrument effectuating and acknowledging such modification, amendment or release. That would be very beneficial for the type of use we're talking about where the elderly do not normally have cars, have very low traffic uses, will be able to walk to the convenience center. The majority of the fesidenta in the area ere vehemently opposed to zoning that or approving 100 unit apartment building. We would like to see the area or the existing building that abuts directly on U.W. ?th Street if there ie any way they can either renovate it or keep that as a commercial, but the lots that were back in 1984 that were - excuse me, I'm a little bit nervous... Mr. Pats .. back in 1984 the ones that they were proposing to. build a parking lot, I believe that I speak for the majority of the residents, that we would like to see that area rezoned residential and regarding the need of the community, I do agree that there is need for a housing for the elderly but I don't agree that this community, my neighborhood, needs such a apartment building and for the record, I would like to say if there's any way possible that the City of Miami Public Wbrka or, excuse me, Code Enforcement Department, if there's such a thing, can take a look at the existing building, the condition it's in and also the surrounding City parkway, the amount of trash that's' been accumulating there for quite some time. During the Christmas Channel 23 or who ever is the owner of that building has a toy drive for the underprivileged children which I'm in agreement of. However, they tend to - a lot of people do go there to pick up the toys and there's been a lot of trash that it never seems to be picked up. The Board of Directors shall have all corporate authority, except such powers as are as other provided in these Bylaws and the laws of the State of Florida, to conduct the affairs of the Corporation in accordance with these Bylaws. Election and Term of Directors. The Executive Committee shall exercise all powers and authorities of the Board in management of the business and affairs of the Corporation, except that the Committee shall not have the power or authority to (a) amend the articles of incorporation, (b) adopt an agreement of merger or consolidation, (c) recommend to the Member the sale, lease or exchange of all or substantially all of the Corporation's property and assets, (d) recommend to the Member a dissolution of the Corporation or a revocation of a dissolution, (e) amend these bylaws, or (f) fill vacancies in the Board. EXHIBIT B AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP OF LAS PALMAS VOA AFFORDABLE HOUSING, L.P. A FLORIDA LIMITED PARTNERSHIP This Limited Partnership Agreement is made as of the day of , 201_ by and between VOA Las Palmas AH GP, Inc., (the "General Partner"), and Volunteers of America National Services, a Minnesota non-profit corporation (the "Initial Limited Partner"), and those parties who shall hereafter be admitted (the "Additional Limited Partners") (together, the "Partners"). The above -named parties agree to form a limited partnership under the Florida Revised Uniform Limited Partnership Act (the "Act") on the terms and conditions hereinafter set forth. WITNESSETH: WHEREAS, Las Palmas VOA Affordable Housing, L.P. was formed as a limited partnership under the laws of the State of Florida pursuant to the Original Agreement of limited partnership between Las Palmas VOA AH GP, LLC, a Florida limited liability company, as the initial general partner and the Initial Limited Partner. WHEREAS, the initial general partner desires to withdraw from the Partnership and the General Partner wishes to take its place, and the General Partner and the Initial Limited Partner desire to amend and restate the Original Agreement to set forth the rights, obligations, and duties of both General Partner and Initial Limited Partner. NOW, THEREFORE, in consideration of the covenants and agreements hereinafter set forth, the parties hereto agree that the Original Agreement is hereby amended and restated in its entirety to read as follows: ARTICLE 1 NAME OF PARTNERSHIP The name of the partnership shall be Las Palmas VOA Affordable Housing, L.P. (the "Partnership"). ARTICLE II BUSINESS OF PARTNERSHIP The Partnership's sole purpose shall be to acquire, refurbish, own, hold for investment, operate, manage, lease and/ or sell an affordable rental housing development for low-income persons, and the Partnership shall, subject to the provisions of this Agreement, have the authority to do all things necessary, incidental or convenient to accomplish said purpose. 1 ARTICLE III CERTIFICATE OF LIMITED PARTNERSHIP A Certificate of Limited Partnership was filed with the Florida Department of State ("FDS") to create the Partnership. Subsequently, an Amended Certificate of Limited Partnership was filed with the FDS. Such further amended certificates as may be required by the laws of the State of Florida shall be executed and filed by the Partners as necessary. ARTICLE IV PRINCIPAL OFFICE; AGENT FOR SERVICE OF PROCESS The principal office of the Partnership shall be located at 1660 Duke Street, Alexandria, Virginia 22314 and at such other place or places as may be agreed upon by the Partners. The Partnership's agent for service of process shall be Corporation Service Company, 1201 Hays Street, Tallahassee, Florida 32301. ARTICLE V TERM 5.1 Effective Date. The Partnership commenced on February 9, 2011, the date on which the original Certificate of Limited Partnership was filed with FDS. 5.2 DissoIution, The Partnership shall dissolve upon the first to occur of the following dates and events: (a) December 31, 2100; (b) A majority vote of the Limited Partners and the written consent of the General Partner; (c) The entry of a decree of judicial dissolution under the Act by a court of competent jurisdiction; or (d) The sale of all or substantially all the Partnership property. 5.3 Continuation. If the General Partner ceases to be the General Partner for any reason and there is no remaining or surviving General Partner, admission of a new General Partner and a decision to continue the Partnership's business must be approved by a majority vote of the Limited Partners. Expenses relating to the Partnership's continuation shall constitute Partnership expenses. ARTICLE VI CONTRIBUTION OF PARTNERS 6.1 General Partner's Contributions. The General Partner's total contributions to the Partnership shall be equal to $00.01. 6.2 I r i i (la I Limited Partner. The Initial Limited Partner's contribution shall be to $99.99. Upon the admission of the Additional Limited Partners pursuant to Article 6.3, the Initial Limited Partner shall withdraw from the Partnership and shall be entitled to receive a return of its contribution without interest. 6.3 Additional Limited Partners. The General Partner is authorized to admit Additional Limited Partners to the Partnership. The contributions of the Additional Limited Partners may be in form of cash and/or a note. The manner of offering additional limited partnership interests and the terms and conditions thereof shall be as determined by the General Partner and shall be consistent with applicable laws and regulations. 6,4 Additional Contributions. Except as set forth in this Article VI, a Partner shall not be required to make any contribution or otherwise advance funds to the Partnership. A Limited Partner shall not be personally liable for payment or performance of any Partnership obligation, except to the extent that a Partner may be required to return a distribution to the Partnership under the Act. 6.5 No Interest an Capital. The Partnership shall not pay to any Partner interest on any contribution or on undistributed or reinvested profits, 6.6 Withdrawals and Return of Capital. A Partner shall not have the right to demand return of any contribution or to withdraw any other portion of Partnership capital. If the Partnership assets remaining after the payment or discharge of Partnership expenses are insufficient to return any Partner's total contributions, a Partner shall have no recourse against any of the Partners or against the Partnership. ARTICLE VII ALLOCATIONS OF PROFITS AND LOSSES Profits and losses for any year shall be allocated ninety-nine and ninety-nine hundredths percent (99.99%) to the Initial Limited Partner and one hundredth of one percent (.01 %) to the General Partner, Upon admission of Additional Limited Partners, the allocations of profit and losses among the Partners shall be adjusted to reflect the fair market value of such Limited Partners' capital contribution at the time of such admission. ARTICLE VIII DUTIES AND RIGHTS OF GENERAL PARTNER 8.1 Control in General Partner. The General Partner shall have control over the Partnership's business and shall have all rights, powers, and authority generally conferred by law or necessary, advisable, or consistent with accomplishing the Partnership's purposes. Without limiting the generality of the foregoing, the General Partner shall, subject to the approval by the Limited Partner, have the right: (a) To acquire, hold, sell, lease, exchange or convey real and personal property or any interest therein on the Partnership's behalf upon such terms as it deems advisable; (b) To borrow money on the Partnership's behalf and to mortgage or otherwise encumber Partnership property upon such terms as it may deem necessary or advisable; (c) To prepay (in whole or in part), refinance, increase, modify or extend any agreement, note, lease, mortgage, deed of trust, or other obligation affecting Partnership property; (d) To delegate duties to and employ from time to time, at the Partnership's expense, any persons necessary or advisable for the management and operation of the Partnership's business, including property managers, on -site personnel, insurance brokers, leasing agents, real estate consultants, accountants, attorneys, architects, and engineers, on terms and for compensation as are reasonable and customary for similar services; (e) To pay all Partnership expenses; (f) To make or decline to make any tax elections that the Partnership is entitled to make, upon advice of counsel or the accountant for the Partnership only; (g) To negotiate, enter into, and execute notes, deeds, deeds of trust, contracts, leases, joint venture or partnership agreements, assignments, and other instruments and to take any other actions necessary or desirable on the Partnership's behalf in connection with any of the rights of the General Partner set forth in this Article 8.1; (h) To enter into any sales, agency, or dealer agreements and escrow agreements with respect to the sale of additional limited partnership interests and to provide for the distribution of such interests by the Partnership through a fund or underwriters or otherwise; (i) To admit Additional Limited Partners to the Partnership in accordance with Article 6.3; and (j) To take any other action incidental to any of the foregoing or for the purposes of the Partnership. 8.2 authority to: Limitations on General Paitner's Authority. The General Partner shall not have (a) Do any act in contravention of this Agreement or the Act; (b) Do any act in contravention of the mortgages and the loan documents related to the Partnership's property, any regulatory agreements, or any other documents recorded against the Partnership property; (c) File any voluntary petition for the Partnership under the federal Bankruptcy Act, or seek the protection of any other federal or state bankruptcy or insolvency law or debtor relief statute, without unanimous consent of all Limited Partners; or (d) Confess a judgment against the Partnership. 8.3 Compensation; Reimbursement. The total compensation payable to the General Partner for its services as General Partner shall be as determined from time to time by agreement of the Partners. The Partnership shall reimburse the General Partner for all of the General Partner's out-of-pocket expenses incurred in furtherance of the Partnership's purposes, 8.4 General Partner's Obligation to Operate, Partnership Property for Low -Income Persons. The General Partner shall operate the residential units of the Partnership properly in accordance with the terms of the mortgages and any lender documents related to the Partnership property, all applicable statutes, rules and regulations with respect to the Partnership property, the low income housing tax credits, all regulatory agreements, declaration of restrictive covenants with respect to the low-income housing, and any other documents recorded against the Partnership property. 8.5 Reports to Government Agencies. The General Partner shall furnish or cause to be furnished information regarding the Partnership property (a) reasonably requested from time to time by those government agencies that provide financing to the Partnership and (b) required under the low-income housing tax credits or any rental supplement program or contract. ARTICLE IX RIGHTS OF LIMITED PARTNERS 9.1 Approval. The Limited Partners shall not participate in the control of the Partnership's business in contravention with its status as a limited partner under the Act. The Limited Partners shall not vote on routine matters, and shall only participate in Partnership voting as specifically provided in the Act. 9.2 Removal of General Partner. (a) The Limited Partners may, upon unanimous consent of all Limited Partners, remove the General Partner only for fraud, gross negligence, or material misconduct that has a substantial adverse financial effect upon the Limited Partners. (b) In the event the Limited Partners vote to remove the General Partner pursuant to this Article 9.2, the Limited Partners shall notify the General Partner in writing, within five days after such vote, of the default that is the cause for the removal of the General Partner, The General Partner shall have 30 days from the receipt of the notice to cure the default; provided, however, that if a default, other than a monetary default, cannot be reasonably cured within 30 days, it shall be sufficient if the General Partner commences the cure within 30 days and proceeds to cure diligently thereafter. If the General Partner fails to cure within the specified time period, the Limited Partners shall notify the General Partner of the effective date of its removal promptly after the cure period has expired. ARTICLE X ACCOUNTING 10.1 Books of Account to be Kept. At all times during the continuance of the Partnership, it is agreed that good and accurate books of account shall be kept. Such books shall be balanced and closed at the end of each fiscal year and at any other time upon reasonable request of the General Partner. 10.2 Method of Accounting. All accounts of the Partnership shall be kept on an accrual basis. All matters of accounting for which there is no provision in this Agreement are to be governed by generally accepted methods of accounting. 10.3 Fiscal Year Basis. The profits and losses of the Partnership and its books of account shall be maintained on a fiscal year basis ending on December 31 of each year. 10.4 Place Where Books to he K.cpt; Inspection. The Partnership books of account shall be kept at the principal place of business of the Partnership and shall be open for inspection by any Partner at all reasonable times. ARTICLE XI DISTRIBUTIONS ON DISSOLUTION Upon the Partnership's dissolution, the Partnership's business shall be immediately wound up. Any gain or loss on the disposition of Partnership Property during the Partnership's liquidation shall be credited or charged to the Partners in accordance with Article Vll. Liquidating distributions except for liquidating distributions under Section 708(b)(1)(B) of the Internal Revenue Code of 1986, as amended (the "Code") shall be only in the forth of cash. Partnership assets in the course of the liquidation shall be applied and distributed in the following order: (a) Payment to creditors of the Partnership, including Partners, in the order of priority provided by law. In the discretion of the General Partner, reserves may be established to meet any contingent obligations or liabilities and, if and when those contingencies shall cease to exist, any remaining assets in the reserves shall be distributed as provided in this Article XI. (b) Distributions to the Partners shall be in accordance with their positive capital account balances. Upon dissolution of the Partnership, after any allocations under Article VII and the distributions pursuant to this subparagraph (b), the General Partner shall contribute to the capital of the Partnership the lesser of (i) its negative capital account balance, if any, or (ii) the amount which when added to its prior contributions equals ninety-nine and ninety-nine hundredths percent (99.99%) of the aggregate contributions of all Partners. Amounts so contributed shall be distributed to the Partners as additional liquidation proceeds pursuant to this subparagraph (b). (c) For purposes of distributions to Partners, capital account balances shall be determined after taking into account all capital account adjustments for the fiscal year in which the liquidation occurs, and payment by the Partnership with respect to these balances shall be made by the end of that fiscal year or, if later, within ninety (90) days after the date of the liquidation. For this purpose, a liquidation of the Partnership shall be deemed to occur on the earlier of the date on which (i) the Partnership is terminated under Code Section 708(b)(1), or (ii) the Partnership ceases to be a going concern. ARTICLE XII AMENDMENTS This Agreement may be amended at any time by a vote of the Partners holding a majority of interest in the Partnership. Notwithstanding the foregoing, no amendment that increases any Partner's obligations under this Agreement or under the Act shall be effective without such Partner's consent. Any amendment that would authorize any member other than the General Partner, or pre -approved General Partner, to bind the Partnership for all matters concerning the Project which require HUD's consent or approval; v. A change in the General Partner or pre -approved Successor General Partner of the Partnership; or vi. A change in a guarantor of any obligation to HUD. d. The Partnership is authorized to execute the HUD Loan Documents in order to secure a loan to be insured by HUD. e, Any incoming partner must, as a condition of receiving an interest in the Partnership, agree to be bound by the HUD Loan Documents to the same extent and on the same terms as the other partners. f, Upon any dissolution, no title or right to possession and control of the Project, and no right to collect the rents from the Project, shall pass to any person who is not bound by the HUD Regulatory Agreement in a manner satisfactory to HUD. g• Each partner, and any assignee of a partner shall be liable in their individual capacities to HUD for: i. Funds or property of the Project coming into its possession, which by the provisions of the Regulatory Agreement, such person or entity is not entitled to retain; ii. Its own acts and deeds, or acts and deeds of others which it has authorized, in violation of the provisions of the HUD Regulatory Agreement; i . The acts and deed of affiliates, as defined in the HUD Regulatory Agreement, which the person or entity has authorized in violation of the provisions of the Regulatory Agreement; and iv. As otherwise provided by law. h, The Partnership shall remain a single asset entity and may not voluntarily be dissolved or converted to another form of entity without the prior written approval of HUD.
