The nature of this item is to authorize a resolution of the Miami City Commission, by a
four -fifths (4/5ths) affirmative vote, pursuant to Section 18-92 of the Code of the City of
Miami, Florida, as amended, after an advertised public hearing, ratifying, approving, and
confirming the City Manager's finding of a sole source; waiving the requirements for
competitive sealed bidding procedures; approving the procurement of a proprietary
web -based alert mobile application to be utilized by the City of Miami ("City") to provide
critical emergency information to its residents from In-telligent (Florida), LLC ("In-
telligent"), a for -profit corporation, for a period of ten (10) years, with automatic one (1)
year renewals, subject to an annual finding of sole source by the Chief Procurement
Officer and approved by the City Manager; authorizing the City Manager to execute a
license agreement between the City and In-telligent, in substantially the attached form;
further authorizing the City Manager to negotiate and execute all other documents,
modifications, and amendments to said license agreement, in a form acceptable to the
City Attorney, as may be necessary for said purpose
Background of Item:
The City is committed to being ever ready to respond to emergency situations and
conditions, and advise the community accordingly of critical emergency situations and
conditions. In-telligent, possesses and maintains a proprietary mobile application
platform ("Platform") and a web -based, password -protected application ("portal") which
can be utilized by the City to provide alerts to the community directly on individuals' cell
phones, which can be utilized by users to provide relevant information to the City, and
which contains other information gathering and notification systems which are
customizable by the users.
Additionally, In-telligent allows "communities" to interconnect to facilitate neighborhood
issues, events, local services, etc. What makes In-telligent unique and a sole source,
are the following:
1. Ability to override "silent" and "do not disturb" settings on smartphones (Apple
and Android) for critical messages. The founder of ln-telligent holds the patent on this
technology.
2. Messages will be read in real time regardless of the notification setting on the
receiving device.
3. Able to translate messages into 30 languages.
4. Can access local news and traffic as well as national news from within the app.
The ln-telligent mobile application is free to the City; however, the City will receive fifty
percent (50%) of the revenue generated for banner advertising when a user opens the
application.

A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), BY A
FOUR -FIFTHS (4/5THS) AFFIRMATIVE VOTE, PURSUANT TO SECTION 18-92 OF
THE CODE OF THE CITY OF MIAMI, FLORIDA, AS AMENDED, AFTER AN
ADVERTISED PUBLIC HEARING, RATIFYING, APPROVING AND CONFIRMING THE
CITY MANAGER'S FINDING OF A SOLE SOURCE, ATTACHED AND
INCORPORATED AS ATTACHMENT "A"; WAIVING THE REQUIREMENTS FOR
COMPETITIVE SEALED BIDDING PROCEDURES APPROVING THE
PROCUREMENT OF A PROPRIETARY WEB -BASED ALERT MOBILE APPLICATION
TO BE UTILIZED BY THE CITY OF MIAMI ("CITY") TO PROVIDE CRITICAL
EMERGENCY INFORMATION TO ITS RESIDENTS FROM IN-TELLIGENT (FLORIDA)
LLC, A FLORIDA FOR -PROFIT LIMITED LIABILITY COMPANY ("IN-TELLIGENT"),
FOR A PERIOD OF FIVE (5) YEARS, WITH AUTOMATIC ONE (1) YEAR RENEWALS,
SUBJECT TO AN ANNUAL FINDING OF SOLE SOURCE BY THE CHIEF
PROCUREMENT OFFICER WITH APPROVAL BY THE CITY MANAGER;
AUTHORIZING THE CITY MANAGER TO EXECUTE A LICENSE AGREEMENT
BETWEEN THE CITY AND IN-TELLIGENT, IN SUBSTANTIALLY THE ATTACHED
FORM; FURTHER AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND
EXECUTE ALL OTHER DOCUMENTS, MODIFICATIONS, AND AMENDMENTS TO
SAID LICENSE AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY,
AS MAY BE NECESSARY FOR SAID PURPOSE.
WHEREAS, the City of Miami ("City") is committed to being ever ready to respond to
emergency situations and conditions and advise the community accordingly; and
WHEREAS, in order to advise the community of critical emergency situations and
conditions, the City desires to keep pace with the most advanced technology that implements
"push notification" technology on cellular telephones to ensure timely dissemination of detailed
emergency alerts; and
WHEREAS, IN-TELLIGENT (Florida) LLC, a Florida for -profit limited liability company
("IN-TELLIGENT"), possesses and maintains a proprietary mobile application platform
("Platform") and a web -based, password -protected application ("Portal") which can be utilized by
the City to provide alerts to the community directly on individuals' cellular telephones, which can
be utilized by users to provide relevant information to the City, and which contains other
information gathering and notification systems which are customizable by the users; and
WHEREAS, pursuant to Section 18-92 of the Code of the City of Miami, Florida, as
amended, the Chief Procurement Officer has adopted a finding that IN-TELLIGENT is the sole
source provider of the Portal; and
WHEREAS, the finding of the Chief Procurement Officer has been approved and
adopted as the finding of the City Manager, attached and incorporated as Attachment "A"; and
WHEREAS, the City Manager and the Chief Procurement Officer recommend that the
requirements for competitive formal sealed bidding be waived and procurement of the Platform
from IN-TELLIGENT be approved; and
WHEREAS, the City Commission desires that the City Manager execute a License
Agreement ("Agreement"), in substantially the attached form, with IN-TELLIGENT for the
purposes described herein;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. By a four -fifths (4/5ths) affirmative vote, pursuant to Section 18-92 of the City
Code, after an advertised public hearing, the City Manager's finding of a sole source, attached
and incorporated as Attachment "A", is ratified, approved and confirmed; the requirements for
competitive sealed bidding procedures are waived; and the procurement of the Platform and
Portal to be utilized by the City to provide critical emergency information to its residents from IN-
TELLIGENT, the sole provider, for a period of five (5) years, with automatic one (1) year
renewals, subject to an annual finding of sole source by the Chief Procurement Officer with
approval by the City Manager, is approved.
Section 3. The City Manager' is authorized to execute the Agreement between the City
and IN-TELLIGENT, in substantially the attached form.
Section 4. The City Manager is further authorized to negotiate and execute all other
documents, modifications, and amendments to said Agreement, in a form acceptable to the City
Attorney, as may be necessary for said purpose.
Section 5. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.'

' The herein authorization is further subject to compliance with all requirements that may be imposed by
the City Attorney including but not limited to those prescribed by applicable City Charter and City Code
provisions.
If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
