HomeMy WebLinkAboutExhibitFUNDING ACCEPTANCE AND ACKNOWLEDGEMENT This Funding Acceptance and Acknowledgement (the "Acceptance"), made and executed the day of , 2017 (the "Effective Date"), by the City of Miami, a municipal corporation of the State of Florida whose principal address is 3500 Pan American Drive, Miami, Florida 33133 ("City"), and declares as follows: WITNESSETH: NOW THEREFOR AND IN CONSIDERATION of the allocation and conditions as described herein, the City hereby covenants as follows: I. DESCRIPTION OF FUNDING; FUNDING PROPERTY OF THE CITY The Coconut Grove Business Improvement District (hereinafter "BID"), during its February 10, 2016 meeting, authorized the allocation of Four Hundred Thousand dollars ($400,000.00) to the City of Miami, for the purposes of funding the City's purchase of two (2) new trolley vehicles to be operated within the Coconut Grove area, as part of the City' s current trolley system. II. CITY COVENANTS RELATED TO COCONUT GROVE TROLLEY SERVICE AND ACCEPTANCE OF FUNDS 1. The City hereby agrees that upon commencing the use of the two (2) trolleys, the City will be and remain, for the entirety of the use of said trolleys, responsible for the complete operation, management, and maintenance of the trolleys, and the BID shall at no point be responsible for any expenses related thereto. 2. The City shall collaborate and seek input from the BID in making any/all determinations and decisions with respect to the route said trolleys will utilize while operating in the Coconut Grove Area. 3. The City acknowledges that during the entire period of operation, the trolleys purchased using the funding described herein, will be utilized solely within the Coconut Grove area. III.ENTIRE ACKNOWLEDGEMENT. This Acceptance and the terms and covenants contained herein, embodies and constitutes the entire intention of the City concerning the funding involved, and all prior or contemporaneous understandings, representations, and statements, oral or written, with respect thereto are merged herein. The City agrees that there are no commitments, agreements, or understandings concerning the subject matter of this Agreement, other than the express covenants contained herein, and that the City shall use all reasonable efforts to effectuate the 1 same. The City Manager is authorized to amend or modify this Acceptance as needed on behalf of the City and in accordance with these terms, subject to any applicable and/or necessary City Commission approval(s).
