Purpose of Item: Requesting Department: Department of Real Estate and Asset Management Sponsored By: District Impacted: District 2 A Resolution of the Miami City Commission approving the City Manager's recommendation accepting the findings of the Selection Committee and the proposals submitted by: (1) Sightseeing Tours Management Inc. d/b/a Island Queen Cruises, (2) Thriller Miami LLC, (3) Miami Aqua Tours, (4) Offshore Power Boat Rides — Miami d/b/a Bayride Tours, and (5) Fiesta Cruises of Miami Inc. (collectively, the "Proposers"), for Request for Proposals No. 14-15-042 for the lease of City -owned, waterfront property for tour boat services at Miamarina; authorizing and directing the City Manager to negotiate a Lease Agreement, in a form acceptable to the City Attorney with said Proposers to be in compliance with applicable City Charter and Code provisions, subject to final approval of the City Commission and to include certain terms and conditions more particularly described herein, to wit an initial five (5) year term with no options to renew; further providing that the herein selection of the Proposers does not confer any contractual rights upon said Proposers unless and until the applicable agreements are approved by Commission and the proposed agreements have been executed by the City of Miami. Background of Item: The City of Miami ("City") owns Miamarina located at 301 Biscayne Boulevard, Miami, Florida 33132. The City is interested in executing leases, with tour boat operators, at Miamarina. The leases would cover individual boat slips, contain an initial five (5) year term with no options to renew, and provide greater financial security to said tour boat operators. On January 25, 2016 the City issued Request for Proposals No. 14-15-042 ("RFP") for the lease of City -owned, waterfront property for tour boat services. Five (5) proposals were received in response to the RFP. Pursuant to the RFP, the City Manager appointed a five -member Selection Committee ("Committee") to review the five (5) proposals. The Committee consisted of one (1) City -staff member and four (4) non -City representatives. The Committee met on August 9, 2016 to evaluate the criteria and scoring values assigned and determine a rank order based on the score achieved and render a written Memorandum for Recommendation for Final Selection to the City Manager. The Committee ranked the five (5) proposals and assigned boat slips according to the proposal ranking. The City Manager approved the recommendation of the Committee and transmitted to the City Commission his recommendation. The above actions and procedures have been performed in accordance with applicable City Charter, Code, and RFP provisions. AND CARIV INTERNATIONAL, INC., (4) OFFSHORE POWER BOAT RIDES — MIAMI, INC., D/B/A BAYRIDE TOURS, AND (5) FIESTA CRUISES OF MIAMI, INC. ("PROPOSERS"), FOR REQUEST FOR PROPOSALS NO. 14-15-042 FOR THE LEASING OF BOAT SLIPS LOCATED AT MIAMARINA FOR THE PROVISION OF TOUR BOAT SERVICES, FOR A TOTAL TERM OF FIVE (5) YEARS, PURSUANT TO CITY CHARTER SECTION 3(F)(III) AND ALL OTHER APPLICABLE CITY CHARTER AND CODE PROVISIONS, AS AMENDED; AUTHORIZING AND DIRECTING THE CITY MANAGER TO NEGOTIATE A LEASE AGREEMENT, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, INCLUSIVE OF THOSE CERTAIN TERMS AND CONDITIONS MORE PARTICULARLY DESCRIBED THEREIN. WHEREAS, the City of Miami ("City") owns Miamarina located at 301 Biscayne Boulevard, Miami, Florida 33132; and WHEREAS, the City wants to execute Lease Agreements ("Leases") with tour boat operators for the leasing of individual boat slips located at Miamarina and the provision of greater financial security for said tour boat operators; and WHEREAS, on January 25, 2016, the City issued Request for Proposals ("RFP") No. 14- 15-042 for the leasing of boat slips located at Miamarina for the provision of tour boat services, for a total term of five (5) years, pursuant to Section 3(f)(iii) of the Charter of City of Miami, Florida, as ameded ("City Charter") and all other applicable City Charter and Code provisions, as amended; and WHEREAS, five (5) proposals were received in response to the RFP from the following proposers: (1) Sightseeing Tours Management, Inc., d/b/a Island Queen Cruises, (2) Thriller Miami, LLC, (3) Miami Aqua Tours, a partnership between DABUN, Inc. and CARIV International, Inc., (4) Offshore Power Boat Rides — Miami, Inc., d/b/a Bayride Tours, and (5) Fiesta Cruises of Miami, Inc. ("Proposers"); and WHEREAS, pursuant to the RFP, the City Manager appointed a five -member Selection Committee ("Committee") to review the five (5) proposals; and WHEREAS, the Committee was chaired by one (1) non -voting City -staff member and consisted of four (4) non -City representatives and one (1) City representative; and WHEREAS, the Committee met on August 9, 2016 to evaluate the criteria and scoring values assigned, determine a rank order based on the score achieved and render a memorandum for recommendation for final selection ("Recommendation") for the City Manager's consideration and approval; and WHEREAS, the Committee ranked the five (5) proposals and assigned boat slips according to the proposal rankings; and WHEREAS, the City Manager approved the Committee's Recommendation and submitted the same for City Commission consideration and approval; and WHEREAS, the above actions and procedures have been performed in compliance with Section 3(f)(iii) of the City Charter and all other applicable City Charter and Code provisions, as amended; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as fully set forth in this Section. Section 2. The City Manager's approval of the Recommendation of the Selection Committee is accepted. Section 3. The City Manager is hereby authorized' to negotiate with the Proposers for the leasing of boat slips located at Miamarina for the provision of tour boat services, for a total term of five (5) years, pursuant to Section 3(f)(iii) of the City Charter and all other applicable City Charter and Code provisions, as amended, in a form acceptable to the City Attorney, inclusive of those certain terms and conditions more particularly described therein. Section 4. This Resolution shall become effective immediately upon adoption and signature of the Mayor.2 APPROVED AS TO FORM AND CORRECTNESS: ndez, City ttor ey ) 1113/2017 1 The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney including but not limited to those prescribed by applicable City Charter and City Code provisions. 2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective immediately upon override of the veto by the City Commission.
