A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE A QUITCLAIM DEED
("DEED"), IN SUBSTANTIALLY THE ATTACHED FORM, CONVEYING TO
MIAMI-DADE COUNTY, A POLITICAL SUBDIVISION OF THE STATE OF
FLORIDA ("COUNTY"), IN CARE OF THE PUBLIC HEALTH TRUST OF THE
COUNTY, A CITY OF MIAMI ("CITY") OWNED PROPERTY ON NORTHWEST
19TH STREET BETWEEN NORTHWEST 10TH AVENUE AND NORTHWEST
12TH AVENUE, MIAMI, FLORIDA ("PROPERTY"), AS MORE PARTICULARLY
DESCRIBED IN EXHIBIT "A" OF THE DEED PURSUANT TO SECTION 29-B(C)
OF THE CHARTER OF THE CITY OF MIAMI, FLORIDA, AS AMENDED,
CONTAINING A RESERVATION OF A PERPETUAL EASEMENT FOR THE
CITY AND A REVERTER PROVISION WITH TERMS MORE PARTICULARLY
DESCRIBED IN SAID DEED; FURTHER AUTHORIZING THE CITY MANAGER
TO EXECUTE ANY AND ALL DOCUMENTS NECESSARY TO CONSUMMATE
THE CONVEYANCE, WITH SUCH TERMS AS MAY BE AMENDED FROM
TIME TO TIME BY THE CITY MANAGER AS DEEMED NECESSARY TO BEST
SERVE THE INTEREST OF THE CITY.
WHEREAS, the City of Miami ("City") is the owner in fee simple title of property on
Northwest 19th Street between Northwest 10th Avenue and Northwest 12th Avenue, Miami,
Florida ("Property"); and
WHEREAS, Miami -Dade County ("County") has requested the conveyance of the
Property to develop portions of the University of Miami/Jackson Memorial Medical Center
pursuant to its approved $1.4 billion capital plan ("Miracle -Building Plan") in furtherance of its
public health mission; and
WHEREAS, portions of the County's Miracle -Building Plan include the construction of
new facilities, the renovation/redesign of existing facilities and improved access for emergency
vehicles, all of which include and require a redesign of the Property; and
WHEREAS, Section 29-B(c) of the Charter of the City of Miami, Florida, as amended
("City Charter"), allows for the conveyance or disposition of City -owned property in connection
with the implementation of projects of any governmental agency or instrumentality; and
WHEREAS, it is necessary that the Property now owned by the City be conveyed to the
County to enable the proposed construction and improvements; and
WHEREAS, the Property will be conveyed "as is" and "where is" and the City will not
warrant the sufficiency of the title nor interest it may have in the property;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF

Section 1. The recitals and findings contained in the Preamble to this Resolution are
hereby adopted by reference and incorporated herein as if fully set forth in this Section.
Section 2. The City Manager is hereby authorized' to execute a Quitclaim Deed, in
substantially the attached form, conveying to the County, in care of the Public Health Trust of
the County, the City -owned Property, as more particularly described in Exhibit "A" of the Deed,
pursuant to Section 29-B(c) of the City Charter, containing a reservation of a perpetual
easement for the City and a reverter provision with terms more particularly described in said
Deed.
Section 3. The City Manager is further authorized to execute any and all documents that
may be necessary to consummate such conveyance with such terms as may be amended from
time to time by the City Manager as deemed necessary to best serve the interest of the City.
Section 4. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.2

1 The herein authorization is further subject to compliance with all requirements that may be imposed by
the City Attorney including but not limited to those prescribed by applicable City Charter and City Code
provisions.
2 If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
