Dear Mr. Garcia:
The undersigned is legal counsel to 24th and 17th Avenue Venture, LLC, (the
"Applicant"), the owner of folios # 01-3126-000-0110, 01-3126-002-0010, 01-3126-007-0010,
and 01-3126-007-0100, collectively containing approximately 84,760 square feet of land located
at the NE corner of NW 24th and 17th Avenue in the City of Miami.
Two of the aforementioned properties, folios # 01-3126-007-0010 and 01-3126-007-
0100, are referred to in this Letter of Intent for Zoning Referral (this "Letter of Intent") as the
"Residential Subject Properties". The other two properties, folios # 01-3126-000-0110 and 01-
3126-002-0010, are referred to in this Letter of Intent as the "Commercial Subject Properties".
The Residential Subject Properties and the Commercial Subject Properties (collectively, the
"Development Site") are the subject of our applications (the "Applications") for a rezoning and
a comprehensive plan amendment.
This shall constitute our Letter of Intent in support of our applications for a rezoning and
corresponding comprehensive plan amendment to re -designate the Residential Subject Properties
to Low Density Restricted Commercial.
The Applicant's proposed development on the Development Site is a Sedano's
Supermarket. The Applicant has been looking to establish a Sedano's Supermarket in Allapattah
for more than ten (10) years. After investing significant resources searching for the ideal

location, the Applicant identified the Development Site as being geographically desirable and
spatially compatible to accommodate both the supermarket and its shoppers' parking needs. An
analysis of the one mile radius of the Development Site reveals that the location provides a
strong target market for a Sedano's Supermarket, with over 82% of the surrounding residents
being Hispanic with a yearly average household income of $37,434.00. The target market is
accustomed to surface parking areas as opposed to structured parking. The Applicant desires to
utilize the Residential Subject Properties for surface parking to support the Sedano's
Supermarket's required number of parking spaces under Miami 21 based on the Applicant's
proposed square footage.
The Residential Subject Properties are currently single family homes zoned T3-L.
Because the Residential Subject Properties are slated to comprise a portion of the surface parking
area for the proposed supermarket, rezoning and a comprehensive plan amendment are required.
The Applicant intends to record a unity of title affecting the four parcels comprising of
the Development Site (the "Unity of Title"), a draft of which is attached hereto as Exhibit A.
We intend to downzone the Commercial Subject Properties from T6-8-O to T6-8-L and rezone
the Residential Subject Properties from T3-L to T4-L. We understand that similar approvals were
recently granted in connection with Brickell Motors (File # 16-00054zc). Below is a summary

The Applicant also intends to record a Declaration of Restrictive Covenants on the
Residential Subject Properties, which would limit the use of the Residential Subject Properties
solely to parking use to support the Sedano's Supermarket. A draft Declaration of Restrictive
Covenants is attached hereto as Exhibit B.
Regarding the proposed development of a state-of-the-art Sedano's Supermarket will be
+/- 30,000 SF in area with (106) parking spaces, where (90) are required. Ingress and egress will

be available from NW 24th Street on the South side and from NW 26th Street on the North side.
In addition, an independent access point will be provided on NW 26th Street for deliveries only.
A fully landscaped greenbelt will be provided on the east side separating the proposed T4-L from
the existing T3-L and an additional CBS block wall, (6) feet in height, will be provided to further
enhance the buffered greenbelt. All parking lot lighting will be shielded from the residential
(T3-L) side. The proposed T4-L Residential Subject Properties will be used solely for parking —
no structure will be built on said parcels.
The Applicant's rezoning request creates successional transect zones from T6-8-L, to T4-
L, to T3-L running from the west end of the Commercial Subject Properties east beyond the
Residential Subject Properties. With respect to comprehensive plan amendment, the Residential
Subject Properties, although currently zoned T3-L, already have a Future Land Use designation
of Duplex Residential, allowing for 18 du/ac. Accordingly, the requested comprehensive plan
amendment only increases the allowable dwelling units per acre two -fold (from 18 du/ac to 36
du/ac). The Applicant's requested comprehensive plan amendment also creates successional
Future Land Use designations from Restricted Commercial to Low Density Restricted
Commercial to Duplex Residential (allowing for maximum dwelling units/acre of 150 du/ac, 36
du/ac, and 18 du/ac respectively).
This is an appropriate transition consistent with Miami 21's conservation goal of
improving the relationship between low Density Residential neighborhoods and adjacent
commercial corridors. The rezoning and the comprehensive plan amendment reflect a rational
process for successional growth. The Sedano's Supermarket, which will be walkable for adjacent
residents, will help embellish a pedestrian -friendly public realm while revitalizing the
surrounding community. Sedano's Supermarket will serve as an economic driver and key player
in the revitalization of the Allapattah area.
Based on the foregoing, the Applicant would request your favorable consideration and
recommendation of the Applications.

In consideration of the rezoning for the Property and for other good and valuable consideration,
the receipt and sufficiency of which are hereby acknowledged, Owner hereby agrees to restrict
the use of the subject property in the following manner:
That the Property shall be considered as one plot and parcel of land and that no portion of said
plot and parcel of land shall be encumbered, mortgaged, sold, transferred, divided, conveyed,
devised or assigned separately, except in its entirety as one plot or parcel of land.
Covenant Running with the Land. This Unity of Title on the part of the Owner shall constitute a
covenant running with the land and shall be recorded, at the Owner's expense, in the public
records of Miami -Dade County, Florida and shall remain in full force and effect and be binding
upon the undersigned Owner, and its heirs, successors and assigns until such time as the same is
modified or released.
Modification, Amendment, Release. This Unity of Title may only be modified, amended or
released as to the Property, or any portion thereof, by a written instrument executed by the then
owner(s) of the Property, including joinders by all mortgagees, if any, provided the same is also
approved in writing by the Zoning Administrator and the City Attorney, as to legal form.
Term. This Unity of Title is to run with the land and shall be binding on all parties and all
persons claiming under it for a period of thirty (30) years from the date this Unity of Title is
recorded, after which time it shall be continuously and automatically extended for successive

Election of Remedies. All rights, remedies and privileges granted herein shall be deemed to be
cumulative and the exercise of any one or more shall neither be deemed to constitute an election
of remedies, nor shall it preclude the party exercising the same from exercising such other
additional rights, remedies or privileges.
Severability. Invalidation of any one of these covenants, by judgment of Court, shall not affect
any of the other provisions which shall remain in full force and effect.

DECLARATION OF RESTRICTIVE COVENANTS
This Declaration of Restrictive Covenants (this "Declaration") made this day
of , 2016, by 24TH AND 17TH AVENUE VENTURE, LLC (hereinafter
referred to as the "Owner"), is in favor of the CITY OF MIAMI, FLORIDA, a municipality
located within the state of Florida (hereinafter referred to as the "City").
WITNESSETH
WHEREAS, Owner owns the property located at 1547 NW 24th St, Miami, FL
and 1548 NW 26th St, Miami, FL (collectively, the "Property") as more particularly
described in attached Exhibit A; and
WHEREAS, on , 2016, the City of Miami Planning, Zoning
and Appeals Board ("PZAB") heard the Owner's applications requesting: (i) an
amendment to the Comprehensive Plan re -designating the Property from "Duplex
Residential" to "Low Density Restricted Commercial" (the "Comprehensive Plan
Amendment") on the City's Future Land Use Map; and (ii) a rezoning of the Property
from T3-L (Sub Urban — Limited) to T4-L (Urban General — Limited) (the "Change of
Zoning"); and

WHEREAS, on

, Owner's representatives met with PZAB
in favor to recommend approval of the Comprehensive Plan
Amendment subject to certain conditions on the use of the Property;
WHEREAS, the Owner is desirous of making a voluntary binding commitment to
assure that the Property must be developed in accordance with the provisions of this
Declaration.
NOW THEREFORE, the Owner voluntarily covenants and agrees that the
Property shall be subject to the following restrictions that are intended and shall be
deemed a covenant running with the land and binding upon the Owner of the Property,
and its heirs, successors and assigns as follows:
Section 1. Recitals. The recitals and findings set forth in the preamble of this
Declaration as well as the Exhibits referenced therein are hereby adopted by reference
thereto and incorporated herein as if fully set forth in this Section.
Section 2. Property Use Considerations. The Owner makes the following
commitments regarding the conditions imposed by PZAB: The Property shall be used
solely for parking to support that certain Sedano's Supermarket located on the
neighboring parcels at 2401 NW 17th Ave and 1665 NW 24th St (folio numbers 01-
3126-002-0010 and 01-3126-000-0110) (the "Sedano's Supermarket").
Section 3. Effective Date. The provisions of this Declaration shall become
effective upon their recordation in the Public Records of Miami -Dade County, Florida,
and shall continue in effect for a period of thirty (30) years after the date of recordation,
after which time they shall be continuously and automatically extended for successive
period of ten (10) years. This instrument shall constitute a covenant running with the
land and title to the Property, which shall be binding upon the Owner, its heirs,
successors, vendees and assigns.

Section 4. Applicable Law & Venue; Attorney's Fees. Florida law will apply to
interpretation of this instrument. Venue in any civil actions arising under this instrument
shall be in Miami -Dade County, Florida. Each party shall bear their own attorney's
fees.
Section 5. Amendment and Modification. This instrument may be modified,
amended, or released as to any portion of the Property by a written instrument
executed by the then Owners of the fee -simple title to the land to be affected by such
modification, amendment, or release, providing that same has been approved by the
City Commission after a public hearing, in which all advertising, notice, application, and
public hearing expense shall be paid by the Owner. Any such modification,
amendment or release shall not relieve the Owner of those parking requirements set
forth in Miami 21 and applicable to the Sedano's Supermarket.
Section 6. Inspection and Enforcement. An enforcement action may be
brought by the City by action in law or in equity against any party or person violating or
attempting to violate any covenants of this Declaration, or provisions of the City,
County or applicable regulations, either to restrain violations or to recover damages.
This enforcement provision shall be in addition to any other remedies available under
the law.
Section 7. Severability. Invalidation of any one of these covenants by judgment
of Court shall not affect any of the other provisions of this Declaration, which shall
remain in full force and effect.
Section 8. Recording. This Declaration shall be promptly filed of record among
the Public Records of Miami -Dade County, Florida, at the cost of the Owner, within 30
days of the City Commission's final adoption of the Change of Zoning and the
Comprehensive Plan Amendment. The City of Miami Planning and Zoning Director will
be furnished a recorded copy by the Owner within ten (10) days of this Declaration
being recorded.
