GIFT AGREEMENT This Gift Agreement (the "Agreement"), made and entered into the day of , 2016 (the "Effective Date"), by and between the City of Miami, a municipal corporation of the State of Florida whose principal address is 3500 Pan American Drive, Miami, Florida 33133 ("City"), and the Collaborative Development Corporation flkla Coconut Grove Collaborative Inc„ a Florida and Internal Revenue Service Code Section 501(c)(3), not -for -profit corporation, currently in good standing with the State of Florida, whose principal address is, 3628 Grand Aven.ue, Miami, Florida 33133 ("CDC"), is entered into as follows;. WITNESSETH: NOW THEREFORE AND IN CONSIDERATION of the premises and the mutual covenants and conditions .contained herein, the parties hereto agree as follows: '1. DESCRIPTION OF GIFT, PURPOSE OF GIFT The City grants, donates, and gives to the CDC, an amount of $85,000.00 (the "Gift"), as appropriated through Resolution R-16,,0299, attached hereto as Exhibit "A" and rtlade a part hereof. The Gift is solely and exclusively to be used for tourism kiosks on Grand Avenue, In Coconut Grove for the Grand Avenue Kiosk Project ("Project"), as described in the CDC letter to Mayor Thomas Regalado,, attached hereto as Exhibit "B", and made a part hereof. Any other use of the Gift, except as described herein., is prohibited. The CDC agrees that if the tourism kiosks are not purohased and installed at the approximate locations on Grand Avenue, as listed on Exhibit C, attached hereto, or Project does not otherwise come Into fruitionwithin one (1) year from the date of execution, the CDC will promptly return the full amount of the Gift to the City: 2, NO PARTNERSHIP Nothing In this Agreement shall be construed to make the parties hereto partners, affiliates, or joint venturers or render either of said parties liable for the debts, liabilities, or obligations of the other. 3. NOTICES All notices pursuant tothls Agreement shall be in writing and sent by .certified mall or delivered by personal service to the addresses for each Party -appearing on page one (1) of thls Agreement and as indicated below, or as the same may be changed In writing from time to time. Such notice shall be deemed given on the day on which personally served, or if by certified maim, on the fifth day after being posted or the date of actual receipt, whichever is earlier. 4.. GOVERNING LAW; GENERAL PROVISIONS a) This Agreement shall be Interpreted and construed In accordance with end governed by the laws of the State of Florida, The parties, in their performance of this Agreement, will comply with applicable Federal, State, County and City law& Venue in any proceedings shall be in Miami-D.ade County, Florida. Each party will boar their own attorney's fees. b) in the Agreement the City of Miami shall be referred to as the "City" For purposes of this Agreement "City", without modification, shall mean the City Manager. 5. ENTIRE AGREEMENT This Agreement with Its attachments referenced below embodies and constitutes the entire understanding between the City and UDC concerning the Gift, and all prior or contemporaneous agreements, understandings, representations, and statements, oral or written with respect thereto are merged therein. The parties agree that there are no commitments, agreements,. or .understandings concerning the subject matter of this Agreement that are not contained in this Agreement, and that this Agreement'contains the entire Agreement between the parties as. to all matters contained herein. Accordingly, It is agreed that no deviation from the terme hereof shall be predicated upon any prior representations or agreements, whether oral or written. It is further agreed that any oral representations ar modifications concerning this Agreement shall be of no force or effect. This Agreement may be modified, altered or amended only by a written amendment duly executed by all parties hereto or their authorized representatives. The City Manager is authorized to amend or modify this Agreement as needed on behalf of the City and in accordance with the aforementioned terms provided any amendment involving an expenditure of City funds or resourcesmay require City Commission approval. CDC will indemnify, hold harmless and defend the City, its employees and officials from all claims, actions, causes of actions, liabilitiesor losses arising from this gift or from this Agreement. This provision will survive the expiration or cancelation of this Agreement. 7. Insurance. CDC shall maintain Insurance coverage(s) and, shall provide evidence of such insurarici coverages and in such amounts,. as applicable, as may be required by the City's Department of Risk Management in Exhibit "D", attached hereto and incorporated by this reference. 8. Title to. Kiosks; Responsibility for injuries. The title to. the kiosks will be vested In CDC free and clear of any liens, security Interests or encumbrances, The City will not be liable for any personal injury or property Coss or damage related I any manner to, the kiosks. CDC covenants not to sue the City for any such Toss or damage or from any other action or claim related to the kiosks or to this Agreement. 9, Compliance with Codes. The kiosks to be purchased and Installed by CDC or its agents will comply With all applicable laws, regulations, codes, approvals and perrnits as are required. 1Q. Third Party Beneficiaries. There are no third party beneficiaries to this Agreement. 11. Inspections and Audits The Inspection and audit provisions set forth in 18-100 to 18-102 of the City Code are applicable to this Agreement and are deemed as being incorporated by reference harem.
