A RESOLUTION OF THE MIAMI CITY COMMISSION WITH ATTACHMENT(S), ACCEPTING
THE BID RECEIVED OCTOBER 19, 2010, PURSUANT TO INVITATION FOR BID ("IFB") NO.
245233, FROM FUEL MIAMI, LLC, FOR MURAL ADVERTISING AT THE MIAMI RIVERSIDE
CENTER, 444 SOUTHWEST 2nd AVENUE, MIAMI , FL., AUTHORIZING THE CITY MANAGER
TO NEGOTIATE AND EXECU IL A REVOCABLE LICENSE AGREEMENT ("ALA"), IN
ACCORDANCE WITH THE ATTACHED TERM SHEET AND IN A FORM ACCEPTABLE TO THE
CITY ATTORNEY, FOR A FIVE (5) YEAR TERM; FURTHER AUTHORIZING, IN ACCORDANCE
WITH THE IFB SECTION 2.8, TO ADD OTHER CITY OF MIAMI OWNED FACILITIES FOR
OUTDOOR MURAL ADVERTISING AS PROVIDED HEREIN THROUGH THE INFORMAL
SOLICITATION PROCESS, WHEN DEEMED IN THE CITY OF MIAMI'S BEST INTEREST
WITHOUT FURTHER CITY COMMISSION AUTHORIZATION; ANY SUCH RLA MAY BE
EXECUTED UPON APPROVAL OF THE CITY COMMISSION
BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIANII, FLORIDA:
Section 1. The bid received from Fuel Miami LLC, pursuant to Invitation for Bids No. 243233, for Mural Advertising at
Various City of lvliami Facilities, is accepted.
Section 2. The City Manager is authorized(1) to negotiate and execute a Revocable License Agreement ("RLA"), in
accordance with the attached term sheet and in a form acceptable to the City Attorney, with Fuel Miami, LLC, for the
licensed use of the facade of the Miami Riverside Center ("MRC"), 444 Southwest 2nd Avenue, Miami, Florida, for the
purpose of mural advertising for a five (5) year term.
Section 3. The Purchasing Director is further authorized (1 ) in accordance with IFB 245233, Section 2.8, to add other City of
Miami owned facilities, for the solicitation of Licensees to provide outdoor mural advertising at such facilities pursuant to a
Revocable License Agreement, through the informal solicitation process when deemed in the City of Ivliami's best interest
without further City Commission authorization. Any such solicitations may result in the selected Licensee executing a City
fitrnished RLA, in a form acceptable to the City Attorney and City Manager, upon approval of the City Commission.
Section 4. This Resolution shall become effective immediately upon its adoption and signature of the Mayor. (2)

Term Sheet for the Award of a Revocable License Agreement
in Response to IFB 245233 for Mural Advertising
Contract Type: Revocable License Agreement (RLA)
Parties: City of Miami (Licensor) and Fuel Miami, LLC (Licensee)
Subject Matter: Mural Advertising at Various City of Miami Facilities. Current award contemplates the
licensed use of the MRC Building at 444 SW 2nd Avenue.
Term: One five-year term, with five one-year renewal options
Cancellation Provisions: Revocable -at -will by either party without cause after one year. Termination
with cause by City Manager at any time.
Fee Structure: MRC Building at 444 SW 2nd Avenue:
$9,250 base monthly use fee + 7% sales tax = $9,897.50 total monthly use fee; plus
18% of monthly gross receipts
Late fee: After the 5th of each month, 18% of the monthly use fee
Guarantee deposit: $5,000.00
Adjustments to monthly use fee: 1% increase on each 12-month anniversary date. This
adjustment does not apply to the percentage of monthly gross receipts.
Hold Harmless/Indemnification: Full indemnification for Licensor per Section 18 of the RLA.
Compliance with AM Laws: Per Paragraph 30 of the RLA, Licensee is responsible for compliance.
Licenses and Permits: Per Paragraph 29 of the RLA, Licensee is responsible for compliance.
Insurance: Per Exhibit B of the RLA. General Liability: $1M/$2M/$1M; Auto Liability $1M
Special Provisions: All specifications requirements identified in IFB 245233 will be physically
attached and incorporated by reference into the RLA.

RLA.
Accounting records are to be available for inspection and to be retained for 36
months after termination of RLA.
