HomeMy WebLinkAboutAgenda Item Summary FormDate: 06/13/2017 AGENDA ITEM SUMMARY FORM File ID: #2366 Requesting Department: Department of Procurement Commission Meeting Date: 06/22/2017 District Impacted: All Type: Resolution Subject: Amend Resolution - Mural Advertising Purpose of Item: The nature of this item is to seek City Commission authorization to amend Section 3 of Resolution 10-0529 enacted on November 18, 2010 to grant authorization for the City Manager to negotiate and execute all other documents, including additional revocable license agreements, any amendments, renewals, extensions, and modifications, to Invitation for Bid ("IFB"), Contract No. 245233 for Mural Advertising at Various City of Miami Facilities ("City"), in a form acceptable to the City Attorney, as may be necessary for said purposes. Background of Item: On November 18, 2010, the City Commission adopted Resolution No. 10-0529 enacted on November 18, 2010, authorizing the City Manager to negotiate and execute a Revocable License Agreement ("RLA") for mural advertising, under Invitation for Bid ("IFB") Contract No. 245233 to OUTFRONT Media, LLC (formerly known as Fuel Miami, LLC), for an initial period of five (5) years with the option to renew for five (5) additional one (1) year periods. The resolution further authorized the Director of Procurement, in accordance with IFB 245233, Section 2.8, to add other City of Miami owned facilities, for the solicitation of Licensees to provide outdoor mural advertising at such facilities pursuant to a RLA, through the informal solicitation process, when deemed in the City's best interest without City Commission authorization. Any such solicitations may result in the selected Licensee executing a City furnished RLA, in a form acceptable to the City Attorney and City Manager, upon approval of the City Commission. It is in the best interest of the City for the City Commission to authorize the City Manager to negotiate and execute all other documents, including any additional RLAs, amendments, renewals, extensions, and modifications, to the Contract in a form acceptable to the City Attorney, as may be necessary for said purposes. This authorization will streamline and expedite the process. O R X City of Miami Legislation Resolution Enactment Number: R-17-0305 City Hall 3500 Pan American Drive Miami, FL 33133 www.miamigov.com File Number: 2366 Final Action Date:612212017 A RESOLUTION OF THE MIAMI CITY COMMISSION AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE ALL ADDITIONAL DOCUMENTS, INCLUDING ANY ADDITIONAL REVOCABLE LICENSE AGREEMENTS ("RLA"), AMENDMENTS, RENEWALS, EXTENSIONS, AND MODIFICATIONS, TO THE INVITATION FOR BID CONTRACT NO. 245233 FOR MURAL ADVERTISING AT VARIOUS CITY OF MIAMI FACILITIES, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, AS MAY BE NECESSARY FOR SAID PURPOSE. WHEREAS, on November 18, 2010, the City Commission adopted Resolution No. 10- 0529, authorizing the City Manager to negotiate and execute a Revocable License Agreement ("RLA") for mural advertising under the Invitation for Bid Contract No. 245233 ("IFB Contract") to OUTFRONT Media Miami, LLC, formerly known as Fuel Miami, LLC, for an initial period of five (5) years, with the option to renew for five (5) additional, one (1) year periods; and WHEREAS, the Director of Procurement is further authorized, in accordance with Section 3 of Resolution No. 10-0529 and Section 2.8 of the IFB Contract, to add other City of Miami ("City") owned facilities for the solicitation of Licensees to provide outdoor mural advertising at such facilities pursuant to a RLA through the informal solicitation process, when deemed in the City's best interest, without further City Commission authorization; and WHEREAS, any such solicitations may result in the selected Licensee executing a City furnished RLA, in a form acceptable to the City Attorney, upon approval of the City Commission; and WHEREAS, it is in the best interest of the City to authorize the City Manager to negotiate and execute all other documents, including any additional RLA's, amendments, renewals, extensions, and modifications, to the IFB Contract in a form acceptable to City Attorney, as may be necessary for said purposes; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The City Manager' is authorized to negotiate and execute all other documents, including any additional RLA's, amendments, renewals, extensions, and modifications, to the IFB Contract for Mural Advertising at various City Facilities, in a form acceptable to the City Attorney, as may be necessary for said purposes. 1 The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and City Code provisions. Section 3.
