Dear Mr. Pego:
This firm represents Resorts World Miami LLG ("RWMI") in matters related to the
permitting and development of a marina and associated facilities at its property in downtown
Miami. As we have discussed previously, the Florida Department of Transportation ("FDOT")
owns certain submerged lands in Biscayne Bay upon which RWMI proposes to construct this
marina. FDOT's ownership of the submerged lands originates from a Special Warranty Deed
dated 1959 from the City of Miami to FDOT, for establishment of the MacArthur Causeway, see
Exhibit A. The City obtained its ownership of the submerged lands through a grant from the
State of Florida in 1919. That grant was made subject to a restriction that the submerged
lands be used for municipal purposes. We believe that this "municipal purpose restriction"
survived the 1959 conveyance from the City to FDOT, and thus in order for RWM1 to construct
the marina, the State will be required to waive the municipal purpose restriction as it relates to
the FDOT submerged lands. The State of Florida has previously waived the municipal purpose
restriction for consideration several times in the past and most recently in connection with the
proposed mega -yacht marina on Watson Island.
The purpose of this correspondence is to formally express RWMI's interest in
negotiating a lease with FDOT for use of its submerged lands for development of a marina and
associated facilities, including a Baywalk underpass at 1-395. The specific location of the
leasehold will be negotiated, but the area is generally located between the Venetian Causeway
and Interstate 395, from the current shoreline out for a distance of approximately 950 feet, as
generally depicted on Exhibit B attached hereto. RWMI proposes to lease the submerged
lands upon which the marina will be constructed for a market rate based upon appraisals
obtained by FDOT. RWMI proposes to lease the submerged lands upon which the Baywalk
will be constructed for nominal consideration, as this improvement is solely for the public
benefit and will not result in any revenue generation, see Exhibit C. RWMI will also assist FDOT
in negotiations with the Trustees of the Internal Improvement Trust Fund (the "Trustees") on the
terms of a waiver of the municipal purpose restriction contained in the original land grants.
RWMI will be responsible for obtaining all necessary regulatory approvals from County, State
and Federal agencies.

encourage waterborne transportation from Miami Beach to the City of Miami. By facilitating a
new mode of transit across Biscayne Bay, this project has the potential to alleviate traffic
pressures on highly congested FDOT transportation facilities, including 1-395 and 1-195. Given
FDOT's nearly $1 billion investment in the port tunnel project on 1-395, we believe that the
opportunity to divert traffic away from 1-395 and onto Biscayne Bay provides ample justification
for FDOT's support of this project. In addition to this potential benefit to the transportation
network, FDOT will receive annual lease payments for a land asset that FDOT has never been
able to use, and will likely never be able to use, absent the current proposal by the upland
landowner.
Beyond these benefits to FDOT, there are many other benefits to Miami -Dade County
and the City of Miami. The proposed marina is estimated to have an up -front economic impact
of $33 million, an annual recurring economic impact of $21 million, and to generate over
$1,000,000 a year for the State in annual sales tax revenues. Second, most of the submerged
lands in question have previously been dredged to depths as great as 20 feet in order to
accommodate barges which serviced the Miami Herald operations. The prior dredging has
significantly limited the amount of benthic resources and habitat in the area of the proposed
marina, and of course limits the amount of future dredging needed to accommodate the
marina. Third, the proposed marina will expand the maritime use and character of the
downtown Miami waterfront, and will create demand for marine industrial services along the
City's working waterfronts, most importantly the Miami River. The economic and other
benefits of the marine industry are well documented and the encouragement and enhancement
of these uses is consistent with the City's and the County's Comprehensive Plans. Finally, the
proposed marina, in association with the contemplated Baywalk connection, will activate a
long neglected stretch of Miami's downtown waterfront, linking the Edgewater and Omni areas
with Museum Park, Bayside and Bayfront Park to the south. The resulting waterfront
connection will help the City leverage its unique position as a major world city in a tropical
waterfront environment. In short, this proposal presents overwhelming public policy benefits to
FDOT, Miami -Dade County and the City of Miami, and will help this region achieve its goals of
becoming a center of waterfront, marine and marine industrial activity.
RWMI is excited to begin development of the proposed marina once all required
approvals are obtained. Because of the significant economic benefits associated with this
proposal and the lead time associated with processing a waiver with the Trustees, RWMI is
requesting that FDOT negotiate and finalize the terms of the submerged lands lease prior to
July 14 2013 On behalf of RWMI, we look forward to working with FDOT on this unique and
transformative project.
