HomeMy WebLinkAboutLegislationCity of Miami Legislation Resolution City Hall 3500 Pan American Drive Miami, FL 33133 www.miamigov.com File Number: 16-00922 Final Action Date: A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), AUTHORIZING THE CITY MANAGER TO EXECUTE AN INTERLOCAL MANAGEMENT AGREEMENT ("AGREEMENT"), IN SUBSTANTIALLY THE ATTACHED FORM, WITH THE DEPARTMENT OF OFF-STREET PARKING A/K/A MIAMI PARKING AUTHORITY ("MPA"), AN AGENCY AND INSTRUMENTALITY OF THE CITY OF MIAMI ("CITY"), FOR THE MANAGEMENT AND OPERATION OF THE PARKING FACILITIES SERVICING CITY -OWNED AND OPERATED PARKS FOR A PERIOD OF FIVE (5) YEARS, COMMENCING RETROACTIVELY ON AUGUST 1, 2016, WITH AN OPTION TO EXTEND FOR ONE (1) ADDITIONAL PERIOD OF FIVE (5) YEARS, FOR A TOTAL TERM THAT SHALL NOT EXCEED TEN (10) YEARS, WITH THE SAME TERMS AND CONDITIONS AS SET FORTH IN SAID AGREEMENT; FURTHER PROVIDING THAT EITHER PARTY SHALL HAVE THE RIGHT TO TERMINATE SAID AGREEMENT AT ANY TIME UPON PROVIDING NO LESS THAN ONE HUNDRED TWENTY (120) DAYS PRIOR NOTIFICATION OF TERMINATION IN WRITING. WHEREAS, the City of Miami ("City") owns certain real property at Virginia Key Beach and real property consisting of public boat ramps at Antonio Maceo Park, Curtis Park, Legion Park and Morningside Park ("Parks"), and the corresponding Parking Facility for each (the "Parking Facilities"); and WHEREAS, the City desires to engage the services of an experienced firm to manage and operate the parking facilities servicing the properties; and WHEREAS, the City and the Department of Off -Street Parking a/k/a Miami Parking Authority ("MPA") desire to enter into an Interlocal Management Agreement ("Agreement"), in substantially the attached form, providing that the MPA has the authority, knowledge, familiarity with the conduct of such business, reputation, and experience to undertake and provide the oversight collection of fees and enforcement for the Parking Facilities at these Parks; and WHEREAS, the Agreement is for an initial period of five (5) years beginning retroactively on August 1, 2016 and the City, at its sole and exclusive option, may extend the term of this Agreement for one (1) additional period of five (5) years, for a total term that shall not exceed ten (10) years, with the same terms and conditions as set forth in said Agreement; and WHEREAS, either party shall have the right to terminate said Agreement at any time upon providing no less than one hundred twenty (120) days prior notification of termination in writing; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. The City Manager is authorized {1} to execute an Agreement, in substantially the attached form, with the MPA for the management and operation of the Parking Facilities servicing various City -owned and operated Parks for a period of five (5) years, commencing retroactively on August 1, 2016, with an option to extend for one (1) additional period of five (5) years, for a total term that shall not exceed ten (10) years, with the same terms and conditions as set forth in said Agreement. Section 3. It is further provided that either party shall have the right to terminate said Agreement at any time upon providing no less than one hundred twenty (120) days prior notification of termination in writing. Section 4. This Resolution shall become effective immediately upon its adoption and signature by the Mayor. {2} AP ROVED AS TO FORM AND COI RECTNESS: V TORIA ENDEZ CITY ATTORNEY Footnotes: {1} The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions. {2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective immediately upon override of the veto by the City Commission.
