BUSINESS IMPROVEMENT DISTRICT, WITH
ATTACHMENTS, RECOMMENDING APPROVAL OF THE
MANA WYNWOOD SPECIAL AREA PLAN SUBJECT TO
CERTAIN CONDITIONS; DIRECTING THE EXECUTIVE
DIRECTOR TO TRANSMIT A COPY OF THIS RESOLUTION
TO THE DESIGNATED OFFICIALS STATED HEREIN
WHEREAS, on July 25, 2013, the Miami City Commission adopted Resolution No. 13-
0293, wherein it confirmed the creation of the Wynwood Business Improvement District
("WBID") for the purpose of stabilizing and improving retail businesses within its boundaries
through promotion, management, marketing, and other similar services; and
WHEREAS, Mana Wynwood, by and through various holdings, filed an application with
the City of Miami for the approval of a Special Area Plan pursuant to Section 3.9 of Zoning
Ordinance 13114 ("Miami 21"), entitled Mana Wynwood Special Area Plan ("SAP") for a mixed
use development of approximately 23.483 acres of land located in the Wynwood area which
generally consists of two zones: West Zone and East Zone, as further identified and defined in
the SAP Concept Book and Development Agreement; and
WHEREAS, on March 1, 2016, the WBID Board adopted a Resolution recommending
approval of the Regulating Plan, Concept Book and Development Agreement (collectively, the
"SAP Application") for the Mana Wynwood SAP subject to certain conditions set forth therein;
and
WHEREAS, on September 7, 2016, the WBID Board rescinded its March 1, 2016
Resolution, thus resulting in it having no further force or effect;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF THE WYNWOOD
BUSINESS IMPROVEMENT DISTRICT:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference as if fully set forth in this Section.
Section 2. The WBID Board supports, in principal, working alongside the SAP
applicant and City of Miami Planning and Zoning Department to modify and amend the SAP
Application and Neighborhood Revitalization District 1 ("NRD-1 ") in an effort to reach a
comprehensive solution for the West and East Zones, as defined in the SAP Concept Book and
the Development Agreement.
Section 3. The WBID Board supports, in principal, to (i) a modified version of the
SAP Application that limits the scope of the SAP exclusively to the West Zone and Parcel 1 of
the East Zone, and (ii) the preservation of the existing Public Benefits and provisions regulating
Boundary Thoroughfare Properties as applicable to the West Zone and Parcel 1 of the East Zone
as currently provided in the SAP Application. The WBID Board expressly reserves its right to
withdraw such support if it not afforded reasonable and sufficient time to review any such

modifications to the SAP Application and may withdraw its support thereof if it determines, at its
sole and absolute discretion, such modifications to be unsatisfactory.
Section 4. The WBID Board supports, in principal, to deferring the portions of the
SAP Application applicable to the East Zone in an effort to afford the parties reasonable time to
amend the NRD-1 to incorporate mutually agreed upon principles contained in the Mana
Wynwood SAP so that the East Zone remain outside the SAP and exclusively within and
subjected to such amended NRD-1.
Section 5. The statements of support made herein shall not prejudice or waive any
rights or remedies that the WBID, including its Board, may have in respect of the subject matter
set forth herein, all of which rights and remedies are hereby expressly reserved.
Section 6. The Executive Director is hereby directed to transmit a copy of this
Resolution to the City of Miami Mayor Tomas P. Regalado, Miami City Commission and City of
Miami.
Section 7. This Resolution shall become effective immediately upon its adoption.

SUPPORT FOR THE MANA WYNWOOD SPECIAL AREA PLAN;
DIRECTING THE EXECUTIVE DIRECTOR TO TRANSMIT A COPY OF
THIS RESOLUTION TO THE DESIGNATED OFFICIALS STATED HEREIN
WHEREAS, on July 25, 2013, the Miami City Commission adopted Resolution No. 13-

through promotion, management, marketing, and other similar services; and

WHEREAS, those certain conditions have not been fulfilled to the satisfaction WBID
Board;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF THE WYNWOOD
BUSINESS IMPROVEMENT DISTRICT:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference as if fully set forth in this Section.
Section 2. The WBID Board hereby rescinds its March 1, 2016 Resolution, which
shall be of no further force or effect.
Section 3. The Executive Director is hereby directed to transmit a copy of this
Resolution to the City of Miami Mayor Tomas P. Regalado, Miami City Commission and City of
Miami
Section 4. This Resolution shall become effective immediately upon its adoption.

Section 2. The WBID Board opposes the SAP Application in its current form and
recommends that the Miami City Commission disapprove the SAP Application in its entirety.
Section 3. The Executive Director is hereby directed to transmit a copy of this
Resolution to the City of Miami Mayor Tomas P. Regalado, Miami City Commission and City of
Miami.
Section 4. This Resolution shall become effective immediately upon its adoption.
