Dear Ms. Zamora:
This law firm represents Miami Automotive Retail, Inc; MAR 704, LLC, and 701
Assoc, LLC (collectively, "Applicant" or "Owner") with regard to the properties located
at 712 SW 7 Street, 704 SW 7 Avenue, and 701 SW 8 Street in the City of Miami
(collectively, the "Property"). The Property is located between SW 7 Street and SW 8
Street, on the west side of SW 7 Avenue. Miami -Dade County's Office of the Property
Appraiser identifies the Property through Miami -Dade Tax Folio Nos. 01-0204-060-1020,
01-0204-060-1010, and 01-0204-060-1170. The Property is approximately 21,866 square
feet (0.50 acres) in size. Currently, the northern two parcels, fronting SW 7 Street
("Northern Parcels") are vacant, while the southern parcel, fronting SW 8 Street
("Southern Parcel"), contains a commercial structure and surface parking lot. This letter
shall serve as our supplemental letter of intent in connection with the application to rezone
the Property.
On April 18, 2016, Assistant City Attorney Amanda Quirke advised the
undersigned counsel that in order to find the original application legally sufficient
pursuant to Article 7.1.2.8.c.1 of Miami 21, the Applicant must amend its application to
rezone (via either an upzone or downzone) the entirety of the Property, including the
Southern Parcel. Article 7.1.2.8.c.1 of Miami 21 provides, inter alia, "no rezoning of land
shall be considered which involves less than forty thousand (40,000) square feet of land
area or two hundred (200) feet of street Frontage on one (1) street." The Applicant's
position is that the original application, as described therein, "involves" a rezoning of

land area with over 200 feet of street Frontage, and does not require the upzoning or
downzoning of the entirety of the Property.1 This interpretation is consistent with the
intent of both Miami 21 and the Applicant, which is to create a cohesive assemblage for
future development. The foregoing interpretation is consistent with the Applicant's
discussions with the City's Planning and Zoning Department, as evidenced by the City's
processing and acceptance of the original application pursuant to Article 7.1.2.8.d of
Miami 21.
Notwithstanding our position, the Applicant hereby amends its original
application to seek a rezoning of the Southern Parcel from T6-8-O to T6-8-L2 in addition
to the rezoning of the Northern Parcels from T5-L to T5-O. In addition, we hereby amend
our original application to request that the City Commission "waive" the time limits on
"further consideration after rezoning" codified in Article 7.1.2.8.f.5 pursuant to Article
7.1.2.8.f.7.

intent in connection with a request for rezoning of the Property.
Description of Property. The Property is located between SW 7 Street and SW 8
Street, on the west side of SW 7 Avenue. Miami -Dade County's Office of the Property
Appraiser identifies the Property through Miami -Dade Tax Folio Nos. 01-0204-060-1020,
01-0204-060-1010, and 01-0204-060-1170. The Property is approximately 21,866 square
feet (0.50 acres) in size. Currently, the northern two parcels, fronting SW 7 Street

historically designated, nor within a historic district. Further, the Property is not

Rezoning Request. The Applicant seeks a rezoning of the Northern Parcels from
T5-L to T5-O in order to create a cohesive assemblage for future development. It should
be noted that no zone change for the Southern Parcel is requested as part of this
application. The Applicant is requesting a rezoning that is less intense than the existing
development pattern in this area. The "0" (Open) designation is necessary to
accommodate a proper transition to the zoning to the south. Further, As Figure 1.
demonstrates, there are several segments of T6-8-0 zoning within a half mile radius of
the Property which extend from SW 8 Street north to SW 7 Street. Instead of requesting
the more intense, adjacent T6-8-O zoning transect, the Applicant is request a less intense
T5-0 transect.
Section 7.1.2.8(c) of Miami 21 states that a rezoning of land will only be
considered where the proposal involves an extension of an existing transect boundary,
unless the rezoning involves at least 40,000 square feet of land area or 200 feet of street
frontage. The Applicant is not requesting an extension of an existing transect boundary
for the Property. Instead, the Property is requesting a rezoning based on its
approximately 280 feet of street frontage along SW 7 Avenue. As further required by
Section 7.1.2.8(c)(1)(d) of Miami 21, the owner of the Property, the Applicant, is
applying for the rezoning of the Property.
Criteria. Section 7.1.2.8(f) of Miami 21 provides the criteria for amendments to
Miami 21. The provision provides as follows "[fjor all amendments:
(a) The relationship of the proposed amendment to the goals, objectives and policies
of the Comprehensive Plan, with appropriate consideration as to whether the

proposed change will further the goals, objectives and policies of the
Comprehensive Plan; the Miami 21 Code; and other city regulations.
(b) The need and justification for the proposed change, including changed or
changing conditions that make the passage of the proposed change necessary."
The proposed amendment is consistent with the goals, objectives and policies of the
Miami Comprehensive Neighborhood Plan ("MCNP"). For instance, Objective LU-1.3
states as follows:
The City will continue to encourage commercial, office and
industrial development within existing commercial, office
and industrial areas; increase the utilization and enhance the
physical character and appearance of existing buildings;
encourage the development of well -designed, mixed -use
neighborhoods that provide for a variety of uses within a
walkable area in accordance with neighborhood design and
development standards adopted as a result of the
amendments to the City's land development regulations and
other initiatives; and concentrate new commercial and
industrial activity in areas where the capacity of existing
public facilities can meet or exceed the minimum standards
for Level of Service (LOS) adopted in the Capital
Improvement Element (CIE).
The Property is located within an area designated on the FLUM as Medium Density
Restricted Commercial. The Applicant requests a rezoning from the T5-L transect zone
to T5-O in order to enhance the commercial character, create a cohesive assemblage, and
accommodate a more appropriate transition to the more intense use of the Property
along SW 8 Street. Approval of this application will encourage commercial
development in a mixed use, walkable area where existing public facilities, including
high frequency bus routes, meet or exceed the minimum standards. Further, approval
of this application would encourage a development pattern, in line with the existing
context, that would enhance the existing neighborhood by continuing to develop a
balanced mix of uses and employment opportunities.
A zone "change may be made only to the next intensity Transect Zone or by a
Special Area Plan, and in a manner which maintains the goals of this Miami 21 Code to
preserve Neighborhoods and to provide transitions in intensity and Building Height."
See Section 7.1.2.8(f)(2), Miami 21. The Applicant requests a change from T5-L to T5-O,
which is a request in the same category of transect zone, not in a higher intensity

transect zone. Approval of the Applicant's request will allow for enhanced utilization
of the Property within the T5 transect zone, not for increased intensity. Therefore, the
Applicant's request maintains the goals of Miami 21 to preserve neighborhoods and
continue providing for transitions in intensity.

contained multi -family residential structures constructed in 1935 and 1937 that were demolished in

Purpose/Request:
The owner proposes a rezoning of two of lots from T5-L "Urban Center Transect. Zone — Limited" to

Criteria
A Rezoning, pursuant to Miami 21, Article 7, Section 7.1.2.8, to allow an Amendment to Miami 21
Code through a rezoning request from T5-L to T5-O for properties located approximately at 704 SW

with the City as quickly as possible.

DECLARATION OF RESTRICTIVE COVENANT
IN LIEU OF UNITY OF TITLE
MAR 704 LLC, a Florida limited liability company ("MAR") is the fee owner of the property
located at 704 S.W. 7th Avenue, Miami, Florida, and more particularly described by its legal
address reflected on Exhibit "A".
MIAMI AUTOMOTIVE RETAIL, INC., a Florida corporation ("Miami Auto") is the fee
owner of the property located at 712 S.W. 7th Street, Miami, Florida, and more particularly
described by its legal address reflected on Exhibit "B".
701 ASSOC LLC, a Florida limited liability company ("701") is the fee owner of the
property located at 701 S.W. 8th Street, Miami, Florida, and more particularly described by its
legal address reflected on Exhibit "A"
For purposes of this Declaration:
a. MAR, Miami Auto and 701 shall collectively be referred to as "Property Owners";
and
b. The properties described in Exhibits "A", "B" and "C" shall collectively be referred to
as the "Properties".
Property Owners hereby make, declare and impose on the Properties herein described, the
covenants and obligations described herein, which shall run with the title of land, and shall be
binding on the owners, heirs, successors, assigns, personal representatives, mortgagees, lessees,
and all persons claiming by, through, or under them;
WHEREAS, the Properties are located within the city of. Miami, in Miami -Dade County,
Florida; and
WHEREAS, the property described in Exhibit "A" abuts the property described in Exhibit
"B", which abuts the property described in Exhibit "C"; and
WHEREAS, the property described in Exhibit "A" is unimproved; and
WHEREAS, the property described in Exhibit "B" is unimproved; and
WHEREAS, the property described in Exhibit "C" contains a one-story, single block
structure that will be demolished in connection with this unity; and
WHEREAS, Property Owner desires to build one structure on the Properties;
WHEREAS, the City of Miami (the "City") requires that this Declaration be entered into
prior thereto; and

WHEREAS, Property Owners desire to unify the Properties as one plot and parcel of land,
such that no portion or parcel shall be sold, assigned, devised or transferred unless all conditions
of this Declaration are complied with.
NOW THEREFORE, in consideration of the Premises, Property Owners hereby agree as
follows:
1. The above recitations are true and correct and are incorporated herein in their entirety.
2. The Properties described above (Exhibits "A", "B" and "C") shall be considered as one plat
and parcel of land and no portion or parcel shall be sold, assigned, devised or transferred
unless all conditions of this Declaration are complied with.
3. The Master Address for the combined plat shall be , Miami,
Florida ("Master Address").
4. As further part of this Declaration, it is hereby understood and agreed that any official
inspector of the City, or its agents duly authorized, may have the privilege at any time
during normal working hours of entering and inspecting the premises to determine
whether or not the requirements of and the conditions herein agreed to are being
complied with.
5. This Declaration on the part of the Property Owners shall constitute a covenant running
with the land and shall be recorded, at the Owners' expense, in the public records of
Miami -Dade County, Florida, and shall remain in full force and effect and shall be binding
upon undersigned Property Owners, and their heirs, successor, and assigns until such time
as the same is modified, released, or terminated, as set forth in Paragraph 12. These
restrictions during their lifetime shall be for the benefit of, and limitation upon, all present
and future owners of the Properties.
6. This Declaration is to run with the land and shall be binding on all parties and all persons
claiming under it for the period of thirty (30) years from the date this Declaration is
recorded after which time it shall be extended automatically for successive periods of ten
(10) years, until such time as the same is modified, released or terminated as set forth in
paragraph 12. Should this Declaration of Restrictions be modified, released or terminated,
the City shall forthwith execute a written instrument effectuating and acknowledging such
modification, amendment or release.
7. In the event of any breach of this Declaration, enforcement may be by action at law or in
equity, against any parties or persons violating or attempting to violate any covenants
herein, either to restrain violations or recover damages. The parties agree that a breach of
this Declaration shall create the presumption of irreparable harm for the purposes of any
injunctive relief. The prevailing party in action or suit pertaining to or arising out of this

Declaration shall be entitled to recover, in addition to any other remedies available at law,
in equity or both.
8. In the event the terms of this Declaration are not being complied with, in addition to any
other remedies available, the City is hereby authorized to withhold any further permits
from and refuse to make any inspections or grant any approvals to, the Properties until
such time as there is compliance with this Declaration.
9. All rights, remedies, and privileges granted herein shall b,e deemed to be cumulative and
the exercise of any one or more shall neither be deemed to constitute an election of
remedies, nor shall it preclude the party exercising the same from exercising such other
additional rights, remedies, or privileges.
10. Where construction has occurred on any portion of the Properties, pursuant to a lawful
permit issued by the City, and inspections made and approval of occupancy given by the
City, then such construction, inspection, and approval shall create a rebuttable
presumption that the structures thus constructed comply with the intent and spirit of this
Declaration.
11. Invalidation of any of the covenants contained herein shall not affect any other provisions,
which shall remain in full force and effect.
12. This Declaration of Restrictions may be modified, released or terminated as to the land
herein described, or any portion thereof, by written instrument executed by the then
owners of all the Property, including joinders of all mortgagees, if any, provided that the
same is also approved by the Development Services Director, following necessary and
appropriate inspections, which demonstrate that the properties fully comply with the
Building and Zoning Codes of the City, and all improvements that necessitated this
Declaration have been removed and no encroachment(s) remain. Should this Declaration
of Restrictions be so modified, released, or terminated, the City shall forthwith execute a
written instrument effectuating and acknowledging such modification, release or
termination, which shall be recorded by and at Property Owner's expense.
NOW THEREFORE, for the good and valuable consideration, the undersigned does hereby
declare that this covenant is intended and shall constitute a restrictive covenant concerning the
use, enjoyment and title to the Property and shall be binding upon the undersigned, their
successors and assigns.
