Subject: Resolution for the acceptance of a Revocable License Agreement with Aspira of Florida, Inc.
and Aspira Properties, Inc. (collectively "Aspira").
Purpose of Item:
A Resolution of the Miami City Commission, with attachment(s), authorizing the City Manager to
execute the Revocable License Agreement to Aspira. The Revocable License Agreement
("Agreement"), in substantially the attached form, will allow for Aspira's use of the City's property, for
vehicular parking purposes, in exchange for the City's use of Aspira's facility for the establishment of
a Neighborhood Enhancement Team ("NET") office and other ancillary uses. The Agreement may
be terminated without cause, by either party, by providing not less than 180 days' notice prior to
termination.

Background Information
The City owns property located at 150 NE 19th Street, Miami, Florida ("Property"). Aspira owns a
facility located at 1900 NE Miami Court, Miami, Florida ("Facility"). The Property and the Facility are
located next to each other. Aspira will be expanding its facility and is seeking to use the Property for
vehicular parking purposes during limited weekly hours. The City is seeking to establish a NET
Office and the use of restrooms, which shall be used only during permitted events held at the
Property.
The City is authorizing a revocable license to Aspira, for the use of the Property, for the sum of one
dollar ($1.00) per year. In exchange for Aspira's use of the Property, Aspira is authorizing a
revocable license to the City for the use of the Facility, to wit to establish and operate a NET Office
and use Aspira's designated restroom area.
Aspira is completely responsible for each parking space signage installation and maintenance
thereof at the Property. The Property shall be fully maintained and kept in good repair at Aspira's
sole expense.
The City's Department of Parks and Recreation ("Parks and Recreation") will coordinate the opening
and closing of the restroom area during permitted events. Parks and Recreation shall provide
security services for the restroom area during permitted events, and Parks and Recreation shall
clean the restroom area after such permitted events. Additionally, the City shall equip, install and
maintain all improvements in the NET Office and all improvements therein shall be fully maintained
and kept in good repair at the City's sole expense.
