A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE A FIRST AMENDMENT TO THE
INTERLOCAL AGENCY AGREEMENT, IN SUBSTANTIALLY THE ATTACHED
FORM, BETWEEN THE CITY OF MIAMI ("CITY") AND THE SOUTH FLORIDA
REGIONAL TRANSPORTATION AUTHORITY ("SFRTA"), ALLOWING THE CITY TO
DISBURSE ITS APPROVED CONTRIBUTION IN AN AMOUNT NOT TO EXCEED
EIGHT MILLION NINETY-SEVEN THOUSAND THIRTY AND NO/100 DOLLARS
($8,097,030.00) ON A MONTHLY BASIS TO SFRTA FOR THE DESIGN AND
CONSTRUCTION OF THE IMPROVEMENTS NEEDED TO FACILITATE
PASSENGER RAIL SERVICE WITHIN THE CITY LIMITS CONDITIONED ON A
CONTRIBUTION BY SFRTA IN AN AMOUNT EQUIVALENT TO THE FLORIDA
DEPARTMENT OF TRANSPORTATION ("FDOT") CONTRIBUTION; FURTHER
AUTHORIZING THE REMOVAL OF THE REQUIRED CONTRIBUTION BY THE
FDOT AS A CONDITION TO THE CITY'S CONTRIBUTION AND SUBSTITUTING
THE CONTRIBUTION BY SFRTA IN AN AMOUNT EQUIVALENT TO FDOT AS A
NECESSARY PRECONDITION TO THE CITY'S CONTRIBUTION; WITH SUCH
OTHER MODIFICATIONS TO THE TERMS AND CONDITIONS AS MORE
SPECIFICALLY SET FORTH IN SAID FIRST AMENDMENT TO THE INTERLOCAL
AGENCY AGREEMENT.
WHEREAS, the Miami City Commission desires to accomplish the purposes outlined in the
Interlocal Agency Agreement between the City of Miami ("City") and South Florida Regional
Transportation Authority ("SFRTA") approved via the adoption of Resolution No. 15-0338 on July 23,
2015; and
WHEREAS, various local funding partners, including Miami -Dade County, Southeast
Overtown/Park West Community Redevelopment Agency, Omni Community Redevelopment Agency,
the Downtown Development Authority, and Bayfront Park Management Trust, took independent
action during the summer and fall of 2015 to authorize contributions to underwrite the estimated costs
of the Tri-Rail Miami Link Station improvements at the Miami Central Station not otherwise paid for by
either the City, SFRTA, or Florida Department of Transportation ("FDOT"); and
WHEREAS, due to the FDOT's decision not to participate in the Downtown Miami Link at this
time, SFRTA has agreed to assume the role of FDOT contemplated in the Interlocal Agency
Agreement;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are hereby
adopted by reference and incorporated as if fully set forth in this Section.

Section 2. The City Manager is hereby authorized {1 } to execute a First Amendment to the
Interlocal Agency Agreement, in substantially the attached form, between the City and SFRTA
authorizing: (i) the removal of a contribution from FDOT as a necessary precondition to the City's
contribution; (ii) the substitution of a contribution by SFRTA for an amount equivalent to FDOT as a
precondition to the City's contribution; and (iii) the monthly (modified from quarterly) disbursement of
City contribution in an amount not to exceed eight million ninety-seven thousand thirty and no/100
dollars ($8,097,030.00) upon presentment of required invoices and related reimbursement
documentation by SFRTA; with such other modifications to the terms and conditions as more
specifically set forth in the First Amendment to the Interlocal Agency Agreement.
Section 3. This Resolution shall become effectively immediately upon its adoption and
signature of the Mayor. {2}
Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter
and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10)
calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall
become effective immediately upon override of the veto by the City Commission.
