A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), BYA
FOUR -FIFTHS (4/STHS) AFFIRMATIVE VOTE, PURSUANT TO SECTION 18-92 OF
THE CODE OF THE CITY OF MIAMI, FLORIDA, AS AMENDED, AFTER AN
ADVERTISED PUBLIC HEARING, RATIFYING, APPROVING, AND CONFIRMING
THE CITY MANAGER'S FINDING OF JOHNSON CONTROL, INC. AS A SOLE
SOURCE; WAIVING THE REQUIREMENTS FOR COMPETITIVE SEALED BIDDING
PROCEDURES AND APPROVING THE EXPENDITURE OF A SUM NOT TO
EXCEED $236,000.00 FOR THE REPLACEMENT OF VARIABLE AIR VOLUME
("VAV") BOXES, AND CONFIRMING THAT THE ITEMS PROCURED ARE WITHIN
THE SOLE SOURCE DETERMINATION MADE RELATIVE TO THE COMPATIBILITY
TO THE METASYS BUILDING MANAGEMENT SYSTEM SET FORTH IN
RESOLUTION NO. 95-803 ADOPTED ON NOVEMBER 1, 1995; FURTHER
AUTHORIZING THE CITY MANAGER TO ADMINISTRATIVELY APPROVE ANY
MAINTENANCE REPAIRS INCLUDING REPLACEMENT OF EQUIPMENT FOR THE
METASYS BUILDING MANAGEMENT SYSTEM AT THE MIAMI RIVERSIDE
CENTER, LOCATED AT 444 SOUTHWEST 2ND AVENUE, MIAMI, FLORIDA, 33130,
AND TO EXECUTE ANY APPLICABLE AMENDMENTS TO THE CONTRACT, IN A
FORM ACCEPTABLE TO THE CITY ATTORNEY, FOR SAID PURPOSE; WITH
FUTURE PURCHASES TO BE ALLOCATED FROM THE VARIOUS SOURCES OF
FUNDS FROM THE USER DEPARTMENT SUBJECT TO THE AVAILABILITY OF
FUNDS AND BUDGETARY APPROVAL AT THE TIME OF NEED.
WHEREAS, the City of Miami's ("City") General Services Administration Department
("Department") will be purchasing two -hundred fifty (250) Variable Air Volume ("VAV"') boxes; and
WHEREAS, said equipment is necessary to continue the Department's effort to maintain the
heating, venitlation and air conditioning system at the Miami Riverside Center ("MRC"), located at 444
Southwest 2nd Avenue, Miami, Florida, 33130; and
WHEREAS, the Metasys Building Management System ("Metasys System"), proprietary to
Johnson Controls, Inc. was approved as a sole source in 1995 via Resolution No. 95-803, adopted on
November 1, 1995; and
WHEREAS, Johnson Controls, Inc. continues to provide maintenance for the Metasys system and
provides for the existing warranty of such system at the MRC; and
WHEREAS, pursuant to Section 18-92(a)(1) of the Code of the City of Miami, Florida, as
amended ("City Code"), goods and services can be procured in the best interest of the City through
an exception to the competitive bidding requirements of the City Code "where the compatibility of
equipment, accessories, or replacement parts permits one reasonable source of supply"; and
WHEREAS, the City intends to purchase the VAV boxes from Johnson Controls, Inc., the sole

provider of the Metasys System to ensure 1) that the Metasys System's warranty is protected and 2)
that the VAV boxes are compatible with the existing proprietary system;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporated as if fully set forth in this Section.
Section 2. The City Commission, by a four -fifths (4/5ths) affirmative vote, pursuant to Section
18-92 of the City Code, after an advertised public hearing, ratifies, approves, and confirms the City
Manager's finding of Johnson Control, Inc. as a sole source, waiving the requirements for competitive
sealed bidding procedures and approving the expenditure of a sum not to exceed $236,000.00 for
the replacement of VAV boxes, and confirming that the items procured are within the sole source
determination made relative to the compatibility to the Metasys System set forth in Resolution No.
95-803 adopted on November 1, 1995.
Section 3. The City Manager is authorized {1} to administratively approve any maintenance
repairs including replacement of equipment for the Metasys System at the MRC, and to execute any
applicable amendments to the contract, in a form acceptable to the City Attorney, for said purpose,
with future purchases to be allocated from the various sources of funds from the user department
subject to the availability of funds and budgetary approval at the time of need.
Section 3. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor. {2}
Footnotes:
{1} If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10)
calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall
become effective immediately upon override of the veto by the City.
