THIS DEED, made this day of , 20 by the City of Miami, a municipality of the
State of Florida, ("Grantor"), to the STATE OF FLORIDA DEPARTMENT OF TRANSPORTATION, ("Grantee"):
(Wherever used herein, the terms "Grantor" and "Grantee" shall include the parties to this instrument and the heirs, legal
representatives and assigns of individuals, and the successors, and assigns of organizations).
WITNESSETH: That the Grantor, for and in consideration of the sum of $1.00 and other valuable
considerations, receipt and sufficiency being hereby acknowledged, hereby grants, bargains, sells, aliens, remises,
releases, conveys and confirms unto the Grantee, all that certain land situate in Miami -Dade County, Florida, viz:

particularly described as follows, to wit:
Beginning at the intersection of the easterly line of South River Street (now called. S.W. South River Drive) and
the north line projected eastwardly of Thirteenth Street (now called S.W. First Street); thence east along the said
projected line a distance of 102.2 feet more or less to the westerly U.S. Harbor Line, in the Miami River; thence
northwestwardly along said westerly U.S. Harbor Line a distance of 25.2 feet; thence southwestwardly a
distance of 95.0 feet more or less, to said easterly line of South River Street; thence southeastwardly along said
easterly line of South River Street a distance of 10.2 feet to the place of beginning.

recorded in Book "B" of Plat at Page 41, of the Public Records of Miami -Dade County, Florida; on the west by
the east line of South River Street (now called Southwest South River Drive); on the South by the south line,
produced eastwardly, of Thirteenth Street; on the east by the United States Harbor Line of the Miami River.
Containing 4,474 Square feet more or less.
All of the foregoing lying in Section. 38, Mrs. Hagan Donation, Township 54 South, Range 41 East, City of
Miami, Miami -Dade County, Florida and containing 6,007 square feet (0.140 acres), more or less.

Biscayne Engineering Company, Inc.
SUBJECT TO the following conditions, restrictions and covenants, which are part of the consideration for the
Property conveyed and are taken and construed as running with the land:
1. The property shall be used specifically for the construction, operation, and ongoing maintenance of the SW 1st
Street Bridge and the adjacent control house, and for no other purpose whatsoever. If the property or any
portion thereof ceases to be used for the above -stated purpose, all rights and title to the property, or the disused
portion thereof, shall revert to the Grantor automatically;
2. Prior to the removal of the storm sewer outfall pipes present on the property, Grantee shall relocate the existing
storm sewer outfall pipes at Grantee's sole cost and expense, to a location mutually agreed -upon by the parties;
until such time that the above -mentioned storm sewer outfall pipes are relocated, the Grantee shall retain a non-
exclusive easement to maintain, repair, or otherwise access the storm sewer outfall pipes;
3. No advertising of any kind, whether commercial or non-commercial in nature, shall be placed on the property by
Grantee or any of its employees, agents, representatives, or contractors/sub-contractors;
4. The Grantee herein shall not assign, lease, or otherwise convey any interest in the property to any person or
entity other than the City of Miami/Grantor;
5. In the event any of the above -listed restrictions, conditions or covenants are violated, the property shall
automatically revert and vest title to the Grantor. In the event of an automatic reversion under the terms stated
herein, and upon request by Grantor, Grantee shall execute a Quit Claim Deed or other necessary conveyance
document(s) certifying the reversion and record the same in the Official Records of Miami -Dade County.
TOGETHER with all tenements, hereditaments and appurtenances thereto belonging or in anywise
appertaining.
TO HAVE AND TO HOLD, the same in fee simple forever.
IN WITNESS WHEREOF, the said Grantor has caused these presents to be executed in its name by its City
Manager, and its seal to be hereto affixed, attested by its City Clerk, the date first above written.

- Bearings shown hereon are relative to a Baseline along State Road 968 between
S.W. North River Drive and S.W. 2nd Avenue, based on Control SURVEY for State
Road 968, FP# 424407-1-32-01, Section 87053-001, Dated: 08/2014, having a
bearing of N87°39'26"E.
- Stations and Offsets are relative to the Survey Baseline.
- Bearings and distances are calculated unless noted.
- Additions and/or deletions to survey maps, sketches or reports by any party other
than the signing party are prohibited without the written consent of the signing
party.
Title report prepared by Paramount Title Services, Inc., Number: 13-708-073,
dated: December 8, 2013 at eleven o'clock p.m.
- The legal description for the Parent Tract of the Subject Property makes reference
to the "U.S. Harbor Line" of the Miami River. The sketch and legal of the Subject
Property has been drawn so as to be bounded by the Mean High Water Line, as no
evidence was provided that submerged lands were expressly conveyed to the
upland owner.
- Property Boundary data was informed by a prior Control Survey (FM
424407-1-32-01, Section: 87053-001 for S.R. 968) and was supplemented by prior
topographic data (seawall) where available.
Property areas are shown for information purposes only, and are subject to a
Boundary Survey. furthermore, a Mean High Water Survey would be required to
determine what interests, if any, the State of Florida may have in sovereignty of

SUBJECT TO the following conditions, restrictions and covenants, which are part of the consideration for the
Property conveyed and are taken and construed as running with the land:
1. The property shall be used specifically for the construction, operation, and ongoing maintenance of the SW 1 st
Street Bridge and the adjacent control house, and for no other purpose whatsoever. If the property or any
portion thereof ceases to be used for the above -stated purpose, all rights and title to the property, or the disused
portion thereof, shall revert to the Grantor automatically;
2. Prior to the removal of the storm sewer outfall pipes present on the property, Grantee shall relocate the existing
storm sewer outfall pipes at Grantee's sole cost and expense, to a location mutually agreed -upon by the parties;
until such time that the above -mentioned storm sewer outfall pipes are relocated, the Grantee shall retain a non-
exclusive easement to maintain, repair, or otherwise access the storm sewer outfall pipes;
3. No advertising of any kind, whether commercial or non-commercial in nature, shall be placed on the property by
Grantee or any of its employees, agents, representatives, or contractors/sub-contractors;
4. The Grantee herein shall not assign, lease, or otherwise convey any interest in the property to any person or
entity other than the City of Miami/Grantor;
5. In the event any of the above -listed restrictions, conditions or covenants are violated, the property shall
automatically revert and vest title to the Grantor. In the event of an automatic reversion under the terms stated
herein, and upon request by Grantor, Grantee shall execute a Quit Claim Deed or other necessary conveyance
document(s) certifying the reversion and record the same in the Official Records of Miami -Dade County.
TOGETHER with all tenements, hereditaments and appurtenances thereto belonging or in anywise
appertaining,

The Public Works Department has reviewed therequest from the Florida Department of
Transportation for the transfer of city owned property to the State of Floridafor the
reconstruction of the SW 1e Street bridge over the Miami River, Public Works Department
records show that the city owns and maintains storm sewer outfall pipes within the parcels
described as:

Folio No. 01-0113-080-3130
Folio No. 01-0113-090-1141
Because these parcels are currently being used by the city to provide essential storm water
drainage services to city neighborhoods, this department respectfully submits the following
conditions for the transfer of the subject city owned property to the Florida Department of
Transportation,
1. The Florida Department of Transportation grants to the city storm water drainage
easements and, if necessary, relocates the existing storm sewer outfall pipes at no cost
to the city.
2. The city shallretain access to the storm sewer outfall pipes to conduct routine
maintenance activities.
3. The city shall retain reversion of ownership rights for any portions of the transferred
parcels of land not utilized for the bridge structure, tender house, bridge appurtenances
or the operation of the bridge.
