Purpose of item:
A Resolution of the City of Miami Commission, with attachment(s), authorizing the City Manager to execute an
interlocal Agency Agreement, In substantially the attached form, between the City of Miami ("City") and the
South Florida Regional Transportation Authority ("Tri-Rall"), allowing the City to contribute an amount not to
exceed eight million three hundred forty seven thousand dollars and no cents ($8,347,000.00) to Tri-Rail to
design, construct, and finance the improvements of the passenger rail service within the City limits, with terms
and conditions as more specifically set forth in said Agreement.

Subject: Interlocal Agency Agreement ("Agreement") between the City of Miami ("City") and the South Florida
Regional Transportation Authority ("Tri-Rail")
Background Information:
The City is a duly recognized municipal corporation of the State of Florida and pursuant to F.S.A. Section 343.53,
the South Florida Regional Transport Authority is a political agency of the State of Florida.
The attached Agreement is enteredinto upon the authority granted to the parties by Section 163.01, Florida
Statutes (2014) which permits local governmental units the abilities required to make the most efficient use of
their powers by enabling them to cooperate with other localities on a basis of mutual advantage and thereby
to provide services and facilities in a manner and pursuant to forms of governmental organization that will
accord best with geographic, economic, population, and other factors influencing the needs and development
of local communities.
The City has determined that it would be in its best interest to facilitate travel between the City and other
urban centers across South Florida for the benefit of its City residents and visitors by supporting Tri-Rail's
extension of its commuter rail service to Downtown Miami (hereinafter, the "Tri-Rail Downtown Miami Link").
In order to implement the Tri-Rail Downtown Miami Link, the City and Tri-Rail wish to facilitate the deisgn,
construction and financing of additional platform improvements to the All Aboard Florida's ("AAF") proposed
Miami Central Station in order to accommodate future Tri-Rail commuter rail service (the "Project"). The
additional improvements shall consist of: (i) a 62,000 square foot platform and associated trackage for Tri-Rail
commuter trains; (ii) a mezzanine level consisting of columns and related structures which support the Tri-Rail
platform and associated trackage; and (iii) related Miami Central Station elements including, but not limited to,
portions of elevators, escalators, support spaces, and storage areas, all as more particularly described in Exhibit
"A" (the "Improvements") of the Agreement.
