A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE A LEASE AGREEMENT
("AGREEMENT"), IN SUBSTANTIALLY THE ATTACHED FORM, BETWEEN THE
CITY OF MIAMI ("CITY") AND TMSAALTIS 5040, LLC ("LESSOR"), FOR THE USE
OF APPROXIMATELY NINE THOUSAND TWO HUNDRED EIGHTY (9,280)
SQUARE FEET OF OFFICE SPACE, LOCATED AT 5040 NORTHWEST 7 STREET,
MIAMI, FLORIDA, FOR THE OPERATION OF THE INTERNAL AFFAIRS DIVISION
OF THE CITY'S POLICE DEPARTMENT, WITH A MONTHLY RENTAL FEE IN AN
AMOUNT NOT TO EXCEED $17,786.66 ($23.00 PER SQUARE FOOT), ALL
INCLUSIVE AND WITH ANNUAL INCREASES, FOR A PERIOD OF SEVEN (7)
YEARS AND FIVE MONTHS, WITH AN ADDITIONAL FIVE (5) YEAR OPTION TO
RENEW; ALLOCATING FUNDS FROM THE CITY POLICE DEPARTMENT'S
BUDGET, WITH TERMS AND CONDITIONS AS MORE SPECIFICALLY SET FORTH
IN SAID AGREEMENT.
WHEREAS, the City of Miami ("City") Police Department's Internal Affairs Division ("Division")
is currently in holdover status in their current office space consisting of nine thousand (9,000) square
feet, located at 1313 Northwest 36 Street, Miami, Florida, and the landlord at said location wishes to
lease the same to another tenant; and
WHEREAS, the City's Department of Real Estate and Asset Management, along with NAI
Miami, reviewed the current inventory of office space(s) on the market, and were able to locate a
suitable location that fits the needs of the Division at a rate not to exceed $23.00 per square foot,
which is inclusive of all rental charges as well as electricity and water for the space; and
WHEREAS, the City and TMSAALTIS 5040, LLC ("Lessor"), wish to enter into this Lease
Agreement ("Agreement") for a period of seven (7) years and five (5) months, with an option to renew
for an additional five (5) years, subject to the rent increases provided for in the Agreement; and
WHEREAS, the Agreement also calls for a construction allowance of an amount not less than
$15.00 per square foot, or a total amount of $139,200.00, to be utilized for the building out of said
space, if necessary to meet the needs of the Division;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are hereby
adopted by reference and incorporated as fully set forth in this Section.
Section 2. The City Manager is hereby authorized {1} to execute an Agreement, in
substantially the attached form, between the City and Lessor, for the use of approximately nine
thousand two hundred eighty (9,280) square feet of office space located at 5040 Northwest 7 Street,

Miami, Florida, for the operation of the Division, with a monthly rental fee in an amount not to exceed
$17,786.66 ($23.00 per square foot), all inclusive, for a period of seven (7) years and five (5) months
with an additional five (5) year option to renew; with funds allocated from the City Police Department's
budget, with terms and conditions as more specifically set forth in said Agreement; providing,
however, that if the business terms of this Agreement are not acceptable to the City Administration, or
if the legal terms are not acceptable to the City Attorney, this Agreement shall not be considered
viable, and other premises shall be considered.
Section 3. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor. {2}
Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City
Charter and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10)
calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it
shall become effective immediately upon override of the veto by the City Commission.
