Please accept this letter as instruction from the Parks Foundation of Miami -Dade (Parks
Foundation) to The Friends of the Underline (Friends) regarding a grant of '6200,000
from the City of Miami to be directed to the design and vision of the Underline in Miami
Dade County,
The City of Miami will provide a $200,000 grant to the Parks Foundation in May 2015 to
be directed to Friends, This grant is to be used for the following:
All of the funds will be directed to the planning and design of the Underline and
specifically used to cover the expenses associated with the firm James Corner Field
Operations, which was selected by Friends to execute this function.
A report on how all funds are spent (including an itemized budget detailing expenses) is
to be provided, with a progress report and copies of any drawings, on May 1, 2016 to
the• Parks Foundation and copied to the City of Miami, attention: City Manager,
Specific language from the City of Miarni grant includes the following and must be
followed:
e There must be an executed contract between the Friends and JameComer
Field Operations before any of the grant funds can be issued or spent, A copy of
the contract is to be provided to the Parks Foundation upon the execution of this
agreement,
0 The Friends will share the plans that have been created with Parks Foundation
within 12 months of receiving the grant as an update on how the City's funds

have been expended. A copy of the plans will also be sent to the City Miami:
Attention City Manager.
The Parks Foundation will make one payment of $200,000 to Friends upon receipt of
this executed agreement and a copy of the contract between Friends and James Corner
Field Operations,
