A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO ACCEPT, PURSUANT TO A SPECIAL
WARRANTY DEED ("DEED"), IN SUBSTANTIALLY THE ATTACHED FORM, THE
DONATION OF A PARCEL OF LAND LOCATED AT APPROXIMATELY 455
NORTHEAST 28 STREET, MIAMI, FLORIDA, ADJACENT TO PRH NORTHEAST
28TH STREET LLC, A FLORIDA LIMITED LIABILITY COMPANY ("GRANTOR"), AS
MORE PARTICULARLY DESCRIBED IN EXHIBIT "A" OF THE DEED, TO THE CITY
OF MIAMI ("CITY"); WITH THE GRANTOR INCURRING ALL COSTS ASSOCIATED
WITH THE TRANSFER OF THE PROPERTY, INCLUDING BUT NOT LIMITED TO
THE SURVEY, ENVIRONMENTAL REPORT, DOCUMENTARY STAMP TAXES, AS
APPLICABLE, TITLE INSURANCE, AND CLOSING COSTS; FURTHER
AUTHORIZING THE CITY MANAGER TO EXECUTE ANY OTHER NECESSARY
DOCUMENTS, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, IN ORDER TO
EFFECTUATE SAID CONVEYANCE.
WHEREAS, PRH NE 28th Street ("Grantor") owns the property located at 455 Northeast 28
Street, Miami, Florida ("Property"); and
WHEREAS, the Grantor intends to construct and develop a high-rise condominium with
recreational amenities on the Grantor's property known as Icon Bay ("Condominium"); and
WHEREAS, the Grantor has requested permission from the City of Miami ("City") to construct
certain improvements within the property owned by the City located at 498 Northeast 28 Street,
Miami, Florida, Folio No. 01-3230-017-0420; and
WHEREAS, the Grantor has agreed to dedicate to the City land adjacent to the Grantor's property
to be solely used and enjoyed as a park, and has agreed to maintain said park in perpetuity; and
WHEREAS, the Grantor has agreed to contribute to the maintenance of the inlet adjacent to the
City's property; and
WHEREAS, the Grantor will record the attached Special Warranty Deed ("Warranty Deed") and
do all things necessary to finalize conveyance prior to the recordation of the plat, issuance of a
Temporary Certificate of Occupancy, or issuance of a Certificate of Occupancy, whichever occurs
first; and
WHEREAS, the City's Department of Parks and Recreation recognizes the need for parks in the
community, and recommends the acceptance of the conveyance;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,

FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporated as fully set forth in this Section.
Section 2. The City Manager is hereby authorized{1} to accept, pursuant to a Warranty Deed, in
substantially the attached form, the donation of the Property from the Grantor to the City, as more
particularly described in Exhibit "A" of the Warranty Deed, with the Grantor incurring all costs
associated with the transfer of the Property, including but not limited to, the survey, environmental
report, documentary stamp taxes, as applicable, title insurance, and closing costs.
Section 3. The City Manager is further authorized{1} to execute any necessary documents, in a
form acceptable to the City Attorney, in order to effectuate said conveyance.
Section 4. This Resolution shall become effective immediately upon adoption and signature of
the Mayor.{2}
Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter
and Code provisions.
{2} if the Mayor does not sign this Resolution, it shall become effective at the end of ten (10)
calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall
become effective immediately upon override of the veto by the City Commission.
