PROPOSED 10-1-14
COVENANT TO RUN WITH THE LAND
THIS COVENANT (hereinafter the "Amendment"), is made as of this
day of
, 2015, by and between PRH NE 31 St., LLC, a Florida limited liability
company, with offices at 315 South Biscayne Boulevard, Miami, Florida 33131, party of the first
part ("Covenantor"), and the City of Miami, a municipal corporation of the State of Florida, in
the County of Miami -Dade, party of the second part (the "City").
RECITALS
WHEREAS, Covenantor owns the parcel(s) of more particularly described in the
attached Exhibit "A" (the "Covenators Property"); and
WHEREAS, Covenantor intends to construct and develop a multifamily condominium
with recreational amenities on a portion of Covenator's Property known as Element (hereafter
the "Condominium"); and
WHEREAS, the Covenantor has agreed to dedicate to the City, waterfront land
consisting of approximately 20,002 26,290 SF adjacent to the Covenator's Property to be used
and enjoyed as a public park and has agreed to maintain said park in perpetuity; and
WHEREAS, Covenantor has agreed to make improvements to the new waterfront park
(hereinafter collectively called the "Improvements") shall consist of landscaping trees, an

irrigation system, a decorative street lighting system, decorative sidewalk and baywalk, pavers
and related structures as more described in greater detail on the Exhibit "B"; and
WHEREAS, the Covenantor has agreed to create two new platted public right of ways
consisting of approximately 15,429 SF for NE 6th Avenue and approximately 13,499 SF for NE
7th Avenue in order to improve and enhance the vehicle circulation in this area.
NOW THEREFORE, in consideration of the foregoing and other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, Covenator does
hereby covenant and agree with City as follows:
1. Recitals. The foregoing recitals are true and correct and are made a part hereof.
2. Defined Terms. All terms utilized in this Amendment but not defined in this
Amendment shall have the meaning ascribed to said terms in the Covenant.
3. Park Dedication. Covenantor hereby agrees to dedicate approximately 20,002
26,290 SF of waterfront land to the City of Miami for park purposes.
4. Park Construction of Improvements. Covenantor is hereby allowed to install,
construct, maintain, improve, replace and repair the aforementioned Improvements on the
Property in accordance with City of Miami standards and specifications. Said improvements
shall be completed prior to CO.
5. Requirement that the Improvements be Maintained and/or Restored. In the event
that Covenantor, its heirs, successors, or assigns fail in the reasonable discretion of the Director
of the Parks and Recreation Department to properly maintain the Improvements, or any part
thereof, so that they become a hazard to the health, welfare and safety of the general public, the
City shall give Covenantor written notice of such failure via certified mail, return receipt
requested, with copies to any mortgagee who has given written notice of its lien to the City of

Miami, and Covenantor shall within thirty (30) days from receipt of such notice either (i) restore
the Improvements, or any part thereof, to a safe condition satisfactory to the City or (ii) remove
the Improvements, or any part thereof, and restore the Property to the City's standards at no cost
or expense to the City.
6. Enforcement of Requirement that the Improvements be Maintained and/or
Restored. Maintenance or In the event that Covenantor, its heirs, successors, or assigns fail to
either restore the Improvements, or any part thereof, to a safe condition satisfactory to the City or
remove the Improvements, or any part thereof, and restore the Property, within the specified time
as set forth in Paragraph 5 of this Amendment, the City may contract for such restoration or
removal, and the amount of such restoration or removal costs shall be declared and established as
a lien against the Covenator's Property described on the attached Exhibit "A" and enforced as
any lien provided for under the Statutes of the State of Florida and the Code and Ordinances of
the City of Miami. Covenantor shall pay the City's reasonable attorneys' fees and costs of
collection arising in any action to foreclose the lien or otherwise recover costs for restoration or
removal of the Improvements or any part thereof.
7. Indemnification with Respect to Construction, Maintenance and/or Removal of
the Improvements. Covenantor shall indemnify, defend, and hold harmless the City from any
claims, demands, liabilities, losses or causes of action of any nature whatsoever arising out of the
use, construction, maintenance and/or removal of the Improvements, or any part hereof, from
and against any orders, judgments or decrees which may be entered and from and against all
costs, attorneys' fees, expenses and liabilities incurred in the defense of such claim, or in the
investigation thereof.

8. Insurance. Covenantor's contractor shall carry a comprehensive general liability
policy of insurance of at least $1,000,000 combined single limit for bodily injury and property
damage issued by a State of Florida licensed insurance company rated AV or better per A.M.
Bests' Key Rating Guide or such other policy of insurance as may be agreed to be Covenantor
and the City. The insurance shall be subject to the approval of the City's Insurance Coordinator.
Products and completed operations, contractual liability, explosion, collapse and underground
liability coverage shall be included under said policy. The insurance shall be provided by
Covenantor's contractor. The policy term or any renewals thereof shall remain in effect for the
term of the Amended Covenant.
The insurance carrier for the policy must be rated no less than A Rated as to management
and no less than Class V as to strength by the latest edition of Best's Insurance Guide and must
be approved by the Risk Management Division of the City. The City shall be named as
Additional Insured under the policy. Proof of insurance shall be supplied to the satisfaction of
the City prior to the issuance of any permits. A certificate of insurance bearing the City as
"Additional Insured" shall in no way relieve Covenantor of the obligation to add the City as
"Additional Insured" to the actual insurance policy. The insurance policy shall provide that the
City be given at least thirty (30) days advance written notice of any material changes,
cancellation or non -renewal notification of any policy, and in the event of such material change,
cancellation, or non -renewal notification, Covenantor shall immediately replace said policy with
another policy to the satisfaction of the City with the receipt of a certificate of insurance for such
policy by the City at least ten (10) days prior to the effective date of the material changes,
cancellation or non -renewal of any policy. In the event that the City is not in possession of same
by such date, then the City shall have the right to immediately secure a similar insurance policy

in its name with the total cost of the premium and all monies that may become due during the
term of the Covenant being charged to Covenantor and the City shall have the right to declare
and establish said costs as a lien on the Covenantor's Property and enforced as any lien provided
for under the statutes of the State of Florida. Covenantor agrees to increase from time to time the
limits of the comprehensive liability insurance policy required to be provided pursuant to this
Amendment, upon the written request of the City.
9. Covenant to Run with the Land. It is expressly understood and agreed that this
instrument shall be binding upon Covenantor and also upon its successors in interest or assigns
including but not limited to the condominium association of the Condominium, and shall be a
condition implied in any conveyance or other instrument affecting the title to the aforesaid
property or any portion thereof. Covenantor will promptly record the Covenant in the County
Public Records at their own expense within thirty (30) days of approval by the City and will
furnish the City Zoning Administrator with a certified copy of the recorded covenant within
thirty(30) days of it being recorded.
10. Notice. Any notice, request, demand, approval or consent given or required to be
given under this Amendment shall be in writing and shall be deemed as having been given when
mailed by United States registered or certified mail (return receipt requested), postage prepaid, to
the other parties at the addresses stated below or at the last changed address given by the party to
be notified as hereinafter specified:

Welcome to the City of Miami! This application is intended to serve as a guide in assisting you
with our public hearing process. Please feel free to contact us, should you have any questions.
The deadline to file the complete application with supporting documents is the last five working
days of each month from 8:00 am until 3:00 pm, except on the fifth day, until 12:00 pm.
The application submittal date is the date stamped by Hearing Boards' staff on this page.
The responses to this application must be typed and signed in black ink. All pertinent and
accurate information/documentation; i.e., the plans, reports, exhibits, shall be presented at the
time of filing, in addition to the paid receipt. The applicant is responsible for the accuracy of the
information contained in the application and all supporting materials. Should you wish, you
could bring the materials to our office for review prior to submittal to ensure completeness.
You will be responsible, if needed, to bring an interpreter for the English language to any
presentation before city boards, committees and the city commission. A valid power of attorney
will be required if neither applicant or legal counsel representing the applicant execute the
application or desire to make a presentation before city boards, committees and the city
commission. All documents, reports, studies, exhibits (8%x11") or other materials submitted
during this process will be kept as part of the record. Any documents offered to the Planning,
Zoning and Appeals Board and the City Commission, which have not been provided fifteen (15)
days before the meeting as part of the agenda materials will be entered into the record at the
discretion of the aforementioned Board and Commission.
ORDINANCE NO. 11469, CODIFIED IN CHAPTER 2, ARTICLE VI OF THE CITY CODE
STATES THAT ANY PERSON WHO RECEIVES COMPENSATION, REMUNERATION OR
EXPENSES FOR CONDUCTING LOBBYING ACTIVITIES TO REGISTER AS A LOBBYIST
WITH THE CITY CLERK, PRIOR TO ENGAGING IN LOBBYING ACTIVITIES BEFORE CITY
STAFF, BOARDS, COMMITTEES AND THE CITY COMMISSION. A COPY OF SAID
ORDINANCE IS AVAILABLE IN THE OFFICE OF THE CITY CLERK (MIAMI CITY HALL),
LOCATED AT 3500 PAN AMERICAN DRIVE, MIAMI, FLORIDA, 33133.
Ordinance No. 12918 states that each person or entity requesting approval, relief or other action
from the City Commission or any of its boards, authorities, agencies, councils or committees
regarding any issue, shall disclose at the commencement (or continuance) of the public
hearing(s) on the issue, any consideration provided or committed, directly or on its behalf, for an
agreement to support or withhold objection to the requested approval, relief or action. The
Disclosure of Consideration Provided or Committed for Agreement to Support or Withhold
Objection Affidavit included in this package must be submitted with the application. The
applicant must, at the commencement of any public hearing on the issue, if there is any
disclosure to report, read the disclosure into the record. Also, the applicant must supplement
the affidavit if there is any new information or additional information to disclose.

9. At least two photographs showing the entire property showing land and improvements.
10. Copy of the lobbyist registration processed by the Office of the City Clerk, if applicable.
11. Affidavit of Authority to Act and the Disclosure of Ownership of all owner —and contract purchasers,
if applicable —of the subject property.
12. For all corporations and partnerships indicated:
a) Articles of Incorporation;
b) Certificate from Tallahassee showing good standing, less than one (1) year old;
c) Corporate Resolution or a Power of Attorney signed by the secretary of the Corporation
authorizing the person who signed the application to do so;
d) Non-profit organizations: A list of Board of Directors less than one (1) year old.

The City of Miami Plat and Street Committee, at its meeting of October 2, 2014 approved the above tentative
plat subject to the following revisions being made to the tentative plat, additional information being provided
and/or variances being granted. Please be advised that the processing of your tentative plat cannot proceed until
these conditions have been satisfied:
1. Location Sketch
a) Provide zoning district lines.
b) In the fractional description include City of Miami.
2. On the application, verify who has authority to sign for the three owners as shown on the application.
3. Show the Lot and Block numbers, Subdivision names, and Plat Book and Page numbers of the
surrounding subdivisions west of the proposed Tracts A and C.
4. Show all owners information and addresses.
5. Add symbols/abbreviations to legend.
6. Show the areas to be dedicated as public right of way by the proposed plat, by using a solid line for the
existing Right of Way lines and a dashed line for the zoned Right of Way lines.
7. Show the right of way width for proposed NE 6th Avenue.
8. Specify the units (feet) of the flood criteria.
9. Provide a Miami -Dade County Resolution removing the "public alley" designation from the alley area.
10. Provide an instrument transferring ownership of the alley area from the County to the applicant.
11, Show only the current Zoning designations and information.
12. Show the existing underground storm water drainage system information including inverts, pipe size,
material and direction.
13. Clarify if the 6-foot sanitary sewer easement is to remain or will be released. Provide a copy of the
release instrument.

19. Section 3.8.2 (c) of the Miami 21 Zoning Code establishes requirements for thoroughfares that are parts
of view corridors. Provide a zoning verification letter that the proposed Tracts meet the requirements of
the Miami 21 Zoning Code.
20. A platted development restriction will be required to comply with the requirements of the Miami 21
Zoning Code concerning the NE 31 Street view corridor.
21. There are sanitary sewer and storm sewer facilities located in NE 31 Street within the section to be
closed and vacated. These facilities must be relocated and/or easements must be provided.
22, There is a sanitary sewer facility located in the North/South easement to be closed and vacated. This
sanitary sewer serves properties located outside the limits of the proposed plat. This existing facility
must be relocated and/or new easement must be provided.
23. Show dimension of underlying remainder Lot 10, PB. 29-55 and Lot 7, PB. 9-181.
24. Provide proof of ownership for portion of land not covered by warranty deeds.
25, A Quit Claim Deed was provided for portion of Lot 10, PB. 29-55. Provide an Opinion of Title or a

26. The deed for Tract "F" (public park) to the City shall be recorded at the time of recording of the liana
Subdivision. The Public Works Department shall be provided with an executed deed to be held in
escrow prior to final plat submittal.
27. A platted easement shall be provided for the storm water outfall pipe located in NE 31 Street. The
applicant shall be responsible for the relocation of the pipe, if necessary, and all related costs.
28. The proposed Paraiso III tentative plat must be withdrawn.
29. The Supervisor of Plats has determined that the liana tentative plat reviewed by the Plat and Street
Committee on October 2, 2014 is a third re -submittal and directs that the tentative plat identification
number be revised to "1812-C". The Supervisor of Plats further concurs that Resolution No. R-13-0506
adopted December 12, 2013 remains valid for this tentative plat re -submittal.
30. Provide an Opinion of Title for the property included in the tentative plat.
31. Further clarify all of the uses that may be permitted on Tract "B". Consider identifying Tract "B" as a
Non- exclusive Public Ingress -Egress and Utility Easement.
32. A Unity of Title or a Declaration of Restrictive Covenants in Lieu of Unity of Title is required joining
Tracts "C" and "D".
33. Clearly identify the limits of the tentative plat.
34. Delete reference to "Bayfront Manor Apartments".
35. A letter from Comcast is required to determine if any adjustments to their facilities or easements are
required.
36. Verify with the Miami -Dade County that the proposed plat name is acceptable.
37. All encroachments across proposed tract and/or lot lines must be removed prior to final plat submittal.
38. An Opinion of Title, in the City of Miami Opinion of Title form must be provided at the time of the final
plat submittal.
39. Current backup documentation will be required for all who execute the final plat. A resolution for
authority to execute documents and a Certificate of Good Standing from the Secretary of State are
required, if applicable.
40. Tentative plat application must be made with Miami -Dade County after receiving approval from the
City of Miami Plat and Street Committee.
41. Be advised that an incomplete final plat package will not he accepted by the City of Miami. It is in the
owner's responsibility to work with his surveyor and his attorney to assure that everything is in order
before submitting the final plat package.
42. Be advised that if all requirements for scheduling the final plat for City Commission action are not in
order, the final plat will not be scheduled for a City Commission meeting.
43. A letter of concurrency from the Miami -Dade County School Board is required prior to the final plat
approval (see contact sheet).
44. A letter from the Miami -Dade Water and Sewer Department is required to determine it'any adjustments
to their facilities or easements are required.
45. An Opinion of Title as to the reversionary rights for the right of way to closed and vacated will be
required by the Planning, Zoning, and Appeals Board. The opinion of title must also address whether or

Department.
46. The Planning, Zoning, and Appeals Board will require a sketch and legal description with a square
footage, on an 8 I/2" x II" paper, for the proposed closure. Contact the Office of the Hearing Boards, at
305 — 416 2030. Provide a copy to the Public Works Department.
47. The Plat and Street Committee has reviewed the tentative plat of "liana" subdivision and determined
that all technical requirements contained in the Miami City Code Subdivision Regulations have been
met and has approved the tentative plat. The members of the Plat and Street Committee have further
considered the request for vacation and closure of the street with respect to Miami City Code
requirements and have voted 6 in favor and 0 in denial of this vacation and closure request, subject to
the following conditions:
a) The property owner shall execute an Agreement to run with the land to maintain the proposed
park (Tract F).
b) A platted development restriction to comply with the requirements of the Miami Zoning Code
concerning the NE 31 Street view corridor.
c) No fence shalt be permitted around proposed Tract "E".
d) If Tract "E" is developed for restaurant use, a restriction shall be placed on the sale of liquor.
In addition to the above requirements, you should be aware of the following:
1. State and local laws require the installation of various physical improvements in the public rights -
of -way when property is platted. These subdivision improvements include paving, drainage,
landscaping, sidewalks, etc. In some cases this could represent a substantial investment on your
part.
Required: The submission of an electronic copy of the tentative plat, in an AutoCAD version, to the City of
Miami Public Works Department, Roadway Plans Section will EXPEDITE the preparation and enhance the
ACCURACY of the subdivision improvement letter required for the final plat approval.
2. The alteration, relocation or installation of utilities such as storm and sanitary sewers, electric,
telephone, water, etc., caused by this plat will be at the property owner's expense. Also, utility
easements may be required on the property being platted.
3. A building permit will not be issued on the properly being platted until the final plat is recorded or
as authorized by the City of Miami Code Section 55-10(i). Also, the Certificate of Occupancy for
any building construction will be issued only after all the required subdivision improvements have
been completed.
4. Approval for fire flow requirements must be obtained from the Fire -Rescue Department prior to the
issuance of a building permit.
5. In order to mitigate problems associated with access and construction activities throughout the
neighborhood, the contractor/developer is encouraged to notify the affected neighborhood residents,
in writing, of the project starting and completion dates at the time of issuance of permits. The
contractor/developer may coordinate the notification of residents with the local City of Miami NET
Service Center.
6. Additional items must be provided to the City of Miami Department of Public Works before the
final plat is submitted to the City Commission for approval. You will be notified in writing as to
what these items are after the amount ofthe bond has been determined for the necessary subdivision
improvements.
7. Tentative plat approval is only valid for one (1) year and six (6) months from the date ofthe Plat
and Street Committee meeting at which time it was approved.
