The Exhibits have since been attached to the Resolution and uploaded into the Legistar system, remedying the error. COVENANT TO RUN WITH TM LAND THIS COVENANT (hereinafter the "Covenant"), made and entered into this day of , 20_ by and between: Accra Design Moore (Del.) LLC, a Delaware limited liability company with offices at 3841 NE 2"d Avenue, Suite 400, Miami, FL 33137 ("Owner" or "Covenantor"), and the City of Miami, Florida, a municipal corporation of the State of Florida, with offices at 444 SW 2"d Avenue, Miami, FL 33130 in the County of Miami -Dade County, party of the second part (hereinafter called "City"); WHEREAS, the Owner owns the parcel of land located in Miami, Florida, described on Exhibit "A" hereto (the "Property"); and WHEREAS, Covenantor has requested .permission from. City to .construct nonstandard Improvements within the dedicatedpublic rights -of -way that abut the Property, which may include portions of NE 38th, NE 39th, NE 40th, NE 41st, and NE 42nd Streets, depicted in the attached Exhibit "B" (hereinafter called "District"); and WHEREAS, the non-standard Improvements which may be constructed by the Covenantor are collectively called ("Improvements"), and may include, but not be limited to, the items listed in Exhibit "C", attached hereto, and related structures, fixtures and improvements in the areas depicted on Exhibit "D" (sometimes called the "Right of Way Area"); and WHEREAS, the Covenantor may prepare and submit to the City from time to time applications for master permits (each called a "Master Permit"), for consideration and approval in accordance with applicable laws, codes, rules and regulations which will contain the proposed location and design of the Improvements to be constructedin the rights -of -way adjacent to the Property, namely pedestrian crosswalks and signals, wayfinding signs, streetlights and facade lighting, streetscape, drainage wells, private infrastructure crossings, street furniture, public art, utilities, and any future modifications that must be made to said Improvements (any such Master Permit issued to Owner is called a "Master Permit" and the Improvements constructed pursuant to any Master Permit which are in the areas depicted on Exhibit "D" hereto are referred to herein as the "Improvements"); and WHEREAS, the portions of N. Miami Avenue and NE 2nd Avenue which border the District and which may be adjacent to certain portions of the Property are under the jurisdiction of Miami -Dade County (hereinafter called "County"); and WHEREAS, pursuant to §2-96.1 of the Miami -Dade County Code, all traffic control and engineering devices, including traffic signage, are under the exclusive jurisdiction of the County; and WHEREAS, in 2012 the County and City entered into an Intergovernmental Agency Agreement to Perform Traffic Engineering Functions, whereby the City assumed the installation and maintenance responsibilities of certain traffic control devices and signs on local municipal streets operated and maintained by the City within its boundaries; and WHEREAS, certain provisions are required to be included in such covenants per Chapters 54 and 55 of the City Code and other applicable laws, rules and regulations; and WHEREAS, City requires the execution of this covenant running with the land as a condition precedent to its acting as Permittee; {30058718;1}1 2 NOW THEREFORE, in consideration for the express grant by City of the right and license to allow the construction and maintenance of the Improvements in the dedicated public rights -of -way within the District, subject to the terms and conditions set forth herein, the Covenantor does hereby covenant and agree with City as follows: 1. The foregoing recitals are true and correct and are made a part hereof, 2. Covenantor (on its own behalf or through its agents, representatives, heirs, assigns, and/or designees) is hereby allowed to install, construct, improve, modify, move, and add the Improvements within the public rights -of -way of the Districtin accordance with :1) the design guidelines established and adopted in accordance with this Covenant, 2) the Master Pennit(s), and 3) County and City standards and specifications not in conflict therewith , including , without limitation , the Miami - Dade County Public Works Manual . The Improvements, which are more particularly listed in Exhibit "C" , represent overall design concepts. As such, the plans included in Exhibit "C" are meant to be illustrative, and not to be used by City staff to assess specific location and design criteria when considering Covenantor's Master Permit applications for Covenantor's Improvements, or administrative modifications thereof. Installation, or other factors, may require modification to these plans and all such modifications will comply with applicable federal, state, and local laws and regulations. The Improvements include, but are not limited to: Pedestrian Crosswalks and Signals: Revised pedestrian crosswalk hashing design, which is more particularly described in attached Exhibit "C-1". Also included are pedestrian crosswalk signals and raised crosswalks, to be installed at the intersections of pedestrian pathways and public rights -of -way, The proposed locations and design of the pedestrian crosswalk signals are included in Exhibit C-1. Wayfinding Signs: The installation of wayfinding signs, to display District -specific information, such as parking availability, tenant location, and public art information, to be mounted on traffic signage and streetlight poles, posts or poles specifically installed to display wayfinding signs, and along building facades. The wayfinding sign program is more particularly described in attached Exhibit "C-2". Streetlights and Facade Lighting: The replacement and installation of streetlights throughout the District, as well as the installation of two light poles, located on the south. side of 38th Street, between NE Miami Court and NE 1st Avenue, designed to project lighting on to the south -facing building facade. The streetlight and facade lighting design is more particularly described in attached Exhibit "C-3" and the streetlight design meets the design standards set forth in the "Manual on Uniform Traffic Control Devices for Streets and Highways." Streetsoape: The installation of pavers, including paseo identification markers, and mature, native -species trees, including irrigation and tree -lighting hardware throughout the District, as specifically described in Exhibit "C-4". Drainage Improvements: The installation of drainage improvement, including storm., water drainage wells, water quality ex -filtration trenches, dedicated parking garage ex- (30058718;1)2 3 filtration trenches and additional capacity ex -filtration trenches, throughout the District. The design and location of the drainage wells is more particularly described in attached Exhibit "C-5". Street Furniture: The installation of distinctive street furniture, including, among others, bollards, benches, bicycle racks, trash and recycling receptacles, and ashtrays, throughout the District. The design and location of the street furniture elements, which may be subject to change as the neighborhood develops, is more particularly described in attached Exhibit "C-6", Public Art: The installation of public art works, which may also serve as artificial shading devices, throughout the District. The design and location of this public art is more particularly described in attached Exhibit "C-7". Utilities: Subject to compliance with applicable laws, codes, rules, regulations and franchise requirements the installation of chilled -water lines and fiber optic cable throughout the District may be allowed subject to the approval of the Director of Public Works and the City Commission , as applicable to the award of any municipal franchise, . The design and location of the chilled -water lines and fiber optic cable, between NE 38t1' Street, NE 39s' Street, NE 1st Avenue, and NE 2nd Avenue is more particularly described in attached Exhibit "C-8". Covenantor is hereby required to maintain, replace, repair, and remove the Improvements within these public rights -of -way in the locations indicated on Exhibit "D". The City will provide electrical power to the street lights and pedestrian crosswalk signals in the same manner it does in general throughout the City at no cost to Covenantor. . As allowed by applicable laws, codes, rules and regulations (collectively "Regulations"), Covenantor may seek approval of an administrative modification of any Master Permit to install, construct, improve, modify, move, and add certain Improvements, namely pedestrian crosswalks and signals, wayfinding signs, streetlights and facade lighting, streetscape, drainage wells, private infrastructure crossings, street furniture, public art, utilities, and any future modifications that may be made to said Improvements, not contained within the Master Permit, Covenantors may appeal any appealable administrative determinations necessary to implement this Covenant to the City Planning, Zoning, and Appeals Boardpursuant to the provisions of and the procedures set forth in Article 7 of the City's Miami 21 Code, as applicable, 3. In the event Covenantor, its agents, representatives, designees, heirs, successors, or assigns fails in the reasonable discretion of the City Director of the Department of Public Works to properly maintain the hnprovementsin the locations indicated on Exhibit "D" or any part thereof, so that they become a hazard to the health, welfare, or safety of the general public, City shall give the Covenantor written notice of such failure via certified mail, return receipt requested, with copies to any mortgagee who has given written notice of its mortgage lien to the City inthe manner set forth in Section 10, and Covenantor shall within thirty (30) days from receipt of such notice either (i) restore such hnprovements, or any part thereof, to a safe condition reasonably satisfactory to City or (ii) remove such Improvements, or any part thereof, and restore the right-of-way to current City standards at no cost or expense to City (as timely elected by Covenantor in its sole discretion). {30058718;1)3 4. In the event that, following the notice and grace period provided under paragraph 3 above, Covenantor, its heirs, successors, or assigns fails to either (i) restore such Improvements in the locations indicated on Exhibit "D", or any part thereof, to a safe condition reasonably satisfactory to City, or (ii) remove such Improvements in the locations indicated on Exhibit "D", or any part thereof, and restore the right-of-way within the specified time as set forth in Paragraph 3, City may restore or remove the offending Improvements in the locations indicated on Exhibit "D", and the reasonable cost of such restoration or removal shall be declared and established as a special assessment lien against the Property and enforced by any method for the enforcement of special assessment liens provided for under the laws of the State of Florida and/ or the Code and Ordinances of Miami- Dade County and/or the City of Miami. The Covenantor shall be liable for reasonable attorneys' fees and costs of collection incurred by the City in any action to foreclose such a lien or otherwise recover costs of restoration or removal of the offending Improvements or any part thereof. The City may, at its discretion, bring such additional civil actions and/or counts for specific enforcement of this covenant and/or breach. of this covenant as are allowed by Florida law, 5. Covenantor further covenants and agrees not to pursue any legal remedy or civil action against City for any damage, consequential or otherwise, to non -offending Improvements, or any part thereof, resulting from the lawful removal of offending Improvements or any part thereof from the dedicated public right-of-way pursuant to Paragraph 4, unless the damage is the result of alleged grossly negligent or willful acts or omissions on the part of the City, its officials or employees. 6. Covenantor will be held liable and shall indemnify, defend ( at Covenantor's own cost and expense ) , save and hold harmless the City, its officials and. employees (i) from and against any claims, demands, liabilities, losses, or causes of action arising out of the use, construction, maintenance, or removal of Improvements in the locations indicated on Exhibit "D" or any part thereof, (ii) from and against any orders, judgments, or decrees which may be entered against City with respect to the use, construction, maintenance, or removal of Improvements in the locations indicated on Exhibit "D" or any part thereof, (iii) or all reasonable costs, attorneys' fees, expenses, judgments, damages and liabilities incurred in the investigation or defense of such claim. 7. Covenantor shall keep in full force and effect at all times during the exercise of this Covenant, the insurance coverage as shown in Exhibit "E". The insurance and any addendums, modifications, renewals, or amendments thereto shall be subject to the prior review and approval of the City Risk Manager. The policy shall be issued either by a State of Florida -licensed insurance company rated A+ or better by A.M. Bests' Key Rating Guide or by another insurance company agreed upon by. Covenantor and City. The insurance carrier for the policy must be rated no less than A as to management and no less than Class V as to strength by the latest edition of Best's Insurance Guide and must be approved by the City Risk Manager. The policy shall cover products and completed operations, contractual liability, explosion, collapse, and underground liability. The insurance policy shall be procured and premiums paid by the {30058718;1) 4 5 Covenantor. The term and any renewals thereof shall continue uninterrupted for the terns of the Covenant. City shall be named as Additional Insured under each such policy, A certificate of insurance bearing City as "Additional Insured" shall in no way relieve Covenantor of the obligation to add City as "Additional Insured" to the actual insurance policy. The insurance policy shall provide that City (Attention: Risk Manager) be given at least thirty (30) days advance written notice of any material changes to, or cancellation or non -renewal of, any policy. In the event of such material change, cancellation, or non -renewal notification, Covenantor shall immediately procure another policy subject to the requirements of this Covenant, The City Risk Manager shall receive a copy of the certificate of insurance for such replacement policy at least ten (10) days prior to the effective date of any material change, cancellation, or non -renewal of the previous policy, If City does not timely receive such certificate, then City shall provide Covenantor with written notice thereof, and if Covenantor does not deliver such certificate within fifteen (15) days after receipt of such written notice, then City shall have the right to immediately secure a similar insurance policy in its name, and Covenantor shall be liable for any monies due under such insurance policy. If the Covenantor does not reimburse City for all such insurance costs, City shall have the right to declare and establish such costs as a lien on the Property, enforceable by any lawful means, Covenantor agrees to increase, upon written request by City, the limits of its required comprehensive liability insurance policy so long as City's increase request shall be commercially reasonable and the requested increase obtainable on commercially reasonable rates and terms. Proof of the foregoing required insurance shall be supplied to the City upon request. 8, Covenantor shall not have any obligation or liability under the provisions of this Agreement unless and until a Master Permit is issued and Improvements are constructed in the locations indicated on Exhibit "D" pursuant thereto; provided, however, that Covenantor shall have such obligations and liabilities as exists under applicable regulations and any other agreements, if applicable. 9. (a) It is expressly understood and agreed that this instrument shall be binding upon City and Covenantor and also upon their heirs, successors in interest, or assigns, and shall be a condition implied in any conveyance or other instrument affecting the title to the Property or any portion thereof. Upon any sale, conveyance or other transfer or disposition (a "Transfer") of any of the Property by the Owner, Owner shall automatically be released from its obligations hereunder accruing after the date of such Transfer, and the purchaser, grantee, transferee or. recipient of such Property that is the subject of such Transfer (a "Transferee") shall automatically succeed to such obligations and constitute the "Owner" and "Covenantor" hereunder. Reference to Owner shall mean and refer to the then owner of the Property. (b) It is also acknowledged that not all of the property adjacent to the Right of Way Area (the "Adjacent Property") is owned by Owner. From and after such time as any owner (an "Adjacent Owner") of any of the Adjacent Property either assumes Owner's obligations hereunder as to the Improvements in the Right of Way Area adjacent to such Adjacent Owner's {n058718;05 6 Adjacent Property pursuant to a Covenant substantially in the form of this Covenant or a separate assumption agreement, in each case, approved by the City Attorney (which approval shall not be unreasonably withheld) and recorded in the Public Records, then Owner shall be released from its obligations under this Covenant, to the extent they are expressly assumed by such Adjacent Owner. 10, Any notice, request, demand, approval, or consent given or required to be given under this Covenant shall be in writing and shall be deemed as having been given when mailed by United States registered or certified mail (return receipt requested), postage prepaid, to the other parties at the addresses stated below or at the last address provided by a party to the other party at which to receive notice, At the City's election, the City may direct all communications under this Covenant to Miami Design District Associates, LLC (MDDA), which will act as, a "liaison" for communication purposes between the City and the Covenantor, as long as the Covenantor remains an affiliate of MDDA. Covenantor expressly acknowledges (i) that the permission granted by the City to construct the Improvements on City owned land is solely for the limited purposes set forth herein and does not constitute a lease, (ii) the City retains possession and control of property owned by the City, (iii) if Covenantor breaches any term of this Covenant, receives written notice of such breach from City, and does not timely cure such breach, within sixty (60) days of er receipt of such written notice (provided, however, that in the event that such cure cannot reasonably be completed within such sixty (60) day period, then Covenantor shall have such additional cure period as is reasonably required provided that Covenantor commences such cure within such sixty (60) day period and diligently pursues the same until completion), their City may unilaterally revoke the permission grantedherein to Covenantor by written notice to Covenantor delivered prior to the date on which Covenantor cures such breach, and {30058718;1) 6 7 (iv) Covenantor does not and shall not claim at any thne any interest or estate of any kind or extent in land owned by the City by virtue of its use hereunder or by virtue of any expenditures incurred in connection herewith. 12, RECORDING. Covenantor shall, at its own cost, record this Covenant in the public records of Miami -Dade County, Florida within thirty (30) days of its acceptance by the City of Miami. Covenantor shall promptly furnish a certified copy of the recorded Covenant to the City Clerk, 3500 Pan American Drive, Miami, Florida.33133 and furnish certified copies of the recorded covenant to the City Manager, City Attorney, Public Works and Risk Management Directors at the following address: Miami Riverside Center, 444 SW 2'd Avenue, Ste, 945, Miami, Florida 33130. 13. TERMINATION. This Covenant shall terminate automatically and be of no further force or effect from and after such date as the City levies a special assessment intended to cover the maintenance and repair of the Improvements, from and after the date of the levy of that special assessment. Recordation in the Public Records of a certified copy of the resolution levying such special assessment shall be conclusive evidence of termination hereof. 15. COMPLIANCE WITH FEDERAL, STATE AND LOCAL LAWS. Covenantor shall comply with all applicable permitting requirements, governmental approvals, laws, ordinances, codes, rules and regulations ("Regulations") of federal, state and local governments, including the City, 16. CONSTRUCTION OF COVENANT. This Covenant shall be construed and enforced according to the laws of the State of Florida, Venue for any cause of action or proceeding between the parties arising out this Agreement shall be in Miami -Dade County, Florida. 17, SUCCESSORS AND ASSIGNS. This Covenant touches and concerns and the Property shall be binding upon the parties herein, their heirs, executors, legal representatives, successors and assigns, 18. AMENDMENT. No amendments to this Covenant shall be binding on either party unless in writing and signed by both parties. 19. MISCELLANEOUS. 19,1 Captions, title and paragraph headings are for convenient reference and are not a part of this Covenant. Such captions, title or paragraph headings shall not be deemed in any manner to modify, explain, enlarge or restrict any of the provisions contained in this Covenant. 19.2 No waiver or breach of any provision of this Covenant shall constitute a waiver of any subsequent breach of the same or any other provision hereof, and no waiver shall be effective unless made in writing. 19,3 Should any provisions, paragraph, sentence, work or phrase contained in this Covenant be determined by a court of competent jurisdiction to be invalid, illegal or otherwise {30058718;1}7 8 unenforceable under the laws of the State of Florida or the City of Miami, such provisions, paragraphs, sentences, words or phrases shall be deemed modified to the extent necessary in order to conform with such laws, or if not modifiable to conform with such laws, then same shall be deemed severable, and in either event, the remaining terms and provisions of this Covenant shall remain unmodified and in full force and effect. 19.4 Further Assurances. All parties hereto upon the request of any other party shall execute such further instruments or documents as may be reasonably required by the requesting party to implement the terns, conditions and provisions of this Agreement, 19.5 Third Party Beneficiary. Covenantor and the City agree that it is not intended that any provision of this Agreement establishes a third party beneficiary giving or allowing any claim or right of action whatsoever by any third party under this Covenant. 19,6 Discretion of the Public Works Director ("Director"). It shall be the responslbrility of the contractor to perform the complete structural design of the signs and to incorporate all the reasonable safety factors necessary to protect the Owner, general contractor, and RSM Design against public liability Sign fabricator also to be responsible for the detailing and inclusion of all necessary water proofing, proper ventilation devices, and internal lighting specifications in their shop drawings_ B. Sign fabricator to make corrections to and resubmit any shop drawings not approved. IV. QUALITY ASSURANCE A Quality of Workmanship. The Contractor shall be responsible for the quality and delivery of all materials, and workmanship required for the execution of the contract including the materials and workmanship of any firms or individuals who act as his or her subcontractors_ It is desired that the Contractor for work of this type shalt have in-house, broad knowledge, diverse shop and field experience, flexibility, coordinating ability, skilled craftsmen, and physical labor as necessary as well as facilities to produce quality products. Contractor shall be responsible for providing subcontractors with complete and up-to-date drawings, specifications, graphic schedule and other inforrnation issued by RSM Design. B. Performance. The contractor shall base his or her proposal on the performance of all services, including all items of tabor, material and equipment required for the complete fabrication and irotaltation of he specified work (and these specifications) within the time frame agreed to by Contractor, Owner, and RSM Design. C Dimensions_ Written dimensions on the drawings shall take precedence over scaled dimensions. Contractor shall verify and be responsible for all dimensions and conditions shown by these drawings as they relate to actual material sizes, existing construction and related site conditions. If there are discrepancies with dimensions or materials, it is the responsibility ofthe Contractor -to bring it to RSM Design's attention before fabrication for any clarifications deemed necessary. D. Sign Package Graphics Schedule. Copy, quantities and references shown on the included Graphics Schedule shall take precedence over drawings. Specification shall take precedence over the large-scale details. The large-scale details shall take precedence overthe smaller -scale drawings. If there are discrepancies it is the responsibility of the Contractor to bring it to RSM Design's attention before fabrication for any clarifications deemed necessary. E Execution. In the case of discrepancies, in quantities, dimensions, message, or any other related elements Contractor is to notify RSM Design before proceeding further in any operation, in order to resolve the issues in question. It is required that the Contractor not attempt to resolve the discrepancies without consulting RSM Design. DRAWING FOR DESIGN INTENT ONLY. NOT INTENDED FOR CONSTRUCTION. F. Contractor Recommendations. The Contractor shall carefully study the detailed drawings forthe various signs and make specific reLommendatiorts and changes if those changes will improve the quality of any sign_ Such recommendations and changes shall be approved in writing by RSM Design ortheirtechnical representative prior to preparation of shop drawings or fabrication of any samples of signs. The Contractor is responsible for including industry standard details in their shop drawings, whether indicated in RSM Design's design drawings or not. .items such as proper venting (mechanical or natural), water proofing, foundations details, weep holes, access panels, etc. It is the Contractor's responsibility in the production of the shop drawings for construction to accommodate for all necessary local code required conditions and sign detailing that will promote the long life and ease of maintenance of the signs. G. Artwork Apple Madntosh generated electronic artwork as required by the Contractor for signs, symbols, and custom designed graphic components (i.e. logos, logo types, arrows, or patterns) will be provided in Mac -based Adobe Illustrator CS5 format at a scaled percentage of the final sae. A high resolution appropriate art or graphic scan will be provided when necessary for non -vector based graphics. All required copy message layouts and text for project signage system is the responsibility of the sign Contractor. All enlarging and reducing is the responsibility of the sign Contractor Contractor shalt submit an itemized list of all required artwork attime of bid prior to generating shop drawigns. Note: Any artwork required beyond electronic computer artwork noted above ti.e. additional custom copy layouts, formatting for other platforms or file types, AutoCAD files, "Linotronic" output or copying to other media, etc.) will be billed to -the Contractor on a time and materials basis by RSM Design. RSM Design cannot provide copies of licensed fonts_ H. UL (or similar) Compliance. Complete Underwriters Compliance (for the United States) or approved recognized testing agency (for other countries), compliance, as required, is the responsibility of the Contractor. Contractor shall provide fighting fixtures and electrical components that meet all UL (or similar) testing lab requirements for safety, operation, construction and are UL-labeled and listed. J. Lamp Emission, All lighting fixtures/sources shall emit a color balanced, consistent and uniform light with no browning, flickering, haloing, or other uneven effect. K. Electrical Hardware. All transformers and electrical hardware shall be concealed, non -audible and non -visible to pedestrian and vehicular traffic. Provide disconnect switch as required by local or international governing agencies. Confirm with Owner and general contractor the necessity or desirabiity of light sensor switches, day -night circuit connections, local restrictions on night time area lighting or other conditions that could affect the use and operation of any sign illumination. There shall be no visible labels, manufacturer's or otherwise, code permitting, on the completed signs. if labels are required, a sample label and intended location along with an explanation of the requirements must be submitted for review by RSM Design and the Owner, prior to application and/or installation. Sto All material, hardware, electrical components, finishes, etc. used to fabricate any and all sign components shall be "NEW" (not previously used or operated in any other application) and from the most recent original manufacturer's production run/supply and appropriately matched to the service conditions required of the site_ N. Testing. Contractor is required to provide Owner with a copy of all testing inspection reports as may be required by local or international codes_ An independenttesting lab may be hired by the Owner to do inspection and material testing. Contractor is not to proceed with fabrication until all unsatisfactory conditions have been corrected by the Contractor in a manner acceptable to the Owner. V. SUBMITTAL A. Shop Drawings The Contractor shall submit a digital PDF file of detaledshop drawings as well as two (2) sets ofdetailed shop drawings for each sign type, to the following; (1 set of 11' x 17" prints) to general contractor and (1 set of 11" x 17" prints) to RSM Design for review prior to the start of any fabrication. These drawings are to show and indicate all materials, finishes, construction details, lighting specifications and installation details of artwork and signage structure. This includes -types and locations of all mechanical fasteners, indicated welds, attachments, joint details, internal l anres, lighting details and specifications, reinforcements, support backing, ventilation (natural or mechanical), water proofing, engineering details and calculations, electrical locations, foundation details, access panels, material thicknesses, color samples (on actual materials), and con. ret.tion to support structure or mounting surface, whether shown or discussed in RSM Design's drawings or not Shop drawings and data shall be reviewed by RSM Design with such promptness as to cause no delay in the work The Contractor shall make all corrections required by RSM Design and resubmit for final review. The Contractor shall submit manufacturer's technical data and installation instructions for each type of sign and/or fixture required as will be provide in the completed, installed sign unit identification of all materials used, by manufacturer's descriptive literature, control number, name, code number, batch and formula when available shall be provided by the Contractor All materials used and specified are the responsibility of the Contractor. Any materials indicated or specified in RSM Design's drawings must be approved of by the Contractor for availability, warranty, appropriateness, compatiblity with other materials, etc. If Contractor has any concerns about any materials suggested or specified by RSM Design in their design intent drawings, Contractor to inform RSM Design in writing prior to fabrication or take on full responsibility for use of specified material. D. The Contractor shall, at his or her expense, submit to general contractor for distribution and review, calculations, sealed by certified engineers registered in the state or country of final installation, for all structural members induding foundations. City, County, State, or Country sign requirements supersede information shown in the RSM Design sign designs. VL FINISHES A Colors and Surface Textures. All colors shall match exactly the color and finish specifications provided by RSM Design. Exerdse care to assure that finished surfaces are unblemished in the completed work. For exposed signage, materials with applied colors or other dha,aa.teristics related to appearance, Contractor shall provide color matches indicated, or if not indicated, as selected and reviewed by RSM Design. B. Surface Preparation_ All surfaces shall be thoroughly cleaned and free from dust dirt, rust, scale, miff scale, on, greasy materials or residue from cleaning. Repair or replace damaged units as directed by and to the approval of Owner or RSM Design_ C. installation of all signage items shall be bythe Contractor. Installation includes provision of any required footing, to be reviewed by RSM Design, all anchor bolts, fastenings, attachment metals, and othermiscellaneous metal items embedded in concrete or building wall material as required, and security of sign units in place with no visible fasteners. SPECIFICATIONS 5 OF 6 1fSTRICT D. The Contractor shall provide required electrical equipment and connection to shell building. The point of connection is to be provided by the general contractor. All electrical connections shall be made by a licensed electrician employed by the Contractor for this purpose_ Ail connections shall be made in accordance with the requirements of the National Electrical Code, NEC (or similar code in country of project) in addition to all applicable local codes. All debris and packing material shall be removed and disposed of in a legal manner. The protective masking of the plastic surfaces shall be removed by the Contractor upon completion of installation. C Structure/Components 1. Contractor shall provide Owner with three (3) copies of the written warranty prior to installation, guaranteeing to correct to Owner's satisfaction, at Contractor's sole expense, all defects in fabrication, faulty materials, workmanship, design, and installation of signage work for a period of one year after completed installation of signage work. 2. Fading, cracking, warping, peeling, delaminating, rusting, corroding, and structural failure, including distortion by whatever cause, shall be construed as failure because of faulty materials and workmanship. 3. Failures during warranty period shall be repaired or replaced to satisfaction of Owner D. External Lamps_ All lamps shall be warranted against failure for 90 days, all LED and neon three (3) years and all ballast one (1) year. Lamps and LEDs are to be replaced within 48 hours of notice by Owner, in the event of failure within specified time. These items are to be replaced by Contractor at Contractor's sole expense. E Contractor shall have total and complete responsibility for the security of all equipment, materials, and sign components until reviewed and accepted by the Owner XII. PERMITS A. Securing and paying for all permits required by local governmental agencies is the responsibility of the Contractor. Inspections and tests necessary for the construction and placement of all work required by the applicable governing agencies is by the Contractor. B. Contractor shall secure and pay for all insurance required by law including but not limited to Liability, Worker's Compensation, Comprehensible Construction Liability, Personal Injury, Comprehensible Auto and Property on -and off -sites. All units shall feature an LED or similar indicator showing power present, 3.5 Electrical / Electronic Characteristics 3.5.1 Power Dimming and Switching Units All power handling units should provide MCB protection for all output circuits. If equipment is packaged as DIN rail units, the electrical contractor will supply MCBs inside the enclosure. The dimmers shall however be capable of being operated under no-load conditions without causing any damage to the components. 3.5.2 Current Sinking 1-10v Dimming Units 1-10v dimming units should have a minimum of 4 outputs, current sinking a 1-10v voltage from the LED drivers in compliance with IEC 60929. They shall include a switched power output corresponding to each analogue output. The point on the dimming curve where the power is switched shall be configurable during commissioning to any point between 0 and 20%, The Control System manufacturer should confirm that their units are compatible with ballasts/luminaires specified in Speirs + Major's luminaire specifications. 3.5.3 Sensors 3.5.3.1 Daylight Sensors Daylight sensors shall produce a variable analogue output to a unit which interfaces with the lighting control system's data network. A simple on/off threshold unit is not acceptable. The measuring range should be minimum from 0 to infinite 2500 lux. Sensors shall be suitable for exterior installation. Sensors shall operate at SELV voltages and incorporate no mains voltage power. 3.5.4 Touchscreens Touchscreens shall be Intended for recessing into wall/console using a standard back box, or a special sized back box supplied with the unit. Finish to be specified by Architects. See 2.3.2 for functional requirements. Touchscreens shall operate at SELV voltages and incorporate no mains voltage power. 4.0 Software Performance 4.1 Embedded software The software embedded In the System's various devices shall run from hardware memory and shall not Involve hard disks or any other moving parts. It shall be easily upgraded as a service procedure, preferably by upload from a configuration PC rather than by physical swap -out of circuit boards or components. Embedded software shall be of proven design, tested and, to the best knowledge of the manufacturer, bug -free. 4.2 Configuration and Programming Software Software for configuring/programming the control system shall run on a Windows platform, current version at time of writing (Windows 7), with hardware requirements not exceeding those provided by a mid -range laptop. If this route is proposed, the tablet and a wireless access point must be provided as part of the system. 4.3 Logical Grouping The control system shall allow for the grouping ("patching") of any number of physical circuits to a single logical group. This group must be presented as a single channel during the scene programming process. It shall allow for the organisation of such groups into logical areas, generally relating to particular rooms/spaces. This function shall be carried out using the configuration software and shall not require physical access to any particular unit. It shall be possible to later change these groupings by the same method. See Spelrs + Major Logical Channel Schedule for the required groupings, and engineer's documentation for physical sub -circuiting, 4.3.1 Scene Setting and Recall The Lighting Control System shall be capable of storing, and fade processing on command, a minimum of 96 different lighting scenes in any given logical area. The system shall support up to 265 logical areas. The system shall be able to set any logioal channel to any one of not less than 99 discrete intensity levels, plus off. The system shall be able to recall any programmed scene with a fade rate set at anything from 0 seconds to 30 minutes. The fade rate should be assigned to the recall operation in question (le button press), not to the scene itself, It must be possible to recall a given scene with different fade rates using different inputs. The creation of scenes shall be achieved from within the laptop- or tablet -based software package described above. Logical grouping, channel naming, scenes, button configuration and all other data shall be retained permanently, without external power, up to a period of one month, and shall not be corrupted on power -up or power -down of the equipment. The configuration software package shall include the ability to save a complete backup of configuration data to disk, memory card or flash memory device, and the ability to restore configuration from backup to the system. Scene recall functionality shall allow any number of scene recall commands to be executed simultaneously within the system as a whole, at differing fade times. Alternative methods limiting the number of fades in progress at any moment shall not be acceptable. 4.3.2 Daylight Processing Daylight monitoring by means of photo -electric cells shall provide multi -level triggers. A simple on/off shall not be acceptable. It must be possible to recall different scenes according to different light levels, with a minimum of 4 separate ranges of Illuminance differentiation. Additionally, it shall be possible to create routines/scripts whereby a number of operations are carried out in sequence as the result of a single button press. It shall not be acceptable that the system require a single panel to be dedicated only to a single logical area. 5.0 Deliverables 5.1 Quotation The supplier shall provide a detailed quotation showing specification, technical details, unit price and quantity of each product proposed, accompanied by a schematic showing the allocation of physical circuits to logical channels, as designated on S+M drawings, and the Interconnection topology of all system components. This quotation shall be revised and re -issued to the lighting architects, electrical engineer, and contractor at any point during the project where the supplier Is Informed of a change which causes a deviation frorn quoted design and oost for the Lighting Control System, 5.2 Drawings and Documentation The supplier shall provide working drawings in electronic form, for approval by the consultants, prior to manufacture. Installation drawings shall be supplied to the contractor, electrical engineer and lighting consultant, at the time of delivery of the equipment to site and notification shall be made Immediately of any modifications carried out subsequently, 5.3 Equipment The supplier shall deliver to site or to a location of the eleotrical contractor's choosing, all physical hardware and software as shown on supplier's drawings and quotation, fully tested and ready to install. Palm Court, Miami Design District Preamble Miami, Florida 3529-LP-001, Revision 03 6.0 Technical Requirements 6.1 Luminaires 6.1.1 Equipment selected as a standard item from a particular manufacturers range has been specified with a view to performance, optics, maintenance, quality, aesthetics, etc. 6.1.2 If any variants of standard Luminaires are required, these shall be developed by the manufacturer of the standard luminaire, unless otherwise specifically stated, and shall be manufactured to the same quality as the equivalent standard luminaire. 6.1.3 Two copies of all working drawings of proposed variants, dimensioned in feet and inches, shall be supplied to the Lighting Consultant for approval prior to fabrication. 6.1.4 Notwithstanding the above, the manufacturers shall remain responsible for ensuring compliance with relevant standards, the accuracy of the information shown on his drawings at all ti near and for ensuring that the equipment shown fulfils the requirements of this specification. 6.1.5 if any special luminaires and associated equipment are required, these will bathe subject of a separate specification, a copy of which will be enclosed with this document 6.1.6 The Lighting Consultant cannot accept responsibility for installation of non -approved Luminaires. 6.1.7 The final location of each luminaire and where relevant its integration with the architecture shall be as detailed on the construction issue drawings. The Lighting Consultant cannot accept responsibility for luminaires installed in a manner other than intimated in the relevant drawings or as otherwise agreed and minuted. 62 Substitutions 6.2.1 The schedule of luminaires, lamps and associated equipment as enctosed is seen as exennplar. Substitutions which might be put forward will be assessed on an equal and approved basis further to the below criteria to allow assessment of substitutions on a Ike -for -like basis_ 6.2.2 Substitutions will be considered if they are presented to the lighting Consultant including all of the following elements for each luminaire type: • Detailed catalogue cut sheets inducing photographic images. • Dimensioned drawings. • Pnnted photometrtcs: • A physical sample_ 62.3 Should alternative equipment be offered. it shall be supplied to the Lighting Consultant in time to enable its accurate assessment. No substitutions or alterations to the specifications will be allowed without the written approval of the Lighting Consultant 6.2.4 If an attematnve is deemed suitable further to the above material. the manufacturer vn11 be required to provide enough samples of each luminaire type as deemed required by the Lighting Consultant fora mock-up on site for final confirmation of approval. 6.3 Control Gear 6_3.1 Al necessary control gear and transformers shall be mounted within the luminarre unless shown as being located remotely. All such gear shall be of good quality construction, shall comply with all relevant statutory regulations, shall be compatible with the lamps specified and the control method stated, and shall be mounted and wi ed in accordance with the manufacturers' instructions. 6.3.2 Where appropriate, the Contractor shall also liaise with the selected lighting control system manufacturer to ensure compatibility between control gear and the control system. The test was rnstalled to show the design proposals for the use of off -the -shelf LED street lighting Luminaires in the Miami Design District and to show the effect of the blue tinted Fight proposed for the district street lighting. 2.0 Mock-up Set-up The test installation was located on the corner of NE 2nd Avenue and 40th Street. Tel r rpuraiy rigging masts and generators were used to mount the fixtures at the correct height and set -back from the curb edge as per the proposed design layouts for Fighting in the Miami Design District. The rigging positions also allowed for the sidewalk fixtures to be installed such that an overall impression of the approximately 80 foot of street and sidewalk. Street Lighting - Luminaire XC The luminaires mounted toward the street were mounted at 16 feet above the sidewalk and used 5000Kfixtures tittered using an acrylic cover equal to I FF Frlters 165 Daylight Blue as per the design proposal, Total power per luminaire equalled approx 120 watts. Sidewalk Lighting - Luminaire XB The luminaires toward the side walk were mounted at 14 feet above the sidewalk and used 3000K white LEDs. Total power per luminaire equalledapprox. 18 watts. Decorative luminaires were also mounted within the tree canopies to assess this as a feature fighting option. As the results noted above and summansed below illustrate, the design meets the adopted standards of the "Mn/DOT Roadway Lighting Design Manual'. May 2006. Miami Avenue and NE 2 venue which border the District and which may be adjacent to certain portions of the Property are under the j .. isdiction of Miami -Dade County (hereinafter called "County"); and WHEREAS, pursuant to §2-96.1 of the Miami -Dade County ode, all traffic control and engineering devices, including traffic signage, are under the exclusive jurisdicti r :• of the County; and WHEREAS, in 2012 the County and City entered into an Intergovemmtal Agency Agreement to Perform Traffic Engineering Functions, whereby the City assumed the install on and maintenance responsibilities of certain traffic control devices and signs on local municipal streets ope ed and maintained by the City within its boundaries; and WHEREAS, certain provisions are required to be included in such covenants pe Chapters 54 and 55 of the City Code and other applicable laws, rules and regulations; and WHEREAS, City requires the execution of this covenant running with the lane s a condition precedent to its acting as Perrrittee; (30058718;1 } 1 2 NOW THEREFORE, in consideration for the express grant by City of the right and license to allow the construction and maintenance of the Improvements in the dedicated public rights -of -way within. the District, subject to the terms and conditions set forth herein, the Covenantor does hereby venant and agree with City as follows: 1. The foregoing recitals are true and correct and are made a part hereof. 2. Conantor (on its own behalf or through its agents, representatives, heirs, assigns, and/or designees) is ereby allowed to install, construct, improve, modify, move, and add the Improvements within the publi rights -of -way of the Districtin accordance with :1) the design guidelines established and adopted in a ordance with this Covenant, 2) the Master Permit(s), and 3) County and City standards and sped ations not in conflict therewith including without limitation , the Miami - Dade County Public orks Manual . The Improvements, which are more particularly listed in Exhibit "C", represent • erall design concepts. As such, the plans included in Exhibit "C" are meant to be illustrative, a 'd not to be used by City staff to assess specific location and design. criteria when considering Co enantor's Master Permit applications for Covenantor's Improvements, or administrative modification hereof. Installation, or other factors, may require modification to these plans and all such modifica ' .ns will comply with applicable federal, state, and local laws and regulations. The Improvements in tde, but are not limited to: Pedestrian Crosswalks and SiIs: Revised pedestrian crosswalk hashing design, which is more particularly described in attached Exhibit "C-1". Also included are pedestrian crosswalk signals and raised cross lks, to be installed at the intersections of pedestrian pathways and public rights -of -way. 'e proposed locations anddesign of the pedestrian crosswalk signals are included in Exhibi C-1. Wayfinding Signs: The installation of w.: finding signs, to display District -specific information, such as parking availability, tena.° t location, and public art information, to be mounted on traffic signage and streetlight po posts or poles specifically installed to display wayfinding signs, and along building faca. -s. The wayfinding sign program is more particularly described in attached Exhibit "C-2' Streetlights and Facade Lighting: The replacement d installation of streetlights throughout the District, as well as the installation of two li; 't poles, located on the south side of 38th Street, between NE Miami Court and NE 1st enue, designed to project lighting on to the south -facing building facade. The streetlight . d facade lighting design is more particularly described in attached Exhibit "C-3" and the eetlight design meets the design standards set forth in the "Manual on Uniform Traffic ontrol Devices for Streets and Highways." Streetscape: The installation of pavers, including paseo identification arkers, and mature, native -species trees, including irrigation and tree lighting hardware throughout the District, as specifically described in Exhibit "C-4". Drainage Improvements: The installation of drainage improvement, including orm. water drainage wells, water quality ex -filtration trenches, dedicated parking garage {30058718;1 } 2 3 filtration trenches and additional capacity ex -filtration trenches, throughout the District. The design and location of the drainage wells is more particularly described in attached Exhibit "C-5". Covenantors may appeal any appea ..le administrative determinations necessary to implement this Covenant to the City Planning, Zo and Appeals Boardpursuant to the provisions of and the procedures set forth in Article 7 of ,e City's Miami 21 Code, as applicable. 3. Covenantor further co nants and agrees not to pursue any legal remedy or civil action against City for any damage, c sequential or otherwise, to non -offending Improvements, or any part thereof, resulting from t - lawful removal of offending Improvements or any part thereof from the dedicated public rid t-of way pursuant to Paragraph 4, unless the damage is the result of alleged grossly negligent willful acts or omissions on the part of the City, its officials or employees. 6. Covenantor will be held 1 ble and shall indemnify, defend ( at Covenantor's own cost and expense ) , sa and hold harmless the City, its officials and employees (i) from and against any claims, de finds, liabilities, losses, or causes of action arising out of the use, construction, maintenance, o emoval of Improvements in the locations indicated on Exhibit "D" or any part thereof, (ii) fro and against any orders, judgments, or decrees which may be entered against City with respec o the use, construction, maintenance, or removal of Improvements in the locations indicated on xhibit "D" or any part thereof, (iii) or all reasonable costs, attorneys' fees, expenses, judgments, ' amages and liabilities incurred in the investigation or defense of such claim, 7. If the Covenan. �r does not reimburse City for all such insurance costs, City shall have the right to declare and tablish such costs as a lien on the Property, enforceable by any lawful means. Covenantor agree to increase, upon written request by City, the limits of its required comprehensive liability inranee policy so long as City's increase request shall be commercially reasonable and the reque d increase obtainable on commercially reasonable rates and terms. Proof of the foregoing re ired insurance shall be supplied to the City upon request. 8. Covenantor shall not have any obligatio or liability under the provisions of this Agreement unless and until a Master Permit is issue. and Improvements are constructed in the locations indicated on Exhibit "D" pursuant thereto; p •vided, however, that Covenantor shall have such obligations and, liabilities as exists under .plicable regulations and any other agreements, if applicable. 9. (a) It is expressly understood and agreed that this ins _ ment shall be binding upon City and Covenantor and also upon their heirs, successors in inter::t, or assigns, and shall be a condition implied in any conveyance or other instrument affecting th- itle to the Property or any portion thereof. Upon any sale, conveyance or other transfer or disposi`'.n (a "Transfer") of any of the Property by the Owner, Owner shall automatically be releasefrom its obligations hereunder accruing after the date of such Transfer, and the purchaser, _ tee, transferee or. recipient of such Property that is the subject of such Transfer (a 'Transferee") all automatically succeed to such obligations and constitute the "Owner" and "Covenantor" hereu` • er. Reference to Owner shall mean and refer to the then owner of the Property. (b) It is also acknowledged that not all of the property adjacent to the Right of ay Area (the "Adjacent Property") is owned by Owner.
