A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE TWENTY-TWO (22)
COVENANTS TO RUN WITH THE LAND, IN A FORM ACCEPTABLE TO THE CITY
ATTORNEY, WITH DACRA DESIGN MOORE (DEL.), LLC, PENNY LANE
ACQUISITIONS, LLC, OAK PLAZA ASSOCIATES (DEL.), LLC, LOVELY RITA
ACQUISITIONS, LLC, SWEET VIRGINIAACQUISITIONS, LLC, UPTOWN GIRL
DEVELOPMENT, LLC, FCAA, LLC, TINY DANCER ACQUISITIONS, LLC, BEN
NEWTON, LLC, AND NORWEGIAN WOOD ACQUISITIONS, LLC ("OWNERS"), TO
CONSTRUCT AND MAINTAIN NON-STANDARD IMPROVEMENTS WITHIN THE
DEDICATED PUBLIC RIGHT-OF-WAY THAT ABUTS THE OWNERS' PROPERTIES
IN THE DESIGN DISTRICT.
WHEREAS, the Miami City Commission adopted Ordinance No. 13334 on July 26, 2012,
approving a Special Area Plan ("SAP") for the Design District; and
WHEREAS, the SAP includes non-standard improvements and enhancements within the
dedicated public right-of-way; and
WHEREAS, Dacra Design Moore (Del.), LLC, Penny Lane Acquisitions, LLC, Oak Plaza
Associates (Del.), LLC, Lovely Rita Acquisitions, LLC, Sweet Virginia Acquisitions, LLC, Uptown Girl
Development, LLC, FCAA, LLC, Tiny Dancer Acquisitions, LLC, Ben Newton, LLC, and Norwegian.
Wood Acquisitions, LLC ("Owners"), desire to construct and maintain certain non-standard
improvements within the dedicated public right-of-way that abuts the Owners' properties, as more
particularly described in the attached "Exhibit A," in the Design District; and
WHEREAS, the Owners have agreed to enter into Covenants to Run with the Land with the
City of Miami ("City") that cover their properties so that applications for master permits may be
submitted from time to time which contain the proposed location and design of the aforesaid
non-standard improvements to be constructed in the dedicated public right-of-way;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted
by reference and incorporated as fully set forth in this Section.
Section 2. The City Manager is authorized{1} to execute twenty-two (22) Covenants to Run
with the Land, in a form acceptable to the City Attorney, with the Owners, to construct and maintain
non-standard improvements within the dedicated public right-of-way that abuts the Owners' properties
in the Design District.

Section 3. This Resolution shall become effective immediately upon its adoption and signature
of the Mayor.

{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter
and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10) calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
