A RESOLUTION OF THE MIAMI CITY COMMISSION BYA FOUR -FIFTHS (4/5THS)
AFFIRMATIVE VOTE, PURSUANT TO SECTION 18-92 OF THE CODE OF THE
CITY OF MIAMI, FLORIDA, AS AMENDED, AFTER AN ADVERTISED PUBLIC
HEARING, RATIFYING, APPROVING, AND CONFIRMING THE CITY MANAGER'S
FINDING OF A SOLE SOURCE; WAIVING THE REQUIREMENTS FOR
COMPETITIVE SEALED BIDDING PROCEDURES, AND APPROVING THE END
USER LICENSING AGREEMENT, FROM ARGENT SOFTWARE, INC., FOR THE
CITY OF MIAMI ("CITY") INFORMATION TECHNOLOGY DEPARTMENT IN AN END
USER LICENSE AGREEMENT, FOR AN INITIAL PERIOD OF THREE (3) YEARS,
WITH THE OPTION TO RENEW FOR TWO (2) ADDITIONAL ONE (1) YEAR
PERIODS, SUBJECT TO AN ANNUAL FINDING OF A SOLE SOURCE BY THE
CITY'S CHIEF PROCUREMENT OFFICER AND APPROVED BY THE CITY
MANAGER; ALLOCATING FUNDS FROM THE INFORMATION TECHNOLOGY
BUDGET GENERAL FUND, ACCOUNT CODE NO. 50001.251000.546000.0.0, WITH
FUTURE PURCHASES TO BE ALLOCATED FROM THE VARIOUS SOURCES OF
FUNDS FROM THE USER DEPARTMENT, SUBJECT TO THE AVAILABILITY OF
FUNDS AND BUDGETARY APPROVAL AT THE TIME OF NEED.
WHEREAS, the City of Miami ("City") Information Technology Department ("Department") will
be licensing three hundred thirty (330) licenses to monitor, manage, and receive proactive alerts for
the City's Enterprise Network; and
WHEREAS, specialized monitoring software is necessary to continue the Department's efforts
to reduce downtime, proactively react to situations, and avoid failures; and
WHEREAS, pursuant to Section 18-92 of the Code of the City of Miami ("City Code"), as
amended, the City's Chief Procurement Officer has adopted a finding that Argent Software, Inc.
("Argent"), is the sole source provider of this proactive monitoring software, known as Argent
Enterprise Monitoring and Alerting Software; and
WHEREAS, the findings of the City's Chief Procurement Officer have been approved and
adopted as the findings of the City Manager; and
WHEREAS, the City Manager and the City's Chief Procurement Officer recommend that the
requirements for competitive formal sealed bidding be waived, and the licensing of three hundred thirty
(330) units, as the sole source, be approved;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to,this Resolution are adopted
by reference and incorporated as fully set forth in this Section.

Section 2. By a four -fifths (4/5ths) affirmative vote, pursuant to Section 18-92 of the City Code,
after an advertised public hearing, the City Manager's finding of a sole source is ratified, approved,
and confirmed, the requirements for competitive sealed bidding procedures are waived, and the
licensing of software from Argent Software, Inc., for the Department, on a contractual basis for an
initial period of three (3) years with the option to renew for two (2) additional one (1) year periods, is
approved, subject to an annual finding of a sole source by the City's Chief Procurement Officer and
approved by the City Manager, with funds allocated from the Information Technology Budget General
Fund, Account Code No. 50001.251000.546000.0.0; with future purchases to be allocated from the
various sources of funds from the user department, subject to the availability of funds and budgetary
approval at the time of need.
Section 3. This Resolution shall become effective immediately upon its adoption and signature
of the Mayor. {1}

Footnotes:
{1} If the Mayor does not sign this Resolution, it shall become effective at the end of ten (10)
calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it
shall become effective immediately upon override of the veto by the City Commission.
