Purpose of Item: A Resolution of the Miami City Commission, with attachment(s), authorizing the City Manager to execute the First Amendment to CHLN Revocable License Agreement ("Amendment"), between the City of Miami ("City") and CHLN, INC., a for profit corporation ("Licensee"), in substantially the attached form, amending the occupancy and term of the agreement terminating the expiration date and modifying to a month to month, commencing on the effective date to be terminated or cancelled by either party upon no less than thirty (30) days written notice. Director Chief /% ��Z--1� City Manager Page 1 of 2 SUPPLEMENTAL PAGE Subject: : Resolution for an Amendment to the Revocable License Agreement with CHLN, Inc. for the occupancy of City of Miami owned property located at 51 Chart House Drive, Miami, Florida. Background Information The City of Miami ("City") owns property and improvements located at 51 Chart House Drive, Miami, Florida ("Property"). The City underwent a competitive solicitation process for the use and occupancy of the Property, and upon completion entered into a lease agreement with the winning proposer. The City has been unable to deliver the Premises due to ongoing litigation. The City entered into a Revocable License Agreement with CHLN, Inc., a for profit corporation ("Licensee") with an expiration date of December 31, 2014. The City of Miami and CHLN, Inc. agree to remove the Termination Date of December 31, 2014. In an effort for the City to receive uninterrupted revenues and provide uninterrupted service to the patrons of the restaurant, the terms will be modified to a month to month basis to be terminated by either party upon no Tess than 30 days written notice.
