CITY OF MIAMI AMENDMENT NO.3TO THEAGREEMENT WITH RECREATIONAL DESIGN AND CONSTRUCTION, INC. FOR DESIGN BUILD SERVICES FOR THE DESIGN AND CONSTRUCTION OF GIBSON PARK, B-30305B This Amendment No. 3 to the Agreement dated July 6, 2010, (the "Agreement") between the City of Miami, a municipal corporation of the State of Florida ("City"), and Recreational Design and Construction, Inc., ("Contractor")a Florida profit corporation, for Design Build Services for the Design and Construction of the Gibson Park Project, B-30305B, ("Project")is entered into this day of , 2014. RECITALS WHEREAS, pursuant to Resolution No. 10-0103, adopted March 11, 2010, the City Commission authorized the execution of an Agreement with Recreational Design and Construction, Inc. for Design Build Services for the Design and Construction of the Gibson Park Project, B-30305B, for Phases 1A, 1 B, 2A of the Project, in an amount not to exceed $9,794,667; and WHEREAS,pursuant to Amendment No. 1 of the Agreement, the original Cost Proposal was revised due to changes in the scope of work as requested by the City, resulting in a reduction of the negotiated contract price in the amount of $149,389, for a final Agreement amount of $9,645,278; and WHEREAS, pursuant to R-12-0145, Amendment No. 2,adopted April 12, 2012, increased the Agreement by $2,498,208, thereby increasing the Agreement from $9,645,278 to an amount not to exceed $12,143,486; WHEREAS, funds have been identified for the an additional scope of work for Phase II of the Project, which includes two (2) parallel basketball courts, class rooms, restrooms and a computer room with an additional SF that totals 10,820 S.F.; and WHEREAS, it is now necessary to further amend the Scope of Work for the Project to include additional work for Phase II of the Project, as detailed in Exhibit A, attached and incorporated; and WHEREAS, this Amendment No. 3 approved pursuant to R- , increases the Agreement by $2,806,857, thereby increasing the Agreement from $12,143,486,to an amount not to exceed $14,950,343. NOW THEREFORE, for the considerations hereinafter set forth: The Agreement is hereby amended as follows: ';ZS12- 4+- 1 1. Section 2- Supplemental Terms and Conditions, Article 1, Scope of Work, is hereby amended to include the additional work as detailed in "Exhibit A",for Phase II of the Project. 2,Section 2- Supplemental Terms and Conditions, Article 5,Contract Price, is hereby increased by $2,806,857,thereby increasing the Agreement from Twelve Million One Hundred Forty Three Thousand Four Hundred Eighty Six Dollars ($12,143,486)to an amount not to exceed Fourteen Million Nine Hundred Fifty Thousand Three Hundred Forty Three Dollars ($14,950,343). Additional Revisions to Section 1- General Terms and Conditions 3, Section 1 — General Terms and Conditions, Article 11, "Small Business/Local Workforce Participation", has been deleted in its entirety and is hereby replaced as stipulated below to comply with Chapter 18/Article III of the Code of the City of Miami, as amended, entitled "Finance/Miami Procurement Ordinance", Section 18-89. These terms and conditions shall become effective upon execution of this Amendment No. 3. 4. Community Small Business Enterprise ("CSBE") Participation "The Design -Build Firm must comply with the following CSBE participation requirements. All instructions, required forms and other information necessary for complying with the CSBE participation requirements are available on the CIP webpage. a) The Design -Build Firm must assign a minimum of fifteen percent (15%) of the Contract value to a respondent or to a construction related enterprise currently certified by Miami -Dade County as a Community Small Business Enterprise (CSBE) as set forth in Sec. 10-33.01 and Sec. 10-33.02 of the Miami - Dade County Code; b) Five percent (5%) of the bid amount shall be retained by the City for the CSBE requirements until said requirements are fulfilled and verified within six (6) months of Contract completion pursuant to Section 18-89 of the City Code. Failure to comply with the CSBE requirements within six (6) months of Contract completion shall result in the forfeiture of the retained amount to the City. This five percent (5%) retainage is included within the ten percent (10%) retainage normally withheld by the City; c) The Design -Build Firm shall retain the services of an independent third party to verify and certify compliance with these requirements on a quarterly basis in accordance withSection 18-89 of the City Code. Said third party shall be unaffiliated with the respondent and be properly licensed under the provisions of Section 454, 471, 473, or 481 of the Florida Statutes. The person performing the verification shall have a minimum of two (2) years of prior professional experience in contracts compliance, auditing, personnel administration, or field experience in payroll, enforcement, or investigative environment. The cost for this verification shall be included in the related contract costs." 2 The following link is to the Miami -Dade County website where Bidders can view the current listing of certified CSBE contractors by trade. http://www. miamidade.gov/business/reports-certification-lists. asp 5. Local Workforce Participation "Unless disallowed by Florida Statutes,the Design -Build Firm must comply with the following Local Workforce Participation requirements. All instructions, required forms and other information necessary for complying with the Local Workforce Participation requirements are available on the CIP webpage. a)The Design -Build Firm must employ a minimum of fifteen percent (15%) of on - site labor from persons residing within the municipal boundaries (e.g. city limits of the City of Miami) of the City. The City residency of the onsite labor component will be subject to verification by the issuing department; b) Five percent (5%) of the bid amount shall be retained by the City as security for the verification of compliance with such requirements until said requirements are fulfilled and verified within six (6) months of Contract completion pursuant to Section 18-89 of the City Code. Failure to comply with the Local Workforce Participation requirements within six (6) months of Contract completion shall result in the forfeiture of the retained amount to the City; c) The Design -Build Firm will be required to hold one (1) job fair within the local community for projects with a bid amount between $1,000,000 and $2,000,000; d) The Design -Build Firm will be required to hold two (2) job fairs within the local community for projects with a bid amount greater than $2,000,000; e) The Design -Build Firm shall coordinate job fairs and hiring initiatives with South Florida Workforce; f) The Design -Build Firm shall retain the services of an independent third party to verify and certify compliance with these requirements on a quarterly basis in accordance with City Code Section 18-89. Said third party shall be unaffiliated with the Respondent and be properly licensed under the provisions of Section 454, 471, 473, or 481 of the Florida Statutes. Section 1 — General Terms and Conditions, Article 107 - Review of Records, is amended to additionally comply with changes to Florida Statutes, Chapter 119, the Public Records Act ,and is supplemented as stipulated below. These terms and conditions shall become effective upon execution of this Amendment No. 3. "Design -Build Firm shall additionally comply with Section 119.0701, Florida Statutes, including without limitation: (1) keep and maintain public records that ordinarily and necessarily would be required by the City to perform this service ; (2) provide the public with access to public records on the same terms and conditions as the City would at the cost provided by Chapter 119, Florida Statutes, or as otherwise provided by law ; (3) ensure that public records that are exempt or confidential and exempt from disclosure are not disclosed except as authorized by law; (4) meet all requirements for retaining public records and transfer, at no cost, to the City all public records in its possession upon termination of this Agreement and destroy any duplicate public records that are exempt or confidential and exempt from disclosure requirements ; (5) All electronically stored public records must be provided to the City in a format compatible with the City's information technology systems." 6. All other terms and conditions of the Agreement, as amended, are in effect and remain unchanged.
