Law Department Matter ID No. 13-1595 Purpose of Item: A Resolution of the City of Miami Commission, with attachment(s), authorizing the City Manager to execute a Lease Agreement ("Lease"), in substantially the attached form, between the City of Miami ("City") and Miami - Dade County ("County"), for the use of approximately 4,810.60 square feet of office space in the Manuel Artime Community Center located at 970 SW 1st Street, Miami, Florida ("Property"), for a monthly rent amount of Six Thousand Thirteen Dollars and 25/100 ($6,013.25), or $15.00 per square foot, plus State of Florida Use Tax (if applicable); providing for an initial term to commence on the effective date and end on September 30, 2018 with the option to renew for two (2) five-year terms; with additional terms and conditions as more specifically set forth in said Lease. Background Information: The City of Miami ("City") owns and operates the. Manuel Artime Theatre located at 900 Southwest 1st Street, Miami, Florida and the Community Center located at 970 Southwest 15t Street, Miami, Florida. On January 13, 2000, the City Commission passed and adopted Resolution No. 00-25, authorizing the City Manager to issue revocable licenses to organizations in need of office space at either of the locations. On February 14, 2008, the City Commission passed and adopted Resolution No. 08-0700 authorizing the City Manager to issue revocable licenses with revised rates for the use of office space at either location. The use fees adopted through Resolution No. 08-0700 established a $13.50 per square foot fee for office space at the 900 Southwest 15t Street location and a $15.00 per square foot fee for office space at the 970 Southwest 1.5' Street location, with not -for -profit organizations receiving a discount of 25%. Resolution No. 08-0700 further authorized the City Manager to modify the date for use fee adjustments to take place in October of each year and provide for a 3% annual increase. In 2013, Miami -Dade County ("County") administrators communicated to City administrators their need of office space for the County's Community Action and Human Services department. The City, having over 6,400 square feet of vacant office space at the Manuel Artime Theatre and Community Center buildings, offered these spaces to the County pursuant to Resolution No. 00-25 and Resolution No. 08-0700. The County visited both building locations and indicated that it would like to use and occupy all the available office space located in the Community Center, which represents eight offices with approximately 4,810.60 square feet, under a long term lease. Section 29-B of the Charter of the City of Miami, Florida as amended ("Charter"), provides for requirements and exemptions for sale or lease of City -owned property. Provisions of Section 29-B of the Charter provides that any requirements contained therein, and any other City purchasing requirements, shall not apply when conveying property to implement projects of any government agency or instrumentality. Since the County is a political subdivision of the State of Florida, the City and the County desire to enter into a Lease Agreement ("Lease") for the use of office space at the Manuel Artime Community Center. The Lease between the City and the County shall allow the County to use approximately 4,8 10.60 square feet of office space in the Manuel Artime Community Center located at 970 SW 15' Street, Miami, Florida ("Property"), for a monthly rent amount of Six Thousand Thirteen Dollars and 25/100 ($6,013.25), or $15.00 per square foot, plus State of Florida Use Tax (if applicable). The Lease includes additional terms and conditions, such as annual rent increases of 3% every October. The Lease provides for an initial term to commence on the effective date and end on September 30, 2018 with the option to renew for two (2) five- year terms.
