openness to show us their plans and believe the project will not only enhance our property value in the long

I grew up in the Roads (835 SW 22nd Road to be exact) and have lived in the Roads/Brickell Area for 3/4 of

Dear Mr, Olen,
Our client, CRP/Cardel Brickell Hotel, LLC, is the owner ("Owner") of the Hotel Urban()
("Hotel"), located in-between Brickell Avenue and South Miami Avenue on the north side of the
intersection with the Rickenbacker Causeway (the "Property"). The Owner of the Hotel is
considering an addition to the existing 3-story Hotel building.
As you may know, the Hotel is subject to. a Declaration of 'Restrictions ("Dec"), recorded in
2002, that restricts any structure on the Property to a maximum of five (5) stories and requires the
future development of the Property to be substantially in accordance with Plans that were
developed in 1999 that called for a fourth and fifth floor expansion to the existing building.
The Owner is currently considering a different plan for an addition to the existing building.
The new plan contemplates a five -story, 64-room building to be added onto the back side (NW
side) of the existing building and a reconfiguration of the parking lot on the South Miami side of the
Property. We believe the proposed plan has many positive aspects to it. In particular:
• The proposed addition is elegantly designed and pushed back from South Miami Avenue
as far as possible, further than what is required under the City's zoning code:
• The proposed site plan moves existing surface parking spaces that are located close to
South Miami Avenue and S.E. 25" Road further away from the property lines, providing
more landscaping along South Miami Avenue, S.E. 25m Road and at the intersection of
those two roads;
• The proposed site plan moves much of the existing surface parking below grade,
completely out of sight;

greater landscaping on the Property and in the right-of-way.

As you may know, the Hotel is subject to a Declaration of Restrictions ("Dec"), recorded in

developed in 1999 that called for a fourth and fifth floor expansion to the existing building.
The Owner is currently considering a different plan for an. addition to the existing building.
The new plan contemplates a five -story, 64-room building to be added onto the back side (NW
side) of the existing building and a reconfiguration of the parking lot on the South Miami side of the
Property. We believe the proposed plan has many positive aspects to it. In particular:
The proposed addition is elegantly designed and pushed back from South Miami Avenue
as far as possible, further than what is required under the City's zoning code;
The proposed site plan moves existing surface parking spaces that are located close to
South Miami Avenue and S.E. 25'1Road further away from the property lines. providing
more landscaping along South Miami Avenue, S.E. 25"' Road and at the intersection of
those two roads;
The proposed site plan moves much of the existing surface parking below grade,
completely out of sight;

We previously reached out to the Brickell Homeowner's Association via certified mail on or
about April 19, 2013, regarding our desire to meet with the Brickell Homeowner's Association
about the proposed addition, but to date we have not received a response.
As you may know, the Hotel is subject to a Declaration of Restrictions ("Dec"), recorded in
2002, that restricts any structure on the Property to a maximum of five (5) stories and requires the
future development of the Property to be substantially in accordance with plans developed in
1999, which related to a fourth and fifth floor expansion to the existing building.
The Owner is currently considering a different plan for an addition to the existing building.
The new plan contemplates a five -story, 64-room building to be added onto the back side (NW
side) of the existing building and a reconfiguration of the parking lot on the South Miami side of the
Property. We believe the proposed plan has many pcsitive aspects to it. In particular:

as far as possible, further than what is required under the City's zoning code;

As you know, the Hotel is subject to a Declaration of Restrictions ("Dec"), recorded in 2002,
that restricts any structure on the Property to a maximum of five (5) stories and requires the future
development cf the Property to be *substantially in accordance with plans developed in. 1999,
which related to a fourth and fifth floor expansion to the existing building.
As we discussed, the Owner is currently considering a different plan for an addition to the
existing building. The new plan contemplates a five -story, 64-room building to be added onto the

future development of the Property to be substantially in accordance with plans developed in
1999, which related to a fourth and fifth floor expansion to the existing building.
The Owner is currently considering a different plan for an addition to the existing building.
The new plan contemplates a five -story, 64-room building to be added onto the back side (NW
side) of the existing building and a reconfiguration of the parking lot on the South Miami side of the
Property. We believe the proposed plan has many positive aspects to it. In particular:

• The proposed addition is elegantly designed and pushed back from South Miami Avenue
as far as possible, further than what is required under the City's zoning code;
• The proposed site plan moves existing surface parking spaces that are located close to
South Miami Avenue and S.E. 25' Road further away from the property lines, providing
more landscaping along South Miami Avenue, S.E. 25'h Road and at the intersection of
those two roads;
The proposed site plan moves much of the existing surface parking below grade,
completely out of sight;
• The proposed site plan eliminates one driveway on South Miami Avenue, allowing for
greater landscaping on the Property and in the right-of-way.
This notice is being provided pursuant to Section 5 of the Dec, which requires that if the
Owner seeks a modification of the Dec at a public hearing, they must provide written notice of
such intent to the City and to the named homeowner's associations prior to applying for such a
modification with the City.
The City Commission of the City of Miami will hold its Planning and Zoning Agenda City
Commission hearing on June 27, 2013. The request to modify the Dec to allow the proposed 5-
story addition will be considered by the City Commission on June 27, 2013. Further details of the
City Commission hearing can be found on the City's official website and/or by calling the City
Clerk's office.
Included with this letter for your convenience is a copy of the existing Dec, a reduced size
copy of the plans referenced in the existing Dec, a copy of the proposed modified Dec and a

than ten (10) feet above the fifth (9) floor shall be permitted.
That the Property shall be developed substantially in accordance with the
spirit and Intent of plans entitled, "4'1' and 5th Floor Additions to Hampton
Inn," as prepared by Palenzuela & Hevia Design Group, Inc., dated June
30, 1999, and consisting of five (5) sheets, and by reference made a part
of this Declaration.

(4) Covenant Running with the Land. This Declaration an the part of the
Owners shall constitute a covenant running with the land and shall be
recorded in the Public Records of Miami -Dade County, Florida and shall
remain in full force and effect and be binding upon the Owners, their heirs,
successors and/or assigns until such lime as the same is modified or
released. These restrictions shall be for the benefit of, and the limitation
upon, all present and future owners of the Property and for the public
welfare, and for the benefit of the City, BHA, the RHA and the SMAHA.
(5) Modlflcatjon, Arnendniont. R I ote. This Declaration of Restrictions
may be modified, amended or released as to the land herein described, or
any portion thereof, by a written instrument executed by the, then,
owner(s) of the Property, provided that the same is also approved by the
City, after public hearing the cost of which is to be paid by the Owners.
Prior to seeking such modification, amendment or release, Owners shall
first provide the City, BHA, the RHA, and the SMAHA with written notice
as set forth below.
(6) Enforcement. Enforcement shall be by action against any parties or
person violating, or attempting to violate, any covenants. The prevailing
party in any action or suit pertaining to or arising out of this Declaration,
shall be entitled to recover, in addition to costs and disbursements allowed
by law, such sum as the Court may adjudge to be reasonable for the
services of hislher attorney. This enforcement provision shall be in
addition to any other remedies available at law or in equity or both.
Election of Remedtes. Alt rights, remedies and privileges granted herein
shall be deemed to be cumulative and the exercise of any one or more
shall neither be deemed to constitute an election of remedies, nor shall it
preclude the party exercising the same from exercising such other
additional rights, remedies of privileges.
Severability. Invalidation of .any one of these covenants, by judgment of
court in no way shall affect any of the other provisions which shall remain
in full force and effect.

limited liability corporation (hereinafter, the "Owner"), in favor of the City of Miami, Florida, a
municipality located within the State of Florida (the "City") and Brickell Homeowners Association, Inc.,
the Miami -Road Neighborhood Civic Association, Inc. and the South Miaini Avenue Homeowners
Association, Inc. (the "Neighborhood Associations") (collectively, the "Parties").
WITNESSETH:
WHEREAS, the Owner holds fee simple title to that certain property located at 2500 Brickell
Avenue, Miami, Florida (the "Property"), and more particularly described as:
Tracts A and B, of HAMPTON INN AT BRICKELL, according to the Plat thereof', as
recorded in Plat Book 158, Page 38, of the Public Records of Miami -Dade County,
Florida,
WHEREAS, the Owner's predecessor in interest, Charles Leemon III and Linda Leemon (the
"Declarants"), voluntarily imposed that certain Declaration of Restrictions, recorded inthe Official
