A RESOLUTION OF THE MIAMI CITY COMMISSION WAIVING ANY CONFLICT OF
INTEREST THE LAW FIRM OF STEARNS, WEAVER, MILLER, WEISSLER,
ALHADEFF & SITTERSON, P.A., MAY HAVE, IF ANY, DUE TO ITS
REPRESENTATION OF THE CITY IN THE JORGE L. FERNANDEZ LITIGATION, TO
ENABLE IT TO REPRESENT RAM CCGM LLC, A SUBSIDIARY OF RAM
DEVELOPMENT CORP. (HEREINAFTER "RAM"), IN RESPONDING TO A
REQUEST FOR PROPOSALS FOR REDEVELOPMENT OF THE FORMER GROVE
KEY MARINA/CHARTHOUSE SITE, AND, IF SUCCESSFUL, NEGOTIATING A
GROUND LEASE WITH THE CITY ON BEHALF OF RAM.
WHEREAS, the law firm of Stearns, Weaver, Miller, Weissler, Alhadeff & Sitterson, P.A., wishes
to represent RAM CCGM LLC, a subsidiary of Ram Development Corp (hereinafter "RAM"), in
responding to a Request for Proposals ("RFP") for the redevelopment of the former Grove Key
Marina/Charthouse Site, and, if the successful proposer, to negotiate a ground lease on behalf of
RAM with the City of Miami ("City"); and
WHEREAS, the law firm of Stearns, Weaver, Miller, Weissler, Alhadeff & Sitterson, P.A., currently
represents the City in a lawsuit filed by Jorge L. Fernandez, Case No.: 08-17486 CA 13, against the
City, which is currently on appeal awaiting decision; and
WHEREAS, if RAM is the successful bidder in the RFP process, the potential for a conflict exists
between the City and RAM; and
WHEREAS, the City Commission has been advised of the conflict and/or the potential for a
conflict of interest; and
WHEREAS, the City Commission agrees to waive any conflict of interest that exists, or that may
occur, due to the law firm of Stearns, Weaver, Miller, Weissler, Alhadeff & Sitterson, P.A.,
representing RAM in responding to the RFP, and in potentially negotiating a ground lease with the
City on behalf of RAM;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporated as fully set forth in this Section.
Section 2. Any conflict of interest that exists or may occur due to the law firm of Stearns, Weaver,
Miller, Weissler, Alhadeff & Sitterson, P.A. representing the City in the Jorge L. Fernandez litigation
and simultaneously representing RAM in responding to the RFP for the redevelopment of the former
Grove Key Marina/Charthouse Site, and thereafter, if the successful proposer, negotiating a ground

lease with the City on behalf of RAM is hereby waived.
Enactment Number: R-13-0147
Section 3. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor.{1 }
Footnotes:
{1} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
